Waiver of Acceptance. This --------------------------------------------------- Agreement shall be governed by and construed in accordance with the laws of the State of Virginia without regard to conflicts of laws principles thereof. This Agreement shall bind Guarantor, it successors and assigns (but in the event of an assignment, Guarantor shall not be relieved of its obligations hereunder), and shall inure to the benefit of Landlord, its successors and assigns. Guarantor hereby waives any acceptance of this Agreement by Landlord and this Agreement shall immediately be binding upon Guarantor.
Waiver of Acceptance. Borrower and Guarantor hereby waive any -------------------- acceptance of such Loan Document by Lender in writing, and such Loan Document shall immediately be binding upon Borrower or Guarantor, as the case may be.
Waiver of Acceptance. Additional Guarantor hereby waives acceptance by Administrative Agent and the Lenders of the guaranty by Additional Guarantor under the Guaranty upon the execution of this Joinder Agreement by Additional Guarantor.
Waiver of Acceptance. Each Guarantor hereby waives notice of acceptance of this Guarantee by the Guaranteed Parties.
Waiver of Acceptance. The Guarantor expressly waives notice from the Beneficiary of its acceptance of and reliance on this Guaranty.
Waiver of Acceptance. The Guarantor further waives notice of the acceptance of this Guaranty by the Lender and presentment, demand, notice of nonpayment, notice of extension of the time of payment or of any dealings with any obligor or any collateral.
Waiver of Acceptance. The Subordinate Lender hereby waives all notice of the acceptance by Senior Lender of the subordination and other provisions of this Subordination Agreement and all the notices not specifically required pursuant to the terms of this Subordination Agreement or under the Uniform Commercial Code in connection with foreclosure on or sale of all or any portion of the Collateral, and the Subordinate Lender expressly consents to reliance by the Senior Lender upon the subordination and other agreements as herein provided.
Waiver of Acceptance. The Company hereby waives acceptance of this Agreement by the Lenders and the Administrative Agent.
Waiver of Acceptance. Guarantor hereby waives any acceptance of this Agreement by the Collateral Agent, and this Agreement shall immediately be binding upon the Guarantor.
