Common use of Waiting Periods Clause in Contracts

Waiting Periods. The filing and waiting period requirements of the HSR Act relating to the Offer, the Preferred Stock Consideration and the Merger shall have been complied with and there shall be no action taken or instituted by the Department of Justice, the Federal Trade Commission or by any other Governmental Entity to delay or otherwise enjoin the transactions contemplated by this Agreement and by the Ancillary Agreements and the waiting period applicable under the HSR Act shall have expired or received early termination.
