Wafer Acceptance Testing. Acceptance testing of the Contract Wafers delivered to Company will be performed within forty-five (45) days of receipt. Foundry will certify to Company with each shipment that the Contract Wafers contained in the shipment have successfully passed the applicable Probe Program and the Quality and Reliability Standards. If Company rejects any Contract Wafer, and Foundry verifies that a Wafer has a different NDW than certified by Foundry, then Company and Foundry will confer and determine the reason for the rejection or the inaccurate count of NDW. Foundry will immediately exercise its commercially reasonable efforts to develop and implement a corrective action plan for any errors, including manufacturing errors or defects identified in its systems. All Wafers that are properly rejected due to failure to meet Wafer Standards and that are confirmed by Foundry to be nonconforming may be returned to Foundry for a refund of the purchase price stated in the applicable Supplement, plus Company’s shipping cost, or may be retained by Company subject to an agreed upon credit being issued by Foundry. For such properly rejected Wafers that Company returns to Foundry for a refund of the purchase price, Foundry will be responsible for Company’s shipping cost, customs and export costs and insurance. Title and risk of loss or damage to RMA material will pass to Foundry at Company’s docks.

Wafer Acceptance Testing. Acceptance testing of Contract Wafers delivered to Spansion or a third party designated by Spansion will be performed by Spansion and at its expense within forty-five (45) days of receipt. If Spansion does not provide SMIC with the result of acceptance test during such forty-five (45) days period, the Contract Wafers shall be deemed to have been accepted by Spansion. SMIC will certify to Spansion with each shipment that the Contract Wafers contained in the shipment have successfully passed the applicable Probe Program and the Quality Standards. If Spansion rejects any Contract Wafers or determines that a Wafer has a different Net Die per Wafer than certified by SMIC, then Spansion and SMIC will confer and determine the reason for the rejection or the inaccurate count of Net Die per Wafer. SMIC will immediately exercise its commercially reasonable efforts to develop and implement a corrective action plan for any errors, including manufacturing errors or defects identified in its systems.

If WJ identifies an issue with the Wafers, WJ will notify AMPTECH and provide to AMPTECH the incoming inspection data and other data in its possession related to the wafers. AMPTECH, will review the information within *** (***) hours and meet with WJ to mutually address the issue. AMPTECH shall immediately exercise its reasonable efforts to develop and implement a corrective action plan for any errors, including manufacturing errors or defects identified in its systems. If the engineering evaluation, identifies the source of the problem to be wafer fabrication related, AMPTECH will issue a return material authorization for the return of the material and credit of the purchase price or, at WJ’s option, may be retained by WJ subject to an agreed upon credit being issued by AMPTECH. For such properly rejected Wafers that WJ returns to AMPTECH for a refund of the purchase price, title and risk of loss or damage of returns will pass to AMPTECH at WJ’s docks. Rejected Wafers shall be subject to the Scrap disposal procedures set forth in Section 3.9 herein.

All Wafers that are properly rejected due to failure to meet Wafer Standards may be returned to GCS for a refund of the purchase price, plus WJ’s shipping cost, or may be retained by WJ subject to an agreed upon credit being issued by GCS. For such properly rejected Wafers that WJ returns to GCS for a refund of the purchase price, GCS will be responsible for WJ’s shipping cost, customs and export costs and insurance. Title and risk of loss or damage of returns will pass to GCS at WJ’s docks. Rejected Wafers shall be subject to the scrap disposal procedures set forth in Section 5.6 herein. WJ will provide documentation for all rejected Wafers.

  • Performance Tests Contractor shall perform Performance Tests in accordance with Section 11.2 of the Agreement and Attachment S.

  • Stability Testing Patheon may be requested to conduct stability testing on the Products in accordance with the protocols set out in the Specifications for the separate fees and during the time periods set out in Schedule C to a Product Agreement. Patheon will not make any changes to these testing protocols without prior written approval from Client. If a confirmed stability test failure occurs, Patheon will notify Client within one Business Day, after which Patheon and Client will jointly determine the proceedings and methods to be undertaken to investigate the cause of the failure, including which party will bear the cost of the investigation. Patheon will not be liable for these costs unless it has failed to perform the Manufacturing Services in accordance with the Specifications, cGMPs, and Applicable Laws. Patheon will give Client ail stability test data and results at Client’s request.

  • Order Acceptance All orders are subject to acceptance only at Seller’s facility in Farmington, Connecticut. These Terms of Sale shall be deemed accepted by Buyer upon Seller’s receipt of Purchase Order from Buyer. No condition stated by Buyer shall be binding upon Seller if in conflict with, inconsistent with or in addition to the Terms of Sale, unless expressly accepted in a writing signed by Seller. In the event of conflict or differences in the terms or conditions of Buyer’s Purchase Order and the Terms of Sale herein, the Terms of Sale shall govern.

  • Final Acceptance When the Project/Service or any portion thereof, as designated by the COUNTY, is ready for its intended use, the COUNTY and any other invited parties shall make an inspection of the Project/Service, to verify its completeness and develop a punch list of items needing completion or correction before final payment will be made. CONTRACTOR shall have ten (10) calendar days to correct all deficiencies. An eighty-dollar ($80.00) re-inspection fee shall be applied for the third inspection and any required re-inspection thereafter. The COUNTY shall have the right to exclude CONTRACTOR from those portions of the work designated as complete after the inspection; provided, however, that CONTRACTOR will have reasonable access for the time allotted by the COUNTY to complete or correct items on the punch list. When the work provided for under this Agreement has been completely performed by CONTRACTOR, and the final inspection has been made by the COUNTY, a final invoice will be prepared by the CONTRACTOR. The amount of this invoice, less any sums that may have been deducted or retained under the provisions of this Agreement, will be paid to CONTRACTOR in accordance with this Agreement, and after CONTRACTOR has agreed in writing to accept the balance due, as determined by the COUNTY, as full settlement of the account under the contract and of all claims in connection therewith. Occupancy by the COUNTY alone does not constitute final acceptance.

  • Supplier Selection If Customer selects a seat or galley supplier that is not on the Boeing recommended list, such seat or galley will become BFE and the provisions of Exhibit A, Buyer Furnished Equipment Provisions Document, of the AGTA will apply.

  • Commissioning Commissioning tests of the Interconnection Customer's installed equipment shall be performed pursuant to applicable codes and standards. If the Interconnection Customer is not proceeding under Section 2.3.2, the Utility must be given at least ten (10) Business Days written notice, or as otherwise mutually agreed to by the Parties, of the tests and may be present to witness the commissioning tests.
