Void Assignments. Any assignment not in accordance with this Section 13.2 shall be void.
Void Assignments. Any purported sale, transfer, assignment, hypothecation, pledge or other disposition or encumbrance by a Partner of any Interest in the Partnership not made strictly in accordance with the provisions of this Article VII or otherwise permitted by this Agreement shall be entirely null and void, and of no force or effect.

Notwithstanding anything to the contrary in this Agreement, any assignment of a Member's Interest in the Company (a) to a Person prohibited by law from holding such Interest or (b) in violation of the provisions of this Agreement, shall be null and void and shall not bind the Company.
