Visiting Personnel. It is understood that in the course of the Development Program there may be occasions where one party's personnel ("Visiting Personnel") may be stationed at the other party's facilities on a temporary basis. Such Visiting Personnel shall agree to be bound by all orders, rules and regulations pertaining to the hosting party's facilities during the entire time at such facilities. Without limiting the foregoing, such Visiting Personnel shall enter into an agreement with the hosting party regarding proprietary information and inventions in a form mutually agreed by the parties hereto.
Visiting Personnel. Certain activities of the parties hereunder may include certain one party's personnel including without limitation senior scientists visiting and/or being stationed at the other party's facilities for some period of time; in such case such the visiting personnel shall be bound by all rules and regulations pertaining to such facilities during the time at the facilities and each party shall be responsible for and assume all risk of injury or damage done or suffered by its personnel when such personnel are at the other party's facilities, except for injury or damage caused by the negligence or misconduct of the other party.

Visiting Personnel. A Participant providing visiting personnel remains responsible for the conduct of its personnel, for their medical expenses, and for worker's compensation.
Visiting Personnel. Upon the request of Takeda, the Joint Development Committee and/or the Joint Steering Committee and subject to the approval of Xxxxx, Xxxxx shall accept research, Development and/or regulatory personnel of Takeda without charge in the facility of Xxxxx where the Development Program is conducted or send research, Development and/or regulatory personnel of Xxxxx without charge to the facility of Takeda in order to conduct Xxxxx’x roles and responsibilities under Section 4 (hereinafter, the research, Development and/or regulatory personnel of Takeda or Xxxxx who is sent to the other party’s facility pursuant to this Section 4.7, “Visiting Personnel”). Such access shall be restricted to the area of the facility solely conducting the Development Program and the Visiting Personnel to fully endorse the facility regulations and rules. The Visiting Personnel shall be accompanied at all times by an employee of the other party. A party who sends its Visiting Personnel to the other party’s facility shall continue to employ the Visiting Personnel and shall pay Visiting Personnel any compensation including salary, health insurance, sick leave, paid vacation, pensions, retirement fund participation, and shall be responsible for paying all employment and withholding taxes relating to its Visiting Personnel compensation and be responsible for all actual expenses and/or costs incurred by the Visiting Personnel including travel and accommodation.

Visiting Personnel. Princeton and Sponsor agree that Sponsor can have visiting collaborators on the Princeton campus for agreed upon terms to engage in collaborative, non-commercial research and technology transfer with the Principal Investigator and his team, subject to the discretion of the Principal Investigator and Princeton. The terms outlined in Exhibit C shall apply to all Visiting Personnel.
Visiting Personnel. From time to time, certain UDC personnel may visit the USC or Michigan campuses and work in the Principal Investigators’ laboratories to facilitate performance of the Research in accordance with the Work Plan and Appendix. Principal Investigators will reasonably support and assist such UDC personnel in performing said activities, it being understood that a significant goal of both parties is for the results of the Research to be transferred to UDC for use in its business.
Visiting Personnel. Nippon Kayaku may, at its option, send up to [***] visiting personnel of Nippon Kayaku and its Affiliates with clinical development or regulatory affairs expertise to Signal's facilities in San Diego for a duration determined by the RDMC. [***] Nippon Kayaku shall be responsible for such scientists' living expenses, and Signal shall provide office and/or laboratory space and supervision. Such personnel shall sign Signal's standard form of Confidential Disclosure Agreement. Signal shall give Nippon Kayaku's or its Affiliates' personnel full and correct instructions necessary to avoid any loss, damage, death or injury, and Nippon Kayaku shall cause such personnel to obey such instructions.
Visiting Personnel. During the term of the Agreement, GPEC may appoint Visiting Personnel (Visitors) to work in support of the Research and separately toward the advancement of OPEC's technology development goals in the research laboratories of Xxxxxxxxx Xxxxxxxx and/or Xxxxxxxxx Xxxxxxx. Visitors shall be given appropriate access to complete these goals and shall be subject to Exhibit C, Visiting Personnel Terms and Conditions.
