Virtual Data Room. As soon as practicable after the date hereof, and in any event no later than fifteen (15) Business Days after the date hereof, the Seller Parties shall have delivered to Purchaser one or more DVDs or CD-ROMs containing each of the documents in the Virtual Data Room as of the time of the execution of this Agreement, provided that thereafter the Seller Parties shall discuss with Purchaser any materials added to the Virtual Data Room after such time and prior to the Closing.
Virtual Data Room. Seller Parent shall use its commercially reasonable efforts to deliver or cause the delivery of a CD, DVD-ROM or USB drive containing a true, correct and complete copy of the Virtual Data Room on or prior to the Closing Date.
Virtual Data Room. After the Closing, the Seller shall make available to the Purchaser an electronic copy of all of the documents contained in the Virtual Data Room.
Virtual Data Room. Any reference to a document or matter being “delivered”, “provided” or “made available” to the Purchaser prior to Closing, but excluding those documents to be delivered by the Vendor at Closing, includes the posting of such document or matter in the Data Room and the specific identification of such document or matter in the index to such Data Room (the “Data Room Index”). A copy of the Data Room Index as it exists as of the date of this Agreement, is attached hereto as Schedule 1.7.
Virtual Data Room. Within three (3) Business Days following the execution of this Agreement and within three (3) Business Days following the Closing Date, Vendor shall deliver to Purchaser an electronic download of the Data Room, which shall reflect all contents of the Data Room as of the date hereof and as of the Closing Date, respectively.
Virtual Data Room. All Information provided in the virtual data room Project-Fuse (hereinafter the “Data Room”), which Data Room is provided and operated by iDeals Solutions group of companies (which group includes iDeals Solutions Group Limited a company registered in the United Kingdom with company registration number 08910705, Ideals Holding Limited (a company incorporated in Malta bearing company registration number C 87598) and iDeals Solutions Operations Limited a company incorporated in Malta bearing company registration number C87600 and their affiliates), (which information shall hereinafter be referred to as the “Data Room Information”) by the Seller to the Purchaser is, to the knowledge of the Seller, accurate in all material respects as at its respective date as stated therein, or, if any such Data Room Information is undated, as of the date of its delivery to the Purchaser’s Data Room Information website. Additionally, all information provided to the Purchaser in relation to the Purchaser’s due diligence requests, including information not provided in the Data Room, is, to the knowledge of the Seller, accurate and complete in all material respects as at its respective date as stated therein. There has been no change to the Data Room Information or any other information provided to the Purchaser, that would reasonably have a material adverse effect on the Company, since the date posted to the Data Room website or provided to the Purchaser, as the case may be that is material, except as has been disclosed by the Seller and/or the Company, or in a more recently posted document in the Data Room or other information provided to the Purchaser.
Virtual Data Room. For a period of at least ninety (90) days from and after Closing, Seller (i) shall archive the materials and information contained at the time of Closing in the virtual data room that houses due diligence materials and information provided by Seller to Buyer in connection with the transactions described herein and (ii) continue to permit Seller and its agents to have access thereto.
Virtual Data Room. Any reference to a document or matter being “made available to the Purchaser” includes the posting of such document or matter on MFI’s virtual data room (the “Data Room”) to which the Purchaser has had access, a copy of the index for such virtual data room being attached at Section 1.7
Virtual Data Room. Any reference to a document or matter being “made available to the Purchaser” includes the posting of such document or matter in the “Project Banjo” Intralinks VDRPro virtual data room established by the Seller to which the Purchaser has had access; provided that access to such documents or matters via the virtual data room shall have been granted to the Purchaser at least two (2) days prior to the date of this Agreement.
Virtual Data Room. Any reference to a document or matter being “made available,” “furnished” or “delivered” to the Purchaser includes the posting of such document or matter on the virtual data room established by the Company and its Representatives to which the Purchaser has had access; provided that access to such documents or matters via the virtual data room shall have been granted to the Purchaser at least three (3) days prior to the date of this Agreement.
