Verifying compliance. Microsoft may, in its discretion and at its expense, verify compliance with this Enrollment as set forth in the Enterprise Agreement.

Verifying compliance. Customer must keep records relating to Products it and its Affiliates use or distribute. At Microsoft’s expense, Microsoft may verify Customer’s and its Affiliates’ compliance with this Agreement at any time upon 30 days’ notice. To do so, Microsoft may engage an independent auditor (under nondisclosure obligations) or ask Customer to complete a self-audit process. Customer must promptly provide any information and documents that Microsoft or the auditor reasonably requests related to the verification and access to systems running the Products. If verification or self-audit reveals any unlicensed use, Customer must, within 30 days, order sufficient licenses to cover the period of its unlicensed use. Without limiting Microsoft’s other remedies, if unlicensed use is 5% or more of Customer’s total use of all Products, Customer must reimburse Microsoft for its costs incurred in verification and acquire sufficient licenses to cover its unlicensed use at 125% of the then-current Customer price or the maximum allowed under applicable law, if less. Microsoft may request that Customer conduct an internal audit of all Microsoft Products in use throughout Customer’s organization, comparing the number of Products in use to the number of effective Licenses issued in Customer’s name. Following any audit, Customer agrees to deliver to Microsoft a written statement signed by its authorized representative, certifying that either (1) Customer has sufficient Licenses to permit all usage disclosed by the audit, or (2) Customer has ordered sufficient Licenses to permit all usage disclosed by the audit. By requesting an audit, Microsoft does not waive its rights to enforce this agreement or to protect Microsoft’s intellectual property by any other means permitted by law, including conducting an onsite audit.

Verifying compliance. Summary: Microsoft has the right to review Customer’s records or conduct an onsite audit through an independent auditor. Microsoft will pay for the costs of the audit unless it reveals a material noncompliance.
Verifying compliance. During the Term of any Subscription and for three years thereafter, Customer must keep all usual and proper records relating to the Subscription(s) and Customer’s use of the Services and/or Client Software under this Agreement. BQE Software may request that Customer conduct an internal audit of all Services in use throughout Customer’s organization, comparing the number of User Licenses in use to the number of User Licenses issued to and/or paid for by Customer. By requesting an audit, BQE Software does not waive its rights to enforce this Agreement or to protect BQE Software’s intellectual property by any other means permitted by law. If verification or self-audit reveals any unlicensed use, Customer must promptly order sufficient Licenses to cover its past and present use. If material unlicensed use is found, Customer must reimburse BQE Software for the costs BQE Software has incurred in verification and acquire the necessary additional Licenses at single retail license cost within 30 days.
Verifying compliance. Microsoft has the right to verify compliance with this Agreement, at its expense, during the Term and for two (2) years thereafter. Such verification will take place at your facilities upon not less than five (5) business days prior notice, during normal business hours and is a manner that does not interfere unreasonably with your operations. Microsoft will engage an independent accountant from a nationally recognized public accounting firm ("Independent Auditor"), selected by Microsoft, to verify compliance. The Independent Auditor will be subject to a confidentiality obligation. You will provide the Independent Auditor with access to the relevant records, information and facilities, including access to any data center(s) or facilities where Server Software is installed. Microsoft may also require you to accurately complete a self-audit questionnaire relating to your use, and the use by your Affiliates (if any), of the Software Products. Microsoft will treat information disclosed by you during verification or self-audit as Confidential Information and will use such information only to enforce its rights under this Agreement and any applicable laws, and to determine whether you ace in compliance with the terms of this Agreement. By invoking the rights and procedures described above, Microsoft does not waive its right to enforce this Agreement or to protect its intellectual property by any other means permitted by law.
