Vendor Conduct a. Sexual harassment of employees of the Vendor or employees or students of Owner by employees of the Vendor is strictly forbidden. Any employee of the Vendor who is found to have engaged in such conduct shall be subject to appropriate disciplinary action by the Vendor, including dismissal.
Vendor Conduct. AEL is committed to acting responsibly in all business dealings to ensure compliance with applicable national and international legislation, including laws regarding anti-corruption, anti- trust, anti-bribery, fair competition, and human rights. The Vendor should have a communicated process for their personnel to be able to raise any concerns without fear of retaliation • Vendors must ensure safe working conditions and a healthy work environment for their workers, including but not limited to: • Controlled exposure to potential safety hazardsEmergency preparedness, including the necessary equipment, training, alerts, and plans needed to minimize harm to life, the environment, and property • Processes and systems and a Health & Safety program in place to manage, track and report occupational injury and illness • Identification, evaluation, and control of workers' exposure to chemical, biological or physical agents, and provide protective equipment where necessary • Evaluation of machinery and equipment for safety hazards AEL Obligations • AEL shall pay the Vendor for the Goods and Services at the agreed price outlined in the P.O. according to the submission of a valid, detailed invoice presented in the currency outlined in the P.O., subject to the terms and conditions of this Agreement. • AEL reserves the right to inspect the Goods and Services and reject them in part or entirely if they do not meet the service levels and the specifications, and request a replacement, reprocess, or credit at Vendor's cost, including transport, and to dispute or reject any associated invoice in part or entirely. • AEL will monitor and review Vendor Quality, Turntimes, On-Time Delivery, and other critical elements regularly. Vendor Conduct. This list is not inclusive of all situations. The Market Manager reserves the right to take action on any and all activities conducted by Vendors that may be contrary to the public interest, interfere with the operation of Eastern Market, or are unprofessional. Infractions include, but are not limited to, the following rules:  All Vendors must represent their business and the market in a professional and courteous manner.  Sound levels from individual stalls shall not interfere with any other Vendor’s ability to conduct business or cause complaints from customers or other Vendors to the Market Manager.  Children under eighteen (18) years of age must be supervised at all times.  Vendors must contact the on-site weekend Market Manager if any issues or disputes with fellow Vendors arise.  Vendors should not attempt to approach customers who are suspected of theft; Vendors should immediately call 911. The 911 call will be dispatched to the nearest police officer, often a member of DGS Protective Services Police Division.  Vendors must obey all laws, codes, and regulations, including the fire code.  Vendors shall not aggressively solicit or call to customers as they pass by.  Vendors shall not cause or permit objectionable odors to emanate or be dispelled from the Vendor’s space or truck.  Vendors must sell their product from their vending space and cannot walk around Eastern Market distributing leaflets or otherwise attempting to solicit business.  All trained service animals are welcome at Eastern Market. Vendor-owned pets are not allowed under the Xxxxxx’x Line Shed (due to the presence of food). Vendor pets that cause a disturbance of any kind are not allowed at Eastern Market. (Please note that per the Americans with Disabilities Act (ADA), Service animals are defined as dogs that are individually trained to do work or perform tasks for people with disabilities. Examples of such work or tasks include guiding people who are blind, alerting people who are deaf, pulling a wheelchair, alerting and protecting a person who is having a seizure, reminding a person with mental illness to take prescribed medications, calming a person with Post Traumatic Stress Disorder (PTSD) during an anxiety attack, or performing other duties. Vendor Conduct. Vendor agrees that the event is designed for the display, sale and demonstration of Wedding products and services. Vendor shall not unreasonably loiter in areas other than their leased Booth. Vendor shall not pass out literature in areas other than their leased Booth. Vendors shall keep their volume at a level that will not distract other Vendors. Vendors shall not behave disorderly, advertise anything illegal and shall obey all rules and regulations established by the Pechanga Casino Management, and all laws, regulations, ordinances, union contracts, restrictions, and by laws of the event facility and each governmental jurisdiction in which the event is located. KTBP reserves the right to determine if Vendors are abiding by the rules and regulations as set forth herein and to discharge and evict any Vendor in violation thereof. A $300 fee will be impose to any vendor who wishes to breakdown before 4:00pm Sunday. Breaking down early is prohibited. Vendors will not receive a copy of the lead list for violation. In case of an emergency, exhibitor must inform KTBP officers for approval to tear down. Vendor cannot allow other business to join them in their booth
Vendor Conduct. The Nashville Blooming Festival Committee expects vendors to conduct themselves in a professional and courteous manner when interacting with visitors of the festival, fellow vendors and festival organizers. Aggressive and inappropri- ate conduct will be addressed by the Blooming Festival Committee and Nashville Police Department if necessary. Vendors failing to modify their conduct will be asked to shut down and may only return at the end of the festival to pack belongings.

  • EXHIBITOR CONDUCT Rod Shows reserves the right to stop or remove from the event any Vendor/Exhibitor, their employees or guests, performing any act or practice which in the opinion of the Rod Shows is objectionable or detracts from the dignity and integrity of the event. No vulgar language or alcoholic beverage consumption will be tolerated on the event site. Vendors/Exhibitors removed will not be eligible for a refund of their space costs. EXHIBITOR STAFFING Your booth must be staffed at all times during show hours. Rod Shows does not supply labor or materials for exhibitor. Rod Shows does not allow exhibitor personnel to work in inappropriate or suggestive attire as deemed so by them. Swimwear, thongs, mini shorts, or bikinis are not allowed. Celebrity and poster girl signings in Vendor booths must be pre-approved by Xxx Xxxxx. No vulgar products and/or services shall be sold, promoted, or demonstrated (this includes undergarments). Each Vendor/Exhibitor is responsible for any and all damage to property caused by their staff, personnel, or any of their representatives while on the event grounds. DEMONSTRATION AREA All demonstration areas must be within the exhibit space not to interfere with any normal pedestrian traffic in the isles or in the neighboring space. The distribution of literature or promotional items is limited to the Exhibit booth area assigned to Vendor. HOSPITALITY Vendors/Exhibitors are not permitted to Host or Sponsor any hospitality or other function that attracts buyers/customers away from the event during show hours. RESTRICTED ITEMS No Scooters, Hoverboards, Segways, Golf Carts, Bicycles, Motorcycles, Weapons, Drugs, Alcohol or Animals are permitted. ADA Scooters or Service dogs with the proper certification are exempt. SOUND DEVICES No Sound amplification devices are allowed. Objectionable sound and lyrics will not be tolerated. Vendors must keep noise at a minimum for demonstrations or music in their respective space. Give away items in which noise can be made is not allowed. EXHIBITOR STORAGE AND FREIGHT Rod Shows assumes no responsibility for shipped items. There is no storage on site. Deliveries to exhibitor must be received and signed for by the exhibitor. The event decorator can arrange to store, deliver, and ship your freight for a fee. All costs of these services are the responsibility of the Vendor/Exhibitor payable to the decorator. CLEANING Exhibitors must keep booth space clean and presentable to the public. Trash may be swept into aisles after show closing for removal by facility maintenance personnel.

  • Business Conduct Merger Sub was incorporated on November 5, 2020. Since its inception, Merger Sub has not engaged in any activity, other than such actions in connection with (a) its organization and (b) the preparation, negotiation and execution of this Agreement and the Transactions. Merger Sub has no operations, has not generated any revenues and has no assets or liabilities other than those incurred in connection with the foregoing and in association with the Merger as provided in this Agreement.

  • BEHAVIOR AND CONDUCT The Student is responsible for knowing and observing all UCF regulations and procedures regarding behavior and conduct, including the UCF Golden Rule, UCF DHRL publications, and other official UCF publications. UCF DHRL reserves the right to establish or adopt additional rules regarding student conduct, as deemed necessary by UCF DHRL.
