VARIATIONS TO THE SERVICES. 3.1 The Council reserves the right on giving reasonable written notice at any time to require changes to the Services (including by way of the removal of elements of the Services, the addition of new services, or increasing or decreasing the Services or specifying the order in which the Services are to be performed or the locations where the Services are to be provided) for any reasons whatsoever provided however that such variation does not amount to a fundamental change. Such a change is hereinafter called "a Variation".

VARIATIONS TO THE SERVICES. Subject to Clause 5.2, if AstraZeneca makes a written request to amend or partially cancel or add to any of the Services or Kangzhe makes a written request to amend any of the Services, Kangzhe and/or AstraZeneca as applicable shall ensure that the request for a change, variation or addition is promptly considered in accordance with this Clause 5. If AstraZeneca and Kangzhe agree to a variation to the Services, Kangzhe will present to AstraZeneca a written cost proposal (if applicable). AstraZeneca acting reasonably and in good faith, will consider the proposal and will within twenty (20) Business Days of receipt of the proposal notify Kangzhe in writing whether it agrees to the proposal or not. If AstraZeneca does not agree to the proposal it will provide written reasons for such decision. If AstraZeneca agrees to the proposal in writing, the additional/amended services shall be deemed from then on to be Services within the meaning of this Agreement and Kangzhe will carry out the additional/amended services in accordance with this Agreement. AstraZeneca will not be responsible for any Service Charges for additional/amended services by Kangzhe for which written approval has not been obtained from AstraZeneca.

VARIATIONS TO THE SERVICES. Council may at any time but not unreasonably, by written notice require the Contractor to vary the nature, scope or timing of the Services and the Contractor shall comply with such request without prejudice to this Agreement. Where any such variation is required the parties shall negotiate in good faith the adjustment (if any) to the time for completion and to the remuneration payable to the Contractor to reflect any increase or decrease in costs incurred by the Contractor as a consequence of the variation. The adjustment to the remuneration, whether negative or positive, shall include a reasonable allowance for profit. The Contractor shall not commence work on the variation without Council’s consent and written agreement between the parties to the varied remuneration and the time for completion.
