Common use of Vacation and Sick Leave Clause in Contracts

Vacation and Sick Leave. Executive shall be entitled during the Employment Period to vacation time for each calendar year and such paid sick leave as are in accordance with the normal Company policies and practices in effect from time to time for senior executives but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved in writing by the Board, no more than two weeks of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and Executive.

Vacation and Sick Leave. During the Term of Employment, Executive shall be entitled during the Employment Period to paid annual vacation time for each calendar year periods and such paid sick leave as are in accordance with the normal Company policies and practices of NBTB as in effect as of the Commencement Date or as may be modified by NBTB from time to time for senior executives as may be applicable to officers of Executive's rank employed by NBTB or its affiliates, but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved in writing by the Board, no more than two weeks of such paid vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and Executiveper year.

Vacation and Sick Leave. During the Term, Executive shall be entitled during the Employment Period to vacation time for each calendar year and such paid (a) sick leave as are in accordance with the normal Company’s policies applicable to similarly situated executive officers of the Company policies and practices in effect from time to time for senior executives but in no event less than four and (4b) weeks' vacation; provided, however, that unless otherwise approved in writing by the Board, no more than two 4 weeks of such paid vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall (up to 40 hours of which may be forfeited unless otherwise agreed carried forward to in writing by the Company and Executivea succeeding year).

The Executive shall be entitled during the Employment Period to vacation time eligible for each calendar year and such paid sick leave as are in accordance with the normal Company policies and practices in effect from time to time for senior executives but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved weeks of paid vacation per calendar year (as prorated for partial years). The number of vacation days for which the Executive is eligible shall accrue and be preserved in writing the manner stated in the Company’s Employee handbook. The Executive shall also be entitled to sick leave and all Company holidays as determined by the Board, no more than two weeks on the same terms as similarly situated senior executives of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and ExecutiveCompany.

Vacation and Sick Leave. During Executive’s employment hereunder, Executive shall be entitled during the Employment Period to vacation time for each calendar year and such paid (a) sick leave as are in accordance with the normal Company Company’s policies applicable to its senior executives from time to time and practices (b) up to five weeks paid vacation each calendar year (none of which may be carried forward to a succeeding year), which shall be accrued, scheduled and taken in accordance with the Company’s vacation policy as in effect from time to time for senior executives but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved in writing by the Board, no more than two weeks of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and Executivetime.

Vacation and Sick Leave. For each 12-month period during the Term, the Executive shall be entitled during to four weeks of vacation without loss of compensation or other benefits to which he is entitled under this Agreement, to be taken at such times as the Employment Period Executive may select and the affairs of the Company may permit. Vacation and Sick Leave. The Executive shall be entitled during the Employment Period to eligible for four weeks of paid vacation time for each per calendar year and such paid (as prorated for partial years). The Executive shall also be entitled to sick leave and all Company holidays as are in accordance with the normal Company policies and practices in effect from time to time for senior executives but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved in writing determined by the Board, no more than two weeks on the same terms as similarly situated senior executives of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and ExecutiveCompany.

Executive shall be eligible for senior executives but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved in writing by the Board, no more than two weeks of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at in accordance with the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and ExecutiveCompany's most favorable practices generally applicable for executives.

The Employee shall be entitled to sick leave in accordance with the sick leave policy adopted by the Employer from time to time for senior executives but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved in writing by the Board, no more than two weeks of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and Executiveexecutives.

The Executive is also entitled to sick leave (without loss of pay) in accordance with the Company’s policies as in effect from time to time for senior executives but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved in writing by the Board, no more than two weeks of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and Executivetime.

The Executive is entitled to sick leave as are each year in accordance with the normal Company policies and practices in effect from time to time for senior executives but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved in writing established by the Board, no more than two weeks board of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year directors which shall be forfeited unless otherwise agreed comparable to in writing by the Company and Executiveother executives.

During his employment with the Company, Executive shall be entitled during the Employment Period to such vacation time for each calendar year and such paid sick leave as are in accordance consistent with the normal Company Company’s vacation and sick leave policies and practices that are in effect from time to time for senior executives time, but in no event shall Executive be entitled to less than four six (46) weeks' vacation; providedweeks paid vacation annually to be taken at such times and intervals as shall be reasonably determined by Executive, however, that unless otherwise approved in writing by the Board, no more than two weeks five (5) days of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end annually and ten (10) days of each calendar year paid holiday leave annually. Executive shall be forfeited unless otherwise agreed entitled to accrue, carry over or be paid for such vacation and sick leave to the extent permitted by, and in writing by accordance with, the Company Company’s vacation and Executivesick leave policies in effect from time to time.

Vacation and Sick Leave. Any vacation shall be at such times and for such periods as shall be mutually agreed upon between the Executive and the Company. The Executive shall be entitled to all public holidays observed by the Board, no more than two weeks of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and ExecutiveCompany.

The Executive is also entitled to sick leave (without loss of pay) in accordance with the Company’s policies as in effect from time to time for senior executives but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved in writing by the Board, no more than two weeks of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and Executivetime.

Vacation and Sick Leave. The Executive shall be entitled to four weeks of vacation during the Employment Period to vacation time for each calendar year during which this Agreement is in effect, and such to paid sick leave as are holidays given by the Company to its domestic employees generally, without reduction in accordance with the normal Company policies and practices in effect from time to time for senior executives but in no event less than four (4) weeks' vacationsalary or other benefits; provided, however, that unless otherwise approved Executive may take in writing excess of four weeks vacation with the prior approval of the Chief Executive Officer, which approval shall not be unreasonably withheld, if it will not hinder the performance by Executive of his services under this Agreement or the Board, no more than two weeks operation of such vacation time may the Trade Products Division. The Executive shall also be used consecutively, and provided, further, that any accrued but unused vacation time and paid entitled to sick leave remaining at according to the end of each calendar year shall be forfeited unless otherwise agreed to in writing by sick leave policy which the Company and Executivemay adopt from time to time.

Vacation and Sick Leave. The Executive shall be entitled during the Employment Period to annual paid vacation time for each calendar year and such other paid sick leave as are absences in accordance with the normal Company policies and practices in effect from time to time as periodically established by the Board for senior similarly situated executives but of the Company, which shall in no event be less than four (4) weeks' weeks vacation; provided, however, that unless otherwise approved three (3) management personal days and ten (10) holidays in writing by the Board, no more than two weeks of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year and pro rata for part of a year. The Executive shall be forfeited unless otherwise agreed entitled to sick leave (without loss of pay) in writing by accordance with the Company and Company’s policies as in effect from time to time. Executive may carry forward to the next year any unused portion (up to a maximum of 15 days) of Executive’s vacation.

Vacation and Sick Leave. For each 12-month period during the Term, the Executive shall be entitled during to four weeks of vacation without loss of compensation or other benefits to which she is entitled under this Agreement, to be taken at such times as the Employment Period Executive may select and the affairs of the Company may permit. The Executive shall be entitled to vacation time for each calendar year and such paid sick leave as are in accordance with the normal Company policies and practices in effect from time to time for senior executives but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved in writing by the Board, no more than two weeks of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and Executiveyear.

Vacation and Sick Leave. During the Employment Term, Executive shall be entitled during the Employment Period to a paid annual vacation time for each calendar year and such paid sick leave as are in accordance with the normal Company policies and practices in effect established from time to time by the Company for its senior executives but in no event less than four (4) weeks' vacationexecutive officers; provided, however, that unless otherwise approved Executive shall be entitled to no less than six weeks paid annual vacation per Term Year. Without the Company's written consent, vacation must be taken in writing by the Board, no more than two weeks of such year earned and Executive's vacation time may will be used consecutively, and provided, further, that any accrued but unused vacation time and scheduled at times convenient to the Company's business. Executive shall be entitled to paid sick leave remaining at days and personal days in accordance with the end of each calendar year shall be forfeited unless otherwise agreed policies established from time to in writing time by the Company and Executivefor its senior executive officers.

Vacation and Sick Leave. Executive shall be entitled to take up to three weeks (fifteen (15) working days) paid vacation during the Employment Period to vacation time for each calendar year and such year. Executive shall be entitled to up to five (5) working days paid sick leave as are during each calendar year. Unused sick days will not accrue and the Company shall not be obligated to compensate Executive for any unused sick days at any time. Unless otherwise stated to the contrary within this section, vacation and sick leave will be governed in accordance with the normal Company terms of the applicable policies and practices in effect from time to time for senior executives but in no event less than four (4) weeks' vacation; providedof Commerce Planet, however, that unless otherwise approved in writing by the Board, no more than two weeks of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and Executive.Inc.

For each year during which this Agreement is in effect, Executive shall be entitled during the Employment Period to a vacation time for each calendar year and such paid sick leave as are benefits, without a deduction of salary or other compensation in accordance with the normal Company policies and practices in effect from time to time for senior executives Company's standard policies, but in no event shall the vacation be less than four (4) weeks' vacation; provided. The Executive shall have up to four (4) weeks vacation per year, however, that unless otherwise approved in writing by provided the Board, no more than two weeks Executive works full time each year for the Company and under the terms of such this Agreement. Such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise taken at such time or times during such year as may mutually be agreed to in writing upon by the Company and the Executive.

Vacation and Sick Leave. For each 12-month period during the Term, the Executive shall be entitled during to four weeks of vacation without loss of compensation or other benefits to which she is entitled under this Agreement, to be taken at such times as the Employment Period Executive may select and the affairs of the Company may permit. The Executive shall be entitled to vacation time for each calendar year and such paid sick leave as are each year in accordance amounts consistent with the normal Company policies and practices in effect from time to time Company’s policy for senior executives but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved in writing by the Board, no more than two weeks of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and Executiveall employees.

Vacation and Sick Leave. (a) During the term of his employment under this Agreement, Executive shall be entitled during the Employment Period to an annual vacation, without loss of pay, of 4 weeks. Unused vacation time for each calendar year and such paid sick leave as are in accordance with the normal Company policies and practices in effect from time shall not accrue to time for senior executives but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved in writing by the Board, no more than two weeks of such vacation time may be used consecutivelysubsequent years, and providedupon any termination of his employment hereunder for any reason, further, that any accrued but all unused vacation time and paid sick leave remaining at the end of each calendar year shall immediately be forfeited unless otherwise agreed to in writing by the Company and Executivecanceled.

Vacation and Sick Leave. For each 12-month period during ----------------------- the Term, the Executive shall be entitled during to four weeks of vacation without loss of compensation or other benefits to which he is entitled under this Agreement, to be taken at such times as the Employment Period Executive may select and the affairs of the Company may permit. The Executive shall be entitled to vacation time for each calendar year and such paid sick leave as are in accordance with the normal Company policies and practices in effect from time to time for senior executives but in no event less than four (4) weeks' vacation; provided, however, that unless otherwise approved in writing by the Board, no more than two weeks of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and Executiveyear.

Vacation and Sick Leave. Executive shall be entitled to four (4) weeks of vacation per annum during the Employment Period to vacation time for each calendar year and such paid sick leave as are Term, in accordance with the normal Company DriverShield written policies concerning vacation and practices in effect from time to time for senior executives but in no event less than four (4) weeks' vacation; providedsick days, however, that unless otherwise approved in writing by the Board, no more than two weeks of and shall be taken at such vacation time times as may be used consecutively, and provided, further, that any accrued but unused vacation time and paid sick leave remaining at the end of each calendar year shall be forfeited unless otherwise mutually agreed to in writing upon by the Company and Executive. The Executive shall be entitled to one (1) week of sick leave per annum during the Employment Term. Notwithstanding the above, should the Commencement Date occur prior to September 3, 2002, any vacation taken by the Executive in August 2002 shall be without pay and shall not be deducted from the Executive's annual vacation entitlement.

Vacation and Sick Leave. Executive Employee shall be entitled during the Employment Period to vacation time for each calendar year and such paid sick leave as are in accordance with the normal Company policies and practices in effect from time customary amount of paid vacation provided to time for Employer's senior executives executives, but in no event less than four (4) weeks' vacation; providedweeks annually, howeverbeginning on the date hereof. In addition, that unless otherwise approved in writing by Employee shall be entitled to the Board, no more than two weeks of such vacation time may be used consecutively, and provided, further, that any accrued but unused vacation time and paid same sick leave remaining at the end and holidays provided to other executive employees of each calendar year shall be forfeited unless otherwise agreed to in writing by the Company and ExecutiveEmployer of his level.
