USING YOUR CREDIT CARD. Purchases, Cash Advances or Balance Transfers You may use your Card or Convenience Checks to purchase or lease goods or services from participating establishments. You also may use your Card to obtain Cash Advances from your Account at an ATM, or by presenting the Card to us, or to any institution that accepts the Card for that purpose. To protect you, we restrict Cash Advances using this Card to $1000 per ATM transaction and $1500 per over-the-counter transaction. In addition, only three Cash Advance transactions may be made per day, and the total outstanding Cash Advance balance on your Account at any given time may not exceed the Cash Advance Limit applicable to your account at that time. You also may use your Card to obtain Balance Transfers, subject to the Balance Transfer terms described in this Agreement. We may limit the use of the Account at our discretion. Such limitations include, but are not limited to, Internet-related gambling transactions. Your Account/Card will be restricted from online betting activity, which includes, but is not limited to, lottery tickets, casino gambling chips, off-track betting, and xxxxxx at racetracks. You will owe us for these amounts, plus any applicable Finance Charges and other applicable charges or fees, payable in U.S. dollars.

Your Credit Line You may not use your Account in any way that would cause you to go over your Credit Line. We may refuse to authorize or accept any transaction on your Account that would cause you to exceed your Credit Line or if your Account is delinquent. We may temporarily agree to allow you to exceed your limit; however, in that case you must repay the excess amount according to the terms of this Agreement. We may change your Credit Line at any time and will notify you accordingly. Convenience Checks We may supply you with personalized Convenience Checks that are subject to the following conditions. Payment of a Check will be considered as a Cash Advance on your Account. Your Check must be written in U.S. dollars. Only the person whose name appears on the Check may sign it. We are authorized to pay any Check drawn on your Account even if the signature does not correspond exactly to the signature on our records. You agree that Convenience Checks written on your Account will not be returned to you. We are entitled to return your Check unpaid if there is not enough available credit in your Account or if your Account is in default. If we honor the Check under these circumstances, the amount in excess of your Credit Line will be due immediately. You may not use a Convenience Check to make payments on your Account. We may pay Checks dated more than six months prior to the date they are presented for payment. You may stop payment on a Check if we receive your instruction within ample time to act on your request. A verbal request is binding on us for 14 calendar days and a written request for six months, unless you notify us otherwise in writing. You may not write a postdated Check, but we may pay a Check regardless of a postdate. We will not certify a Convenience Check. USING YOUR CREDIT CARD. Users may only use Cards for bona fide business-related Charges and transactions, and not for personal, family, or household purposes. You understand that your Keep Account is commercial in nature and that certain consumer protection laws, such as sections designated as “consumer provisions” in the Bank Act and provincial and territorial consumer protection legislation do not apply to this Account. You agree that all Charges and other transactions in your account will be treated as business transactions made solely for business purposes. Acceptable business transactions include but are not limited to vendor payments, online software expenses, corporate dining and travel, and business procurement. Credit Cards are not permitted for use in the remittance of payroll expenses. You may not use your Credit Card for any illegal, improper, or unlawful purpose. PTC reserves the right to prevent your Credit Card or your Account from being used for certain types of transactions as determined by PTC, including transactions connected to Internet gambling. When you or your Authorized User(s) use a Credit Card or your Primary Account Number for a transaction, PTC is lending you the amount of such purchase, as the case may be. You are liable for and must repay all amounts owing on your Account. You are responsible for selecting the individuals in your organization who are authorized to use Cards, and you are responsible for all Card transactions and activities. You agree to establish and maintain controls designed to ensure that the Cards are only used by Authorized Users for bona fide Company business purposes and in compliance with this Agreement, and applicable law. You are responsible for Charges and transactions made by any person given access to Cards even if they are not the person associated with or named on the Card. When you use your Account number without showing your Credit Card, you will have the same responsibilities as if you had shown your Credit Card and signed a receipt or entered your PIN. Keep, PTC, Card Networks, or other intermediary Third-Party Service Providers (including merchant acquirers) may deny or reverse Charges for any reason. PTC is not responsible for any losses, damages, or harm caused by any Charges that are denied or reversed. USING YOUR CREDIT CARD. 3.1 We will issue each of your nominated cardholders with a card for their use. We may agree to give or send you or a nominated cardholder a card if you ask for one or to renew or replace an existing card. We will renew all Credit Cards periodically and replace them when they are lost or stolen. The use of any additional cards that we issue are governed by this agreement.
USING YOUR CREDIT CARD. To make a purchase or to obtain a cash advance, present your Card to a participating merchantorparticipatingfinancialinstitution.“Participating” means that the merchant or financial institution honors your Card. All purchases and cash advances count against your Credit Line. You may also receive a cash advance from certain automatic teller machines (ATMs). You will need to use your Personal Identification Number (PIN) to obtain a cash advance from an ATM. You should keep your receipts from participating merchants, financial institutions, and ATMs in order to verify your Card monthly statement, and for proof of purchase.

No Loan Party shall maintain any bank accounts or enter into any agreements with Credit Card Issuers or Credit Card Processors other than the ones expressly contemplated herein or in Section 6.12 hereof.

  • Credit Card Agreements Each Borrower and Guarantor shall (a) observe and perform all material terms, covenants, conditions and provisions of the Credit Card Agreements to be observed and performed by it at the times set forth therein; (b) not do, permit, suffer or refrain from doing anything, as a result of which there could be a default under or breach of any of the terms of any of the Credit Card Agreements and at all times maintain in full force and effect the Credit Card Agreements and not terminate, cancel, surrender, modify, amend, waive or release any of the Credit Card Agreements, or consent to or permit to occur any of the foregoing; except, that, any Borrower or Guarantor may terminate or cancel any of the Credit Card Agreements in the ordinary course of the business of such Borrower or Guarantor; provided, that, such Borrower or Guarantor shall give Agent not less than ten (10) Business Days prior written notice of its intention to so terminate or cancel any of the Credit Card Agreements; (c) not enter into any new Credit Card Agreements with any new Credit Card Issuer unless Agent shall have received not less than ten (10) Business Days prior written notice of the intention of such Borrower or Guarantor to enter into such agreement (together with such other information with respect thereto as Agent may request) and such Borrower or Guarantor delivers, or causes to be delivered to Agent, a Credit Card Acknowledgment in favor of Agent; (d) give Agent immediate written notice of any Credit Card Agreement entered into by such Borrower or Guarantor after the date hereof, together with a true, correct and complete copy thereof and such other information with respect thereto as Agent may reasonably request; (e) furnish to Agent, promptly upon the request of Agent, such information and evidence as Agent may require from time to time concerning the observance, performance and compliance by such Borrower or Guarantor or the other party or parties thereto with the terms, covenants or provisions of the Credit Card Agreements; and (f) not modify any instructions given by Agent to any Credit Card Issuer or Credit Card Processor provided for in any Credit Card Acknowledgement or otherwise direct the remittance of payments under any Credit Card Agreement to any account other than the Blocked Account.
