User Violations. Licensee is responsible for its Users acts in relation to this Agreement, including any exercise of the License by a User. Licensee will ensure that all Users comply with Licensee's obligations under this Agreement. Licensee will further ensure that the terms of Licensee's agreement with each User are consistent with this Agreement. If Licensee becomes aware of any violation by a User of Licensee's obligations under this Agreement, Licensee will immediately terminate such User's access to the Image and/or Licensee Instance.

User Violations. You are responsible for your Users and will be deemed to have taken any action that you permit, assist or facilitate any person or entity to take related to the Agreement, Customer Data or use of the Services. You will ensure that all Users comply with your obligations under this Agreement and that the terms of your agreement with each End User are consistent with this Agreement. If you become aware of any violation of your obligations under this Agreement by an End User, you will immediately terminate such End User’s access to the Platform, Applications and Services.
User Violations. 2.1 Any User which Nemont determines to have violated any element of this AUP may be subject to a suspension or termination of service. Nemont will suspend service for violation of the AUP on the most limited basis as Nemont determines is reasonably practical under the circumstances to address the underlying violation. Nemont will attempt to notify Customer prior to suspending service for violation of the AUP (which may be via email or any other notification); provided, however, Nemont may suspend service without notice if Nemont becomes aware of a violation of any applicable law or regulation or activity, including but not limited to a violation of the AUP, that exposes Nemont to criminal or civil liability or that exposes the Nemont network or Nemont customers' network or property to harm. Such harm to a network may include, but is not limited to, risk of having an IP address placed on blacklists. Nemont may take such further action as Nemont determines to be appropriate under the circumstances to eliminate or preclude repeat violations, and Nemont shall not be liable for any damages of any nature suffered by any Customer, User, or any third party resulting in whole or in part from Nemont's exercise of its rights under this AUP.
User Violations. If (i) you breach these Terms, our policies (ii) you violate applicable laws, regulations, or third-party rights, or (iii) Curate believes it is reasonably necessary to protect Curate, its Users, or third parties; Curate may, with or without prior notice: suspend or limit your access to or use of the Curate Platform and/or your account; suspend or remove Creator Profiles, Reviews, or other Content; cancel pending or confirmed Projects; or suspend or revoke any special status associated with your account. For minor violations or where otherwise appropriate as Curate determines in its sole discretion, you will be given notice of any intended measure by Curate and an opportunity to resolve the issue. You may appeal actions taken by us under this clause by contacting customer service. If a Project is cancelled under this Section, the amount paid to the Creator will be reduced by the amount we refund or otherwise provide to the Client, and by any other costs we incur as a result of the cancellation.
User Violations. If (i) you breach these Terms (ii) you violate applicable laws, regulations or third party rights, (iii) AireStop otherwise becomes aware of or has received complaints about your performance or conduct, (vi) you have repeatedly cancelled confirmed bookings without a valid reason, or (vii) such action is necessary to protect the personal safety or property of AireStop, its Users, or third parties, AireStop may: ● suspend or limit your access to or use of the AireStop Platform and/or your account; ● suspend or remove Profiles, or other Content; ● cancel bookings; or ● suspend or revoke any special status associated with your account. In case of non-material violations or where otherwise appropriate, you will be given notice of any intended measure by AireStop and an opportunity to resolve the issue, unless such notification would (i) prevent or impede the detection or prevention of fraud or other illegal activities, (ii) harm the legitimate interests of other Users or third parties, or (iii) contravene applicable laws.
User Violations. You will be deemed to have taken any action that You permit, assist or facilitate any person or entity to take related to this Agreement, Your Content or use of the Services.

  • WAGE VIOLATIONS Contractor represents and warrants that, during the term of this Master Contract and the three (3) year period immediately preceding the award of the Master Contract, it is not determined, by a final and binding citation and notice of assessment issued by the Washington Department of Labor and Industries or through a civil judgment entered by a court of limited or general jurisdiction, to be in willful violation of any provision of Washington state wage laws set forth in RCW chapters 49.46, 49.48, or 49.52.

  • Reporting Violations a) When appropriate, faculty members will submit timely written communication to their immediate supervisor any condition that comes to their attention that may, in their judgment, pose a threat to the health or safety of any person associated with the District.

  • ALLEGED VIOLATIONS ‌ At its discretion, NRMP will investigate alleged violations of this Agreement, including but not limited to:

  • Policy Compliance Violations The Requester and Approved Users acknowledge that the NIH may terminate the DAR, including this Agreement and immediately revoke or suspend access to all controlled-access datasets subject to the NIH GDS Policy at any time if the Requester is found to be no longer in agreement with the principles outlined in the NIH GDS Policy, the terms described in this Agreement, or the Genomic Data User Code of Conduct. The Requester and PI agree to notify the NIH of any violations of the NIH GDS Policy, this Agreement, or the Genomic Data User Code of Conduct data within 24 hours of when the incident is identified. Repeated violations or unresponsiveness to NIH requests may result in further compliance measures affecting the Requester. The Requester and PI agree to notify the appropriate DAC(s) of any unauthorized data sharing, breaches of data security, or inadvertent data releases that may compromise data confidentiality within 24 hours of when the incident is identified. As permitted by law, notifications should include any known information regarding the incident and a general description of the activities or process in place to define and remediate the situation fully. Within 3 business days of the DAC notification(s), the Requester agrees to submit to the DAC(s) a detailed written report including the date and nature of the event, actions taken or to be taken to remediate the issue(s), and plans or processes developed to prevent further problems, including specific information on timelines anticipated for action. The Requester agrees to provide documentation verifying that the remediation plans have been implemented. Repeated violations or unresponsiveness to NIH requests may result in further compliance measures affecting the Requester. All notifications and written reports of data management incidents should be sent to the DAC(s) indicated in the Addendum to this Agreement. NIH, or another entity designated by NIH may, as permitted by law, also investigate any data security incident or policy violation. Approved Users and their associates agree to support such investigations and provide information, within the limits of applicable local, state, tribal, and federal laws and regulations. In addition, Requester and Approved Users agree to work with the NIH to assure that plans and procedures that are developed to address identified problems are mutually acceptable and consistent with applicable law.

  • Repeat Violations Xxxxxxx agrees to comply with all regulatory requirements and acknowledges that repeat violations could result in increased penalties in the future.

  • Sanctions for Violations 6.1 Any breach of the aforesaid provisions by the BIDDER or anyone employed by it or acting on its behalf (whether with or without the knowledge of the BIDDER) shall entitle the BUYER to take all or any one of the following actions, wherever required:-

  • Third Party Antitrust Violations The Subrecipient hereby assigns to the State of Arizona any claim for overcharges resulting from antitrust violations to the extent that such violations concern materials or services supplied by third parties to Subrecipient toward fulfillment of this Agreement.

  • Violations Promptly notify Agent in writing of any violation of any law, statute, regulation or ordinance of any Governmental Body, or of any agency thereof, applicable to any Borrower which could reasonably be expected to have a Material Adverse Effect on any Borrower.

  • Sanctions for Violation Any violation of the mandatory requirements of this WMBE Utilization provision shall be a material breach of contract for which the Contractor may be subject to damages and sanctions provided for by contract and by applicable law.

  • No Violations Seller’s execution, delivery and performance of this Agreement and the other Transaction Documents to which the Seller is a party will not violate any provision of any existing law or regulation or any order or decree of any court or the Articles of Incorporation or Bylaws of Seller, or constitute a material breach of any mortgage, indenture, contract or other agreement to which Seller is a party or by which Seller or any of Seller’s properties may be bound.
