Common use of User Content Clause in Contracts

User Content. Sawgrass makes no claim of ownership to any User Content. You can remove your User Content from the Services at any time by deleting your Account; however, you acknowledge that Sawgrass and its business partners may retain back-up or archival copies notwithstanding such termination. By uploading or providing User Content, you grant Sawgrass and its business partners, including Producers, a nonexclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of such User Content in order to enable Sawgrass and its business partners to promote, provide and enhance the Services, including to enable Producers to produce Your Products. You agree not to assert any moral rights or rights of publicity against Sawgrass or its business partners for using your User Content in accordance with the scope of such license, and you recognize Sawgrass’s and its business partners’ legitimate interest in using your User Content in accordance with this license to the extent your User Content contains any personal information. You represent and warrant that you have all the rights necessary to grant Sawgrass and its business partners the foregoing license and to allow Sawgrass and others to use your User Content for such purposes anywhere in the world, and that neither your User Content nor any of Your Products infringes the Intellectual Property Rights or other rights of third parties or violates any applicable Law. You acknowledge and agree that your User Content, Your Products and certain information about your activities on GO Exchange or GO Expression will be displayed to and viewed by other users and/or may become publicly available and that, as a result, any such User Content or Your Products may be copied, reproduced, modified and/or used by others without authorization by you. You acknowledge and agree that Sawgrass shall have no liability if any User Content is accessed or copied or Your Products are copied by others, and that all uploading and sharing of User Content, Your Products and other information on or through GO Exchange and GO Expression is done at your own risk. Sawgrass reserves the right at any time to review and delete any User Content and any Products from GO Exchange and GO Expression.

User Content. Sawgrass makes You understand that all Content made available on the Service by a user (“User Content”), including but not limited to profile information and communications with other users, whether privately transmitted or made publicly available, is the sole responsibility of the person from which such User Content originated. This means that you, not ThriveFantasy, are entirely responsible for all User Content that you upload, post, share, email, transmit, or otherwise make available via the Service. Under no claim of ownership to circumstances will ThriveFantasy be liable in any way for any User Content. You can remove your User Content from the Services at any time by deleting your Account; however, you acknowledge that Sawgrass and its business partners ThriveFantasy may retain backor may not pre-up or archival copies notwithstanding such termination. By uploading or providing screen User Content, but that ThriveFantasy and its designees have the right (but not the obligation) in their sole discretion to pre-screen, refuse, permanently delete, undelete, modify and/or move any User Content available via the Service. Without limiting the foregoing, ThriveFantasy and its designees shall have the right to remove any User Content that violates these Terms or is otherwise objectionable in ThriveFantasy’s sole discretion. You understand that by using the Service, you may be exposed to User Content that you may consider to be offensive or objectionable. You agree that you must evaluate, and bear all risks associated with, the use or disclosure of any User Content. You further acknowledge and agree that you bear the sole risk of reliance on any Content available on or through the Service. With respect to User Content you submit or otherwise make available on or to the Service, you grant Sawgrass and its business partnersThriveFantasy an irrevocable, including Producersfully sub-licensable, a nonexclusiveperpetual, worldwideworld-wide, royalty-free, irrevocable, subnon-licensable, perpetual exclusive license to use, displaydistribute, editreproduce, modify, reproduceadapt, distributepublish, storetranslate, publicly perform and prepare derivative works of publicly display such User Content (in order to enable Sawgrass and its business partners to promote, provide and enhance the Services, including to enable Producers to produce Your Products. You agree not to assert any moral rights whole or rights of publicity against Sawgrass or its business partners for using your User Content in accordance with the scope of such licensepart), and you recognize Sawgrass’s and its business partners’ legitimate interest in using your User Content in accordance with this license to the extent your User Content contains any personal information. You represent and warrant that you have all the rights necessary to grant Sawgrass and its business partners the foregoing license and to allow Sawgrass and others to use your User Content for such purposes anywhere in the world, and that neither your User Content nor any of Your Products infringes the Intellectual Property Rights or other rights of third parties or violates any applicable Law. You acknowledge and agree that your User Content, Your Products and certain information about your activities on GO Exchange or GO Expression will be displayed to and viewed by other users and/or may become publicly available and that, as a result, any incorporate such User Content into other works, in any format or Your Products may be copied, reproduced, modified and/or used by others without authorization by youmedium now known or later developed. You acknowledge and agree that Sawgrass shall have are solely responsible for your interactions with other users of the Service. ThriveFantasy reserves the right, but has no liability if any User Content is accessed or copied or Your Products are copied by othersobligation, and that all uploading and sharing of User Content, Your Products to monitor disputes between you and other information on or through GO Exchange and GO Expression is done at your own risk. Sawgrass reserves the right at any time to review and delete any User Content and any Products from GO Exchange and GO Expressionusers.

You agree not to assert any moral rights or rights of publicity against Sawgrass or its business partners for using your post User Content in accordance with the scope of such licenseratings and reviews (collectively, and you recognize Sawgrass’s and its business partners’ legitimate interest in using your “User Content in accordance with this license to the extent your User Content contains any personal informationContent”). You represent and warrant that you are the owner of, or otherwise have the right to provide, all User Content that you submit, post and/or otherwise transmit through the rights necessary Services. You further represent and warrant that any User Content that you submit, post and/or otherwise transmit through the Services (i) does not violate any third-party right, including any copyright, trademark, patent, trade secret, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) does not contain material that is false, intentionally misleading, or defamatory; (iii) does not contain any material that is unlawful; (iv) does not violate any law or regulation; and (v) does not violate this Agreement. You hereby grant Food Fling LLC a perpetual, irrevocable, transferable, fully paid, royalty-free, non-exclusive, worldwide, fully sublicenseable right and license to use, copy, display, publish, modify, remove, publicly perform, translate, create derivative works, distribute and/or otherwise use the User Content in connection with Food Fling LLC’s business and in all forms now known or hereafter invented (“Uses”), without notification to and/or approval by you. You further grant Sawgrass Food Fling LLC a license to use your username, first name and its business partners last initial, and/or other User profile information, including without limitation, your ratings history, to attribute User Content to you in connection with such Uses, without notification or approval by you. You agree that this license includes the foregoing license right for other Users to access and to allow Sawgrass and others to use your User Content for such purposes anywhere in conjunction with participation in the worldServices and as permitted through the functionality of the Services. In the interest of clarity, and the license granted to Food Fling LLC herein shall survive termination of the Services or your account. Food Fling LLC reserves the right in its sole discretion to remove or disable access to any User Content from the Services, suspend or terminate your account at any time, or pursue any other remedy or relief available under equity or law if you post any User Content that neither violates this Agreement or any community or content guidelines we may publish or that we consider to be objectionable for any reason. You agree that Food Fling LLC may monitor and/or delete your User Content nor (but does not assume the obligation) for any of Your Products infringes the Intellectual Property Rights or other rights of third parties or violates reason in Food Fling LLC’s sole discretion. Food Fling LLC may also access, read, preserve, and disclose any information as Food Fling LLC reasonably believes is necessary to (a) satisfy any applicable Law. You acknowledge law, regulation, legal process, or governmental request, (b) enforce this Agreement, including investigation of potential violations hereof, (c) detect, prevent, or otherwise address fraud, security, or technical issues, (d) respond to User support requests, or (e) protect the rights, property or safety of Food Fling LLC, its Users and agree that your User Content, Your Products and certain information about your activities on GO Exchange or GO Expression will be displayed to and viewed by other users and/or may become publicly available and that, as a result, any such User Content or Your Products may be copied, reproduced, modified and/or used by others without authorization by you. You acknowledge and agree that Sawgrass shall have no liability if any User Content is accessed or copied or Your Products are copied by others, and that all uploading and sharing of User Content, Your Products and other information on or through GO Exchange and GO Expression is done at your own risk. Sawgrass reserves the right at any time to review and delete any User Content and any Products from GO Exchange and GO Expressionpublic.

User Content. Sawgrass makes no claim The Okta Consumer Products may include features and functionality which permit You to provide, transmit, upload, or otherwise make available content to or through the Okta Consumer Products (“User Content”). You agree not to upload or provide any User Content that: (a) libelous, defamatory, obscene, abusive, pornographic, threatening, or an invasion of ownership privacy or includes any offensive comments; (b) infringes, misappropriates, or otherwise violates any intellectual property rights of any third party; (c) is illegal or violent or advocates or promotes illegal or violent activities; (d) or is otherwise in violation of these Terms. You represent and warrant to Okta and its affiliates that You own all right, title, and interest in and to any User ContentContent that You provide or upload to the Site or through the Okta Consumer Products, or that You have sufficient rights to grant Okta the rights discussed in these Terms. You can remove your By providing or uploading any User Content from to the Services at any time by deleting your Account; howeverOkta Consumer Products, you acknowledge that Sawgrass and its business partners may retain backYou hereby grant Okta a non-up or archival copies notwithstanding such termination. By uploading or providing User Content, you grant Sawgrass and its business partners, including Producers, a nonexclusive, worldwideexclusive, royalty-free, perpetual, irrevocable, sub-licensable, perpetual license fully transferable and fully sublicensable right to use, copy, store, reproduce, modify, display, adapt, publish, translate, create derivative works from and distribute such User Content for any purpose whatsoever, throughout the world, in any form, media, software, or technology of any kind. In addition, You waive all moral rights in the User Content and warrant that all moral rights applicable to such User Content have been waived. You also grant Okta the right to use Your name (and Account name or information) in connection with the reproduction or distribution of such material. Okta has no obligation to monitor or enforce any intellectual property rights that may be associated with Your User Content. Okta has no obligation to accept, display, review, monitor, or maintain any User Content. Okta does have the right to delete User Content from the Okta Consumer Products without notice for any reason at any time. Okta may move, re-format, edit, modifyalter, distort, remove or refuse to exploit User Content without notice to You and without liability; provided, however, that Okta reserves the right to treat User Content as content stored at the direction of users. You agree and acknowledge that You do not rely on Okta to monitor or edit the Okta Consumer Products or any Content therein and that the Okta Consumer Products may contain Content (including User Content) which You find offensive, and You hereby waive any objections or claims You might have with respect to such Content. In addition, all comments, feedback, suggestions, ideas, and other submissions (“Feedback”) disclosed, submitted, or offered to Okta in connection with the use of the Okta Consumer Products shall be considered gratuitous, unsolicited and without restriction, and will not place Okta under any obligation to You, and You hereby grant Okta a non-exclusive, royalty-free, perpetual, irrevocable, fully transferable and fully sublicensable right to use, copy, store, reproduce, distributemodify, storedisplay, and prepare adapt, publish, translate, create derivative works of from and distribute such User Content in order to enable Sawgrass and its business partners to promoteFeedback for any purpose whatsoever, provide and enhance the Services, including to enable Producers to produce Your Products. You agree not to assert any moral rights or rights of publicity against Sawgrass or its business partners for using your User Content in accordance with the scope of such license, and you recognize Sawgrass’s and its business partners’ legitimate interest in using your User Content in accordance with this license to the extent your User Content contains any personal information. You represent and warrant that you have all the rights necessary to grant Sawgrass and its business partners the foregoing license and to allow Sawgrass and others to use your User Content for such purposes anywhere in throughout the world, in any form, media, software, or technology of any kind, without restriction and that neither your User Content nor any of Your Products infringes the Intellectual Property Rights or other rights of third parties or violates any applicable Law. You acknowledge and agree that your User Content, Your Products and certain information about your activities on GO Exchange or GO Expression will be displayed without compensation to and viewed by other users and/or may become publicly available and that, as a result, any such User Content or Your Products may be copied, reproduced, modified and/or used by others without authorization by you. You acknowledge and agree that Sawgrass shall have no liability if any User Content is accessed or copied or Your Products are copied by others, and that all uploading and sharing of User Content, Your Products and other information on or through GO Exchange and GO Expression is done at your own risk. Sawgrass reserves the right at any time to review and delete any User Content and any Products from GO Exchange and GO ExpressionYou.

You agree not to assert any moral rights or rights of publicity against Sawgrass or its business partners for using your post User Content in accordance with the scope of such licenseratings and reviews (collectively, and you recognize Sawgrass’s and its business partners’ legitimate interest in using your “User Content in accordance with this license to the extent your User Content contains any personal informationContent”). You represent and warrant that you are the owner of, or otherwise have the right to provide, all User Content that you submit, post and/or otherwise transmit through the rights necessary Services. You hereby grant DoorDash a perpetual, irrevocable, transferable, fully paid, royalty-free, non-exclusive, worldwide, fully sublicenseable right and license to use, copy, display, publish, modify, remove, publicly perform, translate, create derivative works, distribute and/or otherwise use the User Content in connection with DoorDash’s business and in all forms now known or hereafter invented (“Uses”), without notification to and/or approval by you. You further grant Sawgrass DoorDash a license to use your username and/or other User profile information, including without limitation your ratings history, to attribute User Content to you in connection with such Uses, without notification or approval by you. You agree that this license includes the right for other Users to access and its business partners the foregoing license and to allow Sawgrass and others to use your User Content for such purposes anywhere in conjunction with participation in the worldServices and as permitted through the functionality of the Services. In the interest of clarity, and the license granted to DoorDash herein shall survive termination of the Services or your account. DoorDash reserves the right in its sole discretion to remove or disable access to any User Content from the Services, suspend or terminate your account at any time, or pursue any other remedy or relief available under equity or law if you post any User Content that neither violates this Agreement or we consider to be objectionable for any reason. You agree that DoorDash may monitor and/or delete your User Content nor (but does not assume the obligation) for any of Your Products infringes the Intellectual Property Rights or other rights of third parties or violates reason in DoorDash’s sole discretion. DoorDash may also access, read, preserve, and disclose any information as DoorDash reasonably believes is necessary to (i) satisfy any applicable Law. You acknowledge law, regulation, legal process, or governmental request, (ii) enforce this Agreement, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security, or technical issues, (iv) respond to User support requests, or (v) protect the rights, property or safety of DoorDash, its users and agree that your User Content, Your Products and certain information about your activities on GO Exchange or GO Expression will be displayed to and viewed by other users and/or may become publicly available and that, as a result, any such User Content or Your Products may be copied, reproduced, modified and/or used by others without authorization by you. You acknowledge and agree that Sawgrass shall have no liability if any User Content is accessed or copied or Your Products are copied by others, and that all uploading and sharing of User Content, Your Products and other information on or through GO Exchange and GO Expression is done at your own risk. Sawgrass reserves the right at any time to review and delete any User Content and any Products from GO Exchange and GO Expressionpublic.

You can remove your By submitting such User Content from the Services at any time by deleting your Account; howeverto Caremerge, you acknowledge agree that Sawgrass you assign to Caremerge, without charge, all worldwide rights, title and its business partners may retain back-up or archival copies notwithstanding such termination. By uploading or providing User Content, you grant Sawgrass and its business partnersinterest, including Producerscopyrights and other intellectual property rights, a nonexclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license in and to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of the User Content . Caremerge shall be free to use such User Content in order any manner or media whatsoever, on an unrestricted basis and without any compensation or royalties to enable Sawgrass you. Notwithstanding anything to the contrary herein, Caremerge agrees to not use or disclose any Protected Health Information (as defined in the Health Insurance Portability and its business partners Accountability Act of 1996, Public Law 104-191 ("HIPAA"), as amended by subtitle D of Title XIII of division A of the American Recovery and Reinvestment Act of 2009, Public Law 111-5 (the "HITECH Act"), and the applicable regulations promulgated under HIPAA and the HITECH Act (collectively, the "HIPAA Regulations")) that has been submitted to promoteCaremerge through or in association with the Services other than as permitted or required by applicable law, provide including, but not limited to, HIPAA, the HITECH Act and enhance the ServicesHIPAA Regulations (collectively, including to enable Producers to produce Your Productsthe "Healthcare Laws"). You agree not to assert any moral rights or rights of publicity against Sawgrass or its business partners for using your User Content in accordance with the scope of such license, and you recognize Sawgrass’s and its business partners’ legitimate interest in using your User Content in accordance with this license to the extent your User Content contains any personal information. You also represent and warrant that you have own or otherwise control all of the rights necessary to grant Sawgrass and its business partners the foregoing license and to allow Sawgrass and others to use your User Content for such purposes anywhere in and Protected Health Information, as applicable (collectively, the world"Content"), that you upload to the Services; that the User Content is accurate; and that neither your use of the User Content nor you supply does not violate this policy applicable law (including any of Your Products infringes the Intellectual Property Rights Healthcare Laws) and will not cause injury to any person or other rights of entity. Caremerge has the right but not the obligation to monitor and edit or remove User Content. Caremerge takes no responsibility and assumes no liability for any Content posted by you or any third parties or violates any applicable Lawparty. You If you are a medical care provider, you acknowledge and agree that (i) any medical care decisions made by you using the patient specific content on the Services (including any Protected Health Information for such patient, collectively, the "Patient Information") is your User Contentresponsibility, Your Products and certain information about your activities (ii) Caremerge is a tool to assist you in reviewing such Patient Information that has been entered by various care providers of the subject patient on GO Exchange or GO Expression will the Services, (iii) such Patient Information accessed by you on the Services should not be displayed to and viewed by other users and/or may become publicly available and that, as a result, any such User Content or Your Products may be copied, reproduced, modified and/or used by others without authorization by you. You acknowledge you as the ONLY information in making necessary medical care decisions for such subject patient and agree that Sawgrass shall have no liability if any User Content is accessed or copied or Your Products are copied by others, (iv) you should use your training and that experience in the medical field to collect all uploading and sharing of User Content, Your Products and other necessary information on or through GO Exchange and GO Expression is done at your own risk. Sawgrass reserves in making the right at any time to review and delete any User Content and any Products from GO Exchange and GO Expressionappropriate medical care decision for such subject patient.

User Content. Sawgrass 6.1 Cogniteam allows all its Licensed Product's Customers to submit, post, transmit, and share content with other users under the following terms: • Cogniteam simply displays or makes no claim the User Content available to its Licensed Product's Customers and does not otherwise control the content thereof. • Cogniteam does not guarantee any accuracy or confidentiality with respect to any information contained in any User Content, and strongly recommends that each Customer thinks carefully about what he transmits, submits or posts to or through the Licensed Product. • The Customer understand that all information contained in User Content is the sole responsibility of ownership the person from whom such User Content originated. This means that each Customer, and not Cogniteam, is entirely responsible for all User Content that he uploads, posts, transmits, or otherwise make available, as well as for any actions taken by Cogniteam or other users as a result of such User Content. • Cogniteam intends to, but does not guarantee that it will, display or make any User Content available on or through the Licensed Product, and Cogniteam reserves the right to refuse to allow any User Content, or to edit or remove any User Content at any time with or without prior notice, if Cogniteam reasonably believes that such User Content are in violation of this User License Agreement or otherwise disrupt or threaten the Licensed Product. Customer agrees to immediately take down any User Content that violates this User License Agreement, including pursuant to a take-down request from Cogniteam. In the event that Customer elects not to comply with a request from Cogniteam to take down certain User Content, Cogniteam reserves the right to directly take down such User Content, or to suspend or terminate Customer's License Agreemnt. • By uploading or submitting any User Content, customer hereby grants Cogniteam and its affiliates and partners a worldwide, non-exclusive, fully paid-up, royalty-free license to reproduce, reformat, distribute, publicly display, and publicly perform your User Content in connection with providing the customer and other users with the services, features and functionalities available on or through the Licensed Product; provided, that for any User Content that is subject to an open source license, Cogniteam’s rights shall be limited to the rights granted under the applicable open source license. • The Service requires the Customer to specify or upload the terms under which other users will be licensed to use his User Content. • Customer is solely responsible for its own User Content and the consequences of posting or publishing them. In connection with User Content, Customer affirms, represents, and warrants that: (i) he either own his User Content or have the necessary licenses, rights, consents, and permissions to grant the rights and licenses granted, and (ii) the Cogniteam Licensee’s exercise of the license rights, does not and will not require obtaining a license from or paying any fees and/or royalties to any third party for the exercise of any rights granted. • Customer will not upload, post, transmit or otherwise make available through the Licensed Product any content that infringes any patent, trademark, copyright, trade secret or other proprietary right of any party. • Customer will not download any content posted by another user that he knows, or reasonably should know, that cannot be legally distributed in such manner. • Customer will not impersonate another person or otherwise misrepresent himself or the source of any content. • Customer understands that Cogniteam may inspect his User Content, including but not limited to scanning for vulnerabilities, at any time to check for potential security vulnerabilities and other issues. Cogniteam may request that Customer immediately remedy any issue it discovers in his User Content and retains the right to remove any User Content at any time without notice for any valid business or technical reasons, such as if security vulnerabilities are identified in such User Content. • Customer understands that User Content made available on or through the Service comes from a variety of sources and that Cogniteam does not endorse and is not responsible for the accuracy, usefulness, or intellectual property rights of or relating to such User Content. Customer understands that Cogniteam cannot, and does not, review all User Content and does not endorse any User Content. You can remove your Customer further understands and acknowledges that he may be exposed to User Content from the Services at any time by deleting your Account; howeverthat is inaccurate, you acknowledge that Sawgrass and its business partners may retain back-up misleading, infringing, or archival copies notwithstanding such terminationotherwise objectionable. By uploading or providing User Content, you grant Sawgrass and its business partners, including Producers, a nonexclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license Customer agrees to use, display, edit, modify, reproduce, distribute, storewaive, and prepare derivative works of such User Content in order to enable Sawgrass and its business partners to promotehereby does waive, provide and enhance the Services, including to enable Producers to produce Your Products. You agree not to assert any moral legal or equitable rights or rights of publicity remedies he has or may have against Sawgrass Cogniteam with respect thereto. • Customer agrees that Cogniteam has no responsibility or its business partners liability for using your User Content in accordance with the scope of such license, and you recognize Sawgrass’s and its business partners’ legitimate interest in using your User Content in accordance with this license deletion or failure to the extent your User Content contains any personal information. You represent and warrant that you have all the rights necessary to grant Sawgrass and its business partners the foregoing license and to allow Sawgrass and others to use your User Content for such purposes anywhere in the world, and that neither your User Content nor any of Your Products infringes the Intellectual Property Rights or other rights of third parties or violates any applicable Law. You acknowledge and agree that your User Content, Your Products and certain information about your activities on GO Exchange or GO Expression will be displayed to and viewed by other users and/or may become publicly available and that, as a result, any such User Content or Your Products may be copied, reproduced, modified and/or used by others without authorization by you. You acknowledge and agree that Sawgrass shall have no liability if any User Content is accessed or copied or Your Products are copied by others, and that all uploading and sharing of User Content, Your Products and other information on or through GO Exchange and GO Expression is done at your own risk. Sawgrass reserves the right at any time to review and delete store any User Content and other communications maintained on or transmitted through use of the Licensed Product. Customer further acknowledges that he is solely responsible for securing and backing up any Products from GO Exchange and GO ExpressionUser Content or other communication he uploads or transmits to or through the Licensed Product.

User Content. Sawgrass makes Certain features or areas of the Service may allow you to upload certain information or content to the Service, including your resume, videos, comments, feedback, and other information, data or materials (collectively, “User Content”). You acknowledge that you are responsible for the User Content you submit through the Service, and that you, and not IAA, willbear full responsibility for each item of User Content, including its legality, reliability, appropriateness, originality and copyright. Except where otherwise expressly provided by IAA or IAA’S Privacy Policy, all such User Content shall be PROVIDED ON A NON-CONFIDENTIAL BASIS with no claim obligation on our part to keep such information secret. You retain all rights, title and interest in and to any and all User Content that you provide via the Service. Nonetheless, except as otherwise expressly provided by IAA, you agree that by submitting any User Content to IAA on or through the Service, you hereby grant to IAA a non-exclusive, perpetual, irrevocable, worldwide, unrestricted, sublicenseable, royalty-free right and license to reproduce, copy, modify, adapt, publish, translate, create derivative works based on, distribute, perform, display and/or otherwise use any such User Content in our sole discretion, including incorporating any such User Content in other works in any form, media, or technology now known or hereafter developed, and you represent and warrant that all moral rights or other non-assignable rights in uploaded User Content been waived for the benefit of ownership to IAA and its successors, assigns and licensees. YOU HEREBY RELEASE IAA from any liability under any legal theory in connectionwith the use, modification, sale, or disclosure of any User Content. You can remove your User Content from the Services at any time by deleting your Account; however, you acknowledge that Sawgrass and its business partners may retain back-up or archival copies notwithstanding such termination. By uploading or providing User Content, you grant Sawgrass and its business partners, including Producers, a nonexclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of such User Content in order to enable Sawgrass and its business partners to promote, provide and enhance the Services, including to enable Producers to produce Your Products. You agree not to assert upload on or transmit to or via the Service any moral rights User Content which: (i) infringes or otherwise violates any copyright, patent, trademark, trade secret, trade name or other proprietary right or the privacy rights of publicity against Sawgrass any individual; (ii) is defamatory, libelous, harassing, expresses hate, or its business partners for using your User Content in accordance with the scope is unlawfully threatening; (iii) is pornographic, obscene or exploitative of such licensea minor; (iv) contains or embodies a virus, and you recognize Sawgrass’s and its business partners’ legitimate interest in using your User Content in accordance with this license to the extent your User Content contains any personal information. You represent and warrant that you have all the rights necessary to grant Sawgrass and its business partners the foregoing license and to allow Sawgrass and others to use your User Content for such purposes anywhere in the worldworm, and that neither your User Content nor any of Your Products infringes the Intellectual Property Rights Trojan horse or other rights contaminating or destructive feature; or (v) otherwise violates any applicable treaty, law, rule or regulation. IAA does not necessarily endorse, support, sanction, encourage, verify, or agree with any comments, opinions, or statements of third parties or violates any applicable Law. You acknowledge and agree that your User Content, Your Products and certain information about your activities on GO Exchange or GO Expression will as may be displayed on or transmitted via the Service. Any information or materials placed on the Service by third parties arethe views and responsibility of those who post the statements, and do not necessarily represent theviews of IAA. IAA reserves the right in its solediscretion to and viewed by other users and/or may become publicly available and thatfilter, as a resultcensor, any such edit or regulate User Content or Your Products may be copied, reproduced, modified and/or used by others without authorization by you. You acknowledge and agree that Sawgrass shall have no liability if any User Content is accessed or copied or Your Products are copied by others, and that all uploading and sharing of User Content, Your Products and other information provided by third parties on or through GO Exchange and GO Expression is done at your own risk. Sawgrass reserves the right at any time to review and delete any User Content and any Products from GO Exchange and GO Expressionthis Service.

You agree not to assert any moral rights or rights of publicity against Sawgrass or its business partners for using your post User Content in accordance with the scope of such licenseratings and reviews (collectively, and you recognize Sawgrass’s and its business partners’ legitimate interest in using your “User Content in accordance with this license to the extent your User Content contains any personal informationContent”). You represent and warrant that you are the owner of, or otherwise have the right to provide, all User Content that you submit, post and/or otherwise transmit through the rights necessary Services. You hereby grant Neighborhood Express a perpetual, irrevocable, transferable, fully paid, royalty-free, non-exclusive, worldwide, fully sublicensable right and license to use, copy, display, publish, modify, remove, publicly perform, translate, create derivative works, distribute and/or otherwise use the User Content in connection with Neighborhood Express business and in all forms now known or hereafter invented (“Uses”), without notification to and/or approval by you. You further grant Sawgrass Neighborhood Express a license to use your username and/or other User profile information, including without limitation your ratings history, to attribute User Content to you in connection with such Uses, without notification or approval by you. You agree that this license includes the right for other Users to access and its business partners the foregoing license and to allow Sawgrass and others to use your User Content for such purposes anywhere in conjunction with participation in the worldServices and as permitted through the functionality of the Services. In the interest of clarity, and the license granted to Neighborhood Express herein shall survive termination of the Services or your account. Neighborhood Express reserves the right in its sole discretion to remove or disable access to any User Content from the Services, suspend or terminate your account at any time, or pursue any other remedy or relief available under equity or law if you post any User Content that neither violates this Agreement or we consider to be objectionable for any reason. You agree that Neighborhood Express may monitor and/or delete your User Content nor (but does not assume the obligation) for any of Your Products infringes the Intellectual Property Rights or other rights of third parties or violates reason in Neighborhood Express sole discretion. Neighborhood Express may also access, read, preserve, and disclose any information as Neighborhood Express reasonably believes is necessary to (i) satisfy any applicable Law. You acknowledge law, regulation, legal process, or governmental request, (ii) enforce this Agreement, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security, or technical issues, (iv) respond to User support requests, or (v) protect the rights, property or safety of Neighborhood Express, its users and agree that your User Content, Your Products and certain information about your activities on GO Exchange or GO Expression will be displayed to and viewed by other users and/or may become publicly available and that, as a result, any such User Content or Your Products may be copied, reproduced, modified and/or used by others without authorization by you. You acknowledge and agree that Sawgrass shall have no liability if any User Content is accessed or copied or Your Products are copied by others, and that all uploading and sharing of User Content, Your Products and other information on or through GO Exchange and GO Expression is done at your own risk. Sawgrass reserves the right at any time to review and delete any User Content and any Products from GO Exchange and GO Expressionpublic.

By submitting such User Content to Caremerge, you agree that you assign to Caremerge, without charge, all worldwide rights, title and interest, including copyrights and other intellectual property rights, in and to the User Content. You can remove your User Content from the Services at any time by deleting your Account; however, you acknowledge that Sawgrass and its business partners may retain back-up or archival copies notwithstanding such termination. By uploading or providing User Content, you grant Sawgrass and its business partners, including Producers, a nonexclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license Caremerge shall be free to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of use such User Content in order any manner or media whatsoever, on an unrestricted basis and without any compensation or royalties to enable Sawgrass you. Notwithstanding anything to the contrary herein, Caremerge agrees to not use or disclose any Protected Health Information (as defined in the Health Insurance Portability and its business partners Accountability Act of 1996, Public Law 104-191 ("HIPAA"), as amended by subtitle D of Title XIII of division A of the American Recovery and Reinvestment Act of 2009, Public Law 111-5 (the "HITECH Act"), and the applicable regulations promulgated under HIPAA and the HITECH Act (collectively, the "HIPAA Regulations")) that has been submitted to promoteCaremerge through or in association with the Services other than as permitted or required by applicable law, provide including, but not limited to, HIPAA, the HITECH Act and enhance the ServicesHIPAA Regulations (collectively, including to enable Producers to produce Your Productsthe "Healthcare Laws"). You agree not to assert any moral rights or rights of publicity against Sawgrass or its business partners for using your User Content in accordance with the scope of such license, and you recognize Sawgrass’s and its business partners’ legitimate interest in using your User Content in accordance with this license to the extent your User Content contains any personal information. You also represent and warrant that you have own or otherwise control all of the rights necessary to grant Sawgrass and its business partners the foregoing license and to allow Sawgrass and others to use your User Content for such purposes anywhere in and Protected Health Information, as applicable (collectively, the world"Content"), that you upload to the Services; that the User Content is accurate; and that neither your use of the User Content nor you supply does not violate this policy applicable law (including any of Your Products infringes the Intellectual Property Rights Healthcare Laws) and will not cause injury to any person or other rights of entity. Caremerge has the right but not the obligation to monitor and edit or remove User Content. Caremerge takes no responsibility and assumes no liability for any Content posted by you or any third parties or violates any applicable Lawparty. You If you are a medical care provider, you acknowledge and agree that (i) any medical care decisions made by you using the patient specific content on the Services (including any Protected Health Information for such patient, collectively, the "Patient Information") is your User Contentresponsibility, Your Products and certain information about your activities (ii) Caremerge is a tool to assist you in reviewing such Patient Information that has been entered by various care providers of the subject patient on GO Exchange or GO Expression will the Services, (iii) such Patient Information accessed by you on the Services should not be displayed to and viewed by other users and/or may become publicly available and that, as a result, any such User Content or Your Products may be copied, reproduced, modified and/or used by others without authorization by you. You acknowledge you as the ONLY information in making necessary medical care decisions for such subject patient and agree that Sawgrass shall have no liability if any User Content is accessed or copied or Your Products are copied by others, (iv) you should use your training and that experience in the medical field to collect all uploading and sharing of User Content, Your Products and other necessary information on or through GO Exchange and GO Expression is done at your own risk. Sawgrass reserves in making the right at any time to review and delete any User Content and any Products from GO Exchange and GO Expressionappropriate medical care decision for such subject patient.
