Certain areas of the Platform may enable you to post comments, send messages, correspond with others and/or otherwise post content (“User Content”) in connection with various features that Spectra may elect to offer, such as information libraries, e-mail service, bulletin boards, chatrooms, electronic postcards, chats with special guests, e-mails, and forums to communicate with others (“Message Features”). You must use the Message Features in a responsible manner and you are fully responsible for all User Content that you provide to us or others. Your License to Us. By submitting User Content, you grant us and our designees a royalty-free, irrevocable, perpetual, non-exclusive, worldwide, fully sub-licensable, transferable, license to publish, reproduce, distribute, display, perform, edit, adapt, modify, translate, create derivative works, make, sell, offer for sale, export, and otherwise use and exploit your User Content (or any portion thereof) in any way that we want and in any form, media, or technology now known or later developed. You hereby waive any moral rights you may have in your User Content in favor of Spectra and any of its designees. You represent that you have obtained all necessary permissions necessary to grant us those rights, including from any person identified in or implicated by your submission (including those shown in photographic content), and, in the case of minors, also from their parents or legal guardians, as appropriate. No Obligation to Publish. We are not obligated to publish, transmit or use your User Content. Spectra is not in any manner endorsing any User Content that it may publish or post on the Platform and cannot, and will not, vouch for its reliability. Spectra is not responsible for any User Content and has no duty to monitor User Content. You use any information contained in User Content at your own risk. Spectra and its designees have the right, in their sole discretion, to monitor, review, edit, remove, delete, disable, refuse, restrict, or terminate access to your User Content or the Platform (in whole or in part) at any time, without prior notice and in our sole discretion, for any or no reason. The obligations that you have to us under these Terms shall survive termination of the Platform, any use by you of the Platform, any User Content on the Platform, or these Terms. You will not continue to post any User Content that Spectra has previously advised you not to post.

Spectra is not responsible for any use or disclosure of Your Content by other Users or any third party who gains access to it through the Service (which may include unintended activities by third parties, such as by hackers). You represent and warrant that you own all proprietary rights in Your Content or, with respect to any of Your Content you do not own, that you have the full authority and right to create, upload, store and/or transmit Your Content, and to grant the licenses and rights you have granted in this Agreement, and that your creation, uploading, storage and/or transmission of Your Content, and the exercise by us and other Users of the licenses and rights granted by you herein, shall not infringe any third party intellectual property or proprietary rights, nor violate any rights of privacy or publicity. We do not control User Content, and we are not responsible for its content, accuracy or reliability. We are under no obligation to edit or control User Content, although we reserve the right to review, and take certain actions with respect to, User Content and has no duty to monitor User Contentin accordance with this Agreement, including the Privacy Policy (as defined below). You use any information contained in User Content at your own risk. Spectra and its designees have In the rightevent that we deem, in their sole discretion, to monitor, review, edit, remove, delete, disable, refuse, restrict, or terminate access to your User Content or the Platform (in whole or in part) at any time, without prior notice and in our sole discretion, for any or no reason. The obligations that you have to us under these Terms shall survive termination of the Platform, any use by you of the Platform, any User Content on to be inconsistent with the Platformterms of this Agreement, the Privacy Policy, or these Termsany other rules or policies we may publish from time to time, we may remove such User Content from the Service, including incomplete posts, duplicate posts, or any other User Content we deem, in our sole discretion, to be misleading or otherwise inappropriate. You will not continue On termination of your account, or this Agreement, we have no obligation to post return any User Content that Spectra has previously advised to you, so you not should retain copies of all of Your Content. In addition to postand without limiting any other rights herein (including in the Privacy Policy), you also grant us the rights to (i) de-identify Your Content (i.e., to remove your name and other identifying characteristics, consistent with applicable laws and regulations), (ii) use or disclose de-identified data for any purpose, and (iii) share de- identified data with third parties.

Spectra We also have the right to utilize data capture, syndication and analysis tools, and other similar tools, to extract, compile, synthesize, and analyze data or information concerning access and use of our offering (but not User Content) by you and other Users. We solely own the results of such extractions, compilations, syntheses and analyses, may use them for any lawful business purpose without accounting to you or any other User, and may distribute them without accounting to you or any other User as long as no User Content or other personally identifiable information is revealed and the information is reported only in aggregated form. You represent and warrant that: (i) you own the User Content posted by you or otherwise have the right to grant the rights set forth in this section, and (ii) the posting of your User Content does not violate the privacy rights, publicity rights, copyrights, trademarks, contract rights or any other rights of any person. You agree to pay for all royalties, fees, and any other monies owing to any person by reason of any User Content. We are committed to ensuring that this remains a safe place to view content. To that end, you may not post or process User Content that is prohibited (see Section 1 above). We and your Subscriber (if your use is in any manner endorsing connection with a Subscriber) have the sole discretion to determine whether User Content is prohibited, and any User Content that it submitted may publish be subject to examination from time to time. Although we do not and will not examine or post on the Platform and cannototherwise review all User Content, we may delete, move, and will not, vouch for its reliability. Spectra is not responsible edit any content for any User Content and has no duty to monitor User Content. You use any information contained in User Content at your own risk. Spectra Comcast Spectacor and its designees have the right, in their sole discretion, to monitor, review, edit, remove, delete, disable, refuse, restrict, or terminate access to your User Content or the Platform (in whole or in part) at any time, without prior notice and in our sole discretion, for f or any or no reason. The obligations that you have to us under these Terms shall survive termination of the Platform, any use by you of the Platform, any User Content on the Platform, or these Terms. You will not continue to post any User Content that Spectra Comcast Spectacor has previously advised you not to post.

User Content. Certain areas We do not claim any proprietary rights in the text, files, images, photos, works of authorship, or any other materials which you upload and/or input to the App (collectively, "User Content"). Furthermore, you represent and warrant that you have the right to grant the license described above. You acknowledge that Beats Therapeutics is not responsible or liable to you or any third party for the content or accuracy or completeness of the User Content. However, we reserve the right at all times, in a responsible manner our sole discretion, to screen the User Content and you are fully to edit, move, delete and/or refuse to accept any User Content that in our judgment violates this User Agreement or is otherwise unacceptable or inappropriate, whether for legal or other reasons. We cannot be responsible for all maintaining any User Content that you provide to us or others. Your License to Us. By submitting User Content, you grant us and our designees a royalty-free, irrevocable, perpetual, non-exclusive, worldwide, fully sub-licensable, transferable, license to publish, reproduce, distribute, display, perform, edit, adapt, modify, translate, create derivative works, make, sell, offer for sale, exportus, and otherwise use and exploit your User Content (we may delete or destroy any portion thereof) in any way that we want and in any form, media, or technology now known or later developed. You hereby waive any moral rights you may have in your User Content in favor of Spectra and any of its designees. You represent that you have obtained all necessary permissions necessary to grant us those rights, including from any person identified in or implicated by your submission (including those shown in photographic content), and, in the case of minors, also from their parents or legal guardians, as appropriate. No Obligation to Publish. We are not obligated to publish, transmit or use your User Content. Spectra is not in any manner endorsing any User Content that it may publish or post on the Platform and cannot, and will not, vouch for its reliability. Spectra is not responsible for any User Content and has no duty to monitor User Content. You use any information contained in such User Content at your own risk. You will only submit User Content if: you are the sole author and owner of all rights to the User Content or have all necessary permissions; your submission is in accordance with these Terms and any other guidance we provide on the Platform; and your submission complies with all applicable laws and regulations. We retain sole discretion to remove any User Content from our Platform for any reason. You will not submit User Content that you provide may cause injury to us any person or othersentity; is false or misleading; infringes any third party's copyright, patent, trademark, trade secret or other proprietary rights; violates anyone’s rights to privacy or publicity; violates any law or regulation; includes content or links to content that could be considered defamatory, libelous, knowingly false, fraudulent, indecent, violent, obscene, profane, hateful, racially or religiously biased, threatening, or harassing; is inconsistent with the safe and proper use of any Whirlpool product or service; or promotes commercial activities and/or sales without our prior written consent. Your License to Us. By submitting User ContentOther than your personal information (e.g., your name, address, and email address), you grant us and our designees authorized third-party affiliates a worldwide, perpetual, irrevocable, royalty-free, irrevocable, perpetual, non-exclusive, worldwide, fully sub-licensable, transferable, transferable license to publishyour User Content, reproduceincluding any username or social media handle you used when submitting the User Content. Spectra is not in any manner endorsing any You acknowledge that all your User Content that it may publish or post on the Platform be used and cannotshared by us with third parties. YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF THE PLATFORM, and will notYOUR USER CONTENT, vouch for its reliabilityOTHERS’ USER CONTENT THAT YOU CHOOSE TO USE, AND ANY CONSEQUENCES THEREOF. Spectra is not responsible for any Social Media We welcome you to share User Content and has no duty information about our products and services through social media. When you use social media to monitor User Contentshare Platform content, you grant us the right to reproduce and publish your social media posting and to use the username / social media handle that you used when sharing the content. You use any information contained in User Content at your own risk. Spectra are responsible for complying with the terms and its designees have the right, in their sole discretion, to monitor, review, edit, remove, delete, disable, refuse, restrict, or terminate access to your User Content or the Platform (in whole or in part) at any time, without prior notice and in our sole discretion, for any or no reason. The obligations that you have to us under these Terms shall survive termination conditions of the Platform, any use by you of the Platform, any User Content on the Platform, or these Terms. You will not continue to post any User Content that Spectra has previously advised you not to postsocial media platforms.

We do not control User Content, and we are not responsible for its content, accuracy or reliability. We are under these Terms shall survive no obligation to edit or control User Content, although we reserve the right to review, and take certain actions with respect to, User Content in accordance with this Agreement, including the Privacy Policy and the Insurance Documentation (each as defined below). On termination of the Platformyour account, any use by you of the Platformor this Agreement, we have no obligation to return any User Content on to you, so you should retain copies of all of Your Content. In addition to and without limiting any other rights herein (including in the PlatformPrivacy Policy and the Insurance Documentation), you also grant us the rights to (i) de-identify Your Content (i.e., to remove your name and other identifying characteristics, consistent with applicable laws and regulations), (ii) use or these Terms. You will not continue disclose de-identified data for any purpose, and (iii) allow us to post any User Content that Spectra has previously advised you not to postshare de-identified data with third parties.

Your License to UsNFMA DOES NOT ENDORSE ANY USER CONTENT SUBMITTED THROUGH THE SERVICES, AND NFMA HAS NO RESPONSIBILITY OR LIABILITY WITH RESPECT TO ANY USER CONTENT SUBMITTED THROUGH THE SERVICES OR FOR ANY RESULTS CAUSED BY USING SUCH USER CONTENT. Any User Content is posted and otherwise made available in our Services on a non-confidential and non-proprietary basis. By submitting providing User Content, you grant us NFMA and our designees a service providers, and each of their and our respective licensees, successors and assigns the worldwide, unrestricted, royalty-free, irrevocable, perpetualtransferable, non-exclusive, worldwide, fully sub-licensable, transferable, license licensable right to (a) publish, reproducepublicly display and perform, distribute, display, performmodify, edit, adapt, modify, translate, create derivative works, make, sell, offer for sale, export, alter and otherwise use and exploit your the User Content (or any portion thereof) in any way that we want and in any form, media, or technology now known or later developed. You represent that you have obtained all necessary permissions necessary to grant us those rights, including from any person identified in or implicated by your submission (including those shown in photographic content), and, in the case of minors, also from their parents or legal guardians, as appropriate. No Obligation to Publish. We are not obligated to publish, transmit or use your User Content. Spectra is not in any manner endorsing any User Content that it may publish or post on the Platform and cannot, and will not, vouch for its reliability. Spectra is not responsible for any User Content and has no duty to monitor User Content. You use any information contained in User Content at your own risk. Spectra and its designees have the right, in their sole discretion, to monitor, review, edit, remove, delete, disable, refuse, restrict, or terminate access to your User Content or the Platform (in whole or in part, without further consent, review or participation from you, for any purpose throughout the world (including commercial and promotional) in any medium or format now existing or hereafter created, including but not limited to print or recorded material, websites, and social media platforms; and (b) use your name and other information about you in connection with the User Content. You represent and warrant that (x) you own or control all rights in and to the User Content and have the right to grant the license granted above; and (y) all of your User Content does and will comply with this Agreement. We reserve the right to use, not use, or discontinue using any User Content in our sole discretion at any time, without prior notice and in subject to the terms of our sole discretion, for any or no reason. The obligations that you have to us under these Terms shall survive termination of the Platform, any use by you of the Platform, any User Content on the Platform, or these Terms. You will not continue to post any User Content that Spectra has previously advised you submit within the Service, that such User Content does not infringe any proprietary or other rights of third parties, that all such content is accurate and will not cause injury to postany person or entity, and that you will indemnify ArDrive and its employees, contractors, officers, directors, shareholders, agents, representatives, vendors, and content providers for all claims resulting from your submitted and posted content. If any such materials incorporate the name, voice, likeness and/or image of any individual, you represent and warrant that you have the right to grant ArDrive permission to use any such name, voice, likeness and/or image of such individual appearing in the materials you post throughout the world in perpetuity. You acknowledge and agree that all User Content whether publicly posted or privately transmitted to the Service is at your sole responsibility and risk. We disclaim any responsibility for the backup and/or retention of any User Content transmitted to the Service.

Tydo uses commercially reasonable efforts to communicate ensure that any derivatives of User Content we use for our own business purposes cannot reasonably be used to identify the User that Shared such User Content with others (“Message Features”)us. By submitting User Content, you You hereby expressly grant us and our designees Tydo a royalty-free, irrevocablesublicensable, transferable, perpetual, non-irrevocable, non- exclusive, worldwide, fully sub-licensable, transferable, worldwide license to publishuse, reproduce, distributemodify, displaypublish, performlist information regarding, edit, adapt, modify, translate, create derivative worksdistribute, makesyndicate, sellpublicly perform, offer for sale, exportpublicly display, and otherwise use and exploit your make derivative works of all such User Content (Content, in whole or any portion thereof) in any way that we want part, and in any form, mediamedia or technology, or technology whether now known or later hereafter developed, for use in connection with the Site and Tydo’s (and its successors’ and affiliates’) business as described in this Agreement. Spectra and its designees have the right, in their sole discretion, to monitor, review, edit, remove, delete, disable, refuse, restrict, or terminate access to your User Content or the Platform (in whole or in part) at any time, without prior notice and in our sole discretion, for any or no reason. The obligations that you have to us under these Terms shall survive termination of the Platform, any use by you of the Platform, any User Content on the Platform, or these Terms. You represent that you have obtained all necessary permissions necessary to grant us those rights, including from any person identified in or implicated by your submission (including those shown in photographic content), and, in the case of minors, also from their parents or legal guardians, as appropriate. No Obligation to Publish. We are not obligated to publish, transmit or use your User Content. Spectra and its designees have the right, in their sole discretion, to monitor, review, edit, remove, delete, disable, refuse, restrict, or terminate access to your User Content or the Platform (in whole or in part) at any time, without prior notice and in our sole discretion, for any or no reason. The obligations that you have to us under these Terms shall survive termination of the Platform, any use by you of the Platform, any User Content on the Platform, or these Terms. You will not continue to post any User Content that Spectra has previously advised you not to post.

We do not control User Content, and we are not responsible for its content, accuracy or reliability. We are under these Terms shall survive no obligation to edit or control User Content, although we reserve the right to review, and take certain actions with respect to, User Content in accordance with this Agreement, including the Privacy Policy and the Insurance Documentation (each as defined below). On termination of the Platformyour account, any use by you of the Platformor this Agreement, we have no obligation to return any User Content on to you, so you should retain copies of all of Your Content. In addition to and without limiting any other rights herein (including in the PlatformPrivacy Policy and the Insurance Documentation), you also grant us the rights to (i) de-identify Your Content (i.e., to remove your name and other identifying characteristics, consistent with applicable laws and regulations), (ii) use or these Terms. You will not continue disclose de-identified data for any purpose, and (iii) allow us to post any User Content that Spectra has previously advised you not to postshare de- identified data with third parties.

By submitting User Contentupload, you grant us and our designees a royalty-free, irrevocable, perpetual, non-exclusive, worldwide, fully sub-licensable, transferable, license to publish, reproduce, distribute, display, performlink to or otherwise make available (hereinafter, edit, adapt, modify, translate, create derivative works, make, sell, offer for sale, export“post”) on the Service, and otherwise use and exploit your User Content (or any portion thereof) in any way you agree that we want are only acting as a passive conduit for your online distribution and in any form, media, or technology now known or later developed. You agree not to post User Content that: (i) may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, to any other person, or to any animal; (ii) may create a risk of any other loss or damage to any person or property; (iii) may constitute or contribute to a crime or tort; (iv) contains any information or content that is unlawful, harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, humiliating to other people (publicly or otherwise), libelous, threatening, or otherwise objectionable; (v) contains any information or content that is illegal; (vi) contains any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships; or (vii) contains any information or content that you know is not in any manner endorsing correct and current. You agree that any User Content that it may publish or you post on the Platform and cannot, does not and will notnot violate third-party rights of any kind, vouch for its reliability. You are not obligated to publish, transmit or use solely responsible for your User Content. Spectra is not in any manner endorsing any User Content that it may publish or post on the Platform and cannot, and will not, vouch we act as a conduit for its reliabilitydistribution. Your License You grant to Us. By submitting User ContentPrivax, you grant us and our designees a royaltynon-freeexclusive, unrestricted, unconditional, unlimited, worldwide, irrevocable, perpetual, nonand cost-exclusive, worldwide, fully sub-licensable, transferable, free right and license to publishreceive, access, reproduce, or record any User Content you receive through our Solution and to disseminate, distribute, displayreproduce, performdisclose, editsell, re-sell, sublicense (through multiple levels), adapt, modify, display, publicly perform, transmit, publish, broadcast, translate, create make derivative works, make, sell, offer for sale, exportworks of, and otherwise use and exploit your User Content (collectively, to “use,”) in any manner whatsoever, all or any portion of the User Content you transmit through a Solution (and derivative works thereof), solely for the purpose of providing the Solutions to you under this Agreement. Each time you transmit or receive any User Content, you represent and warrant that you are at least the age of majority in the state or other jurisdiction in which you reside and are the parent or legal guardian, or have all proper consents from the parent or legal guardian, of any minor who is depicted in or contributed to any User Content you transmit or receive, and that, in regard to that User Content, (a) you are an owner or licensee of the intellectual property and other rights to the User Content, or you have a lawful right to use the User Content, and you grant Privax the right to use it as described in this Section, all without any way Privax obligation to obtain consent of any third party and without creating any obligation or liability of Privax; (b) the User Content is accurate (to the extent that the User Content consists of factual data or information); (c) the User Content does not and, as to Privax’s permitted uses and exploitation set forth in this Agreement, will not, infringe any intellectual property or other right of any third party; and (d) the User Content and your actions with respect to it will not violate the Acceptable Use Policy, violate this Agreement, or cause injury or harm to any person. You agree and acknowledge Privax has a passive role in the transmission, reception and use of User Content that you transmit or receive, and Privax does not take any initiative in the transmission, reception, or use of User Content.
