Common use of Use of Subservicers and Subcontractors Clause in Contracts

Use of Subservicers and Subcontractors. The Company shall not hire or otherwise utilize the services of any Subservicer "participating in the Servicing function" within the meaning of Item 1122 of Regulation AB, to fulfill any of the obligations of the Company as servicer under the Agreement or any Reconstitution Agreement unless the Company complies with the provisions of paragraph (a) of this Section. The Company shall not hire or otherwise utilize the services of any Subcontractor "participating in the Servicing function" within the meaning of Item 1122 of Regulation AB, and shall not permit any Subservicer to hire or otherwise utilize the services of any such Subcontractor to fulfill any of the obligations of the Company as servicer under the Agreement or any Reconstitution Agreement unless the Company complies with the provisions of paragraph (b) of this Section.

The Company Servicer shall not hire or otherwise utilize the services of any Subservicer "participating in the Servicing function" within the meaning that is required to provide Annual Statement of Item 1122 Compliance or on an Assessment of Regulation AB, Compliance to fulfill any of the obligations of the Company Servicer as servicer under the Agreement or any Reconstitution this Agreement unless the Company Servicer complies with the provisions of paragraph (a) of this Section. The Company Servicer shall not hire or otherwise utilize the services of any Subcontractor "participating in the Servicing function" within the meaning that is required to provide an Assessment of Item 1122 of Regulation ABCompliance, and shall not permit any Subservicer that is required to provide an Assessment of Compliance, to hire or otherwise utilize the services of any such Subcontractor Subcontractor, to fulfill any of the obligations of the Company Servicer as servicer under the Agreement or any Reconstitution this Agreement unless the Company Servicer complies with the provisions of paragraph (b) of this Section.

The Company Seller shall not hire or otherwise utilize the services of any Subservicer "“participating in the Servicing servicing function" ” within the meaning of Item 1122 of Regulation AB, AB to fulfill any of the obligations of the Company Seller as servicer under the Agreement or any Reconstitution Agreement unless the Company Seller complies with the provisions of paragraph (ai) of this Section. The Company Seller shall not hire or otherwise utilize the services of any Subcontractor "“participating in the Servicing servicing function" ” within the meaning of Item 1122 of Regulation AB, and shall not permit any Subservicer to hire or otherwise utilize the services of any such Subcontractor Subcontractor, to fulfill any of the obligations of the Company Seller as servicer under the Agreement or any Reconstitution Agreement unless the Company Seller complies with the provisions of paragraph (bii) of this Section.

The Company Servicer shall not hire or otherwise utilize the services of any Subservicer "participating in the Servicing function" within the meaning that is required to provide an Annual Statement of Item 1122 Compliance or an Assessment of Regulation AB, Compliance to fulfill any of the obligations of the Company Servicer as servicer under the Agreement or any Reconstitution this Agreement unless the Company Servicer complies with the provisions of paragraph (a) of this Section. The Company Servicer shall not hire or otherwise utilize the services of any Subcontractor "participating in the Servicing function" within the meaning that is required to provide an Assessment of Item 1122 of Regulation ABCompliance, and shall not permit any Subservicer that is required to provide an Assessment of Compliance, to hire or otherwise utilize the services of any such Subcontractor Subcontractor, to fulfill any of the obligations of the Company Servicer as servicer under the Agreement or any Reconstitution this Agreement unless the Company Servicer complies with the provisions of paragraph (b) of this Section.
