USE OF SOFTWARE AND DOCUMENTATION. You may install and use the Software and Documentation only internally in your organization and for your own internal use. The license schemes which are applicable for the Software depends on your purchase as well availability of the said schemes for the Software. HCL may at its discretion withdraw or amend/modify any of the following license schemes: • node locked license • user license • floating licenseglobal license If you have purchased a node-locked license of the Software, you may use the Software only on a single computer system. If you change the computer, then you will have to delete the Software from the previous computer system. You may not install or use the Software on more than one computer system concurrently. If you wish to use the Software on several computer systems concurrently, you will have to purchase an equivalent number of software licenses. If you have purchased user licenses of the Software, the Software shall be checked out to a particular user and will be accessed only by the same user and the total number of users will be limited only to the number of user licenses purchased for a particular company site (‘site’ for the purpose of this XXXX means a location identified by one postal address) and the total number of users will not exceed the number of user licenses purchased by you. You shall not use the Software on one or more computer systems or devices concurrently. If you have purchased a floating license of the Software, you may install and access the Software on any number of computers at a company site, provided however the number of concurrent users at any time shall not exceed the number of licenses purchased by you and the maximum number of users sharing each license does not exceed three (or a mutually agreed number defined in the Purchase Order). If you have purchased a global license of the Software, you may install and access the Software on any number of computers in all company sites, or within a defined region as defined in the Purchase Order, provided however the number of concurrent users at any time shall not exceed the number of licenses purchased by you and the maximum number of users sharing each license does not exceed three (or a mutually agreed number defined as Purchase Order). If you have purchased a floating license of the Software, you may install and access the Software on any number of computers, provided however the number of concurrent users at any time shall not exceed the number of licenses purchased by you and (b) you install and use the Software only on server and computers in the country for which the Software has been licensed. In addition, it is clarified that the network on which the Software is installed may serve licenses to client machines of the same legal entity located in the same country as the server and further the server has to be located only in the country for which the Software has been licensed. Each license seat may have many modules; all the modules of a specific license seat may only be used concurrently on one computer. Concurrent use of the modules of a license seat across multiple computers is prohibited. The Software and Documentation may not be transferred, sold, assigned, sublicensed or otherwise conveyed (whether by operation of law or otherwise) to another party. Your use of the Software shall always be subject to the provisions of Section 2 above. If you are an educational institute and have purchased the Software and Documentation at a discounted rate, then you shall not use the Software and Documentation for any commercial or revenue- generating activity. Except as stated in this Agreement, you are not granted any other rights or licenses in respect of the Software or Documentation.

USE OF SOFTWARE AND DOCUMENTATION. Lilly will have the right, as part of the license granted in this Agreement, to make as many additional copies of the Software and Documentation needed in support of the licensed use of the Software and Documentation as it may determine; provide however, that Lilly shall maintain records detailing where each copy of the Software is installed. Licensor shall have the right to audit such records upon reasonable notice to Lilly during normal business hours. Lilly may also make backup and archival copies of the Software and Documentation. Lilly shall have the right to utilize any Product during the term of this Agreement, on or in connection with any CPU that is utilized to fulfill its data processing needs at one or more sites owned or controlled by Lilly, or its outsourcing Contractor with Licensor's consent, which will not be unreasonably withheld. It will not be unreasonable for Licensor to withhold consent to an outsourcing to a clinincal research organization or other organization providing similar services. Lilly, its agents or Contractors, shall have the right to unlimited use of the applicable Software and to operate and use the Software at any time and for any period of time at the convenience of Lilly within the scope of the license granted. Lilly may use the Software acquired hereunder solely for Lilly's use in connection with clinical trials sponsored by Lilly at sites owned or controlled by Lilly, or its outsourcing Contractor with Licensor's consent, which will not be unreasonably withheld. It will not be unreasonable for Licensor to withhold consent to an outsourcing to a clinincal research organization or other organization providing similar services.

Notwithstanding anything to the contrary, you may not: (i) remove any proprietary notices from the Site, Software, Content, and Documentation or any copy thereof; (ii) cause, permit or authorize the modification, creation of derivative works, translation, reverse engineering, decompiling or disassembling or hacking of the Software; (iii) sell, assign, rent, lease, act as a service bureau, or grant rights in the Site, Software, Content or Documentation including, without limitation, through sublicense, to any other entity without the prior written consent of PME; (iv) export or re-export the Software or Documentation in violation of United States export laws; (v) use the Site, Software, Content or Documentation for any commercial purpose or the benefit of any third party or charge any person for the use of the Site, Software, Content, or Documentation; or (vi) use the Site, Software, Content, or Documentation to, or in any way that would violate any applicable law, regulation or ordinance; (vii) collect any information or communication about users of the Site, Software, Content or Documentation by monitoring, interdicting, eavesdropping or intercepting any process, meeting or other use of the Site or Software; (viii) use any type of virus, clock, spyware, timer, counter, worm, software lock, trojan-horse routing, trap door, time bomb or any other codes or instructions that are designed to be used to provide a means of surreptitious or unauthorized access or that are designed to distort, delete, damage or disassemble the Site, Software, Content, or Documentation; and (ix) use...
