Use of Promotional Materials. The Affiliate’s use and display of the Promotional Materials on the Affiliate’s site shall conform to the following terms, conditions and specifications:
Use of Promotional Materials. After Closing, Purchaser shall not use or distribute any promotional materials that contain the name or logo of Seller, Xxxx-Xxxx Realty Corporation, M-C Texas Management L.P. or any affiliates of the foregoing without redacting the name and logo of Seller, Xxxx-Xxxx Realty Corporation, M-C Texas Management L.P. or any affiliates of the foregoing, as applicable, from such promotional materials. This Section 18.1 will survive Closing without limitation.
Use of Promotional Materials. The Promotional Materials, and any aspects of those uniquely tied to the Product, shall be used by Licensee exclusively in connection with the Commercialization of the Product in the Licensed Field in accordance with the terms of this Agreement, and Licensee shall not use, or allow any other Person (other than Related Parties) to use, any such Promotional Materials except in accordance with this Agreement.
Use of Promotional Materials. Agent shall obtain prior written approval from Company for use of all logos, brands, trademarks, literature, sales aids, and promotional materials or promotional efforts used in conjunction with the marketing of Products.
Use of Promotional Materials. Horizon hereby agrees that any Promotional Materials purchased from Warnxx-Xxxxxxx xxxeunder and bearing the Warnxx-Xxxxxxx Xxxe (i) will not be used after the Final Inventory Sell Off Date; and (ii) will be held, maintained and distributed in accordance with the Registrations and all applicable laws. From the Closing Date until the Final Inventory Sell Off Date, Horizon shall have the right, subject to Warnxx-Xxxxxxx'x xxxor written consent, to apply the Warnxx-Xxxxxxx Xxxe on any new promotional materials (including, but not limited to, journal ads, convention materials, sales aids, and medical education materials) for the Product. Horizon shall submit such promotional materials in final form, together will all data and documentation required to support any claims made therein, to Warnxx-Xxxxxxx'x xxxulatory group which shall determine, within ten (10) Business Days after receipt, whether to grant written consent to use such promotional materials. Horizon shall have no other right to use the Warnxx-Xxxxxxx Xxxe other than as set forth herein and in Section 5.2 above. Horizon agrees that after the Final Inventory Sell Off Date all promotional materials and Promotional Materials containing the Warnxx-Xxxxxxx Xxxe shall be destroyed at Horizon's sole cost and expense. Use of the Warnxx-Xxxxxxx Xxxe on promotional materials and the use of the Promotional Materials by Horizon shall be at Horizon's risk.
Use of Promotional Materials. 5.3.1 KADMON shall use only Promotional Materials provided by VIVUS to perform the KADMON Agreement Activities. KADMON shall determine the method and means of using the Promotional Materials, subject to compliance with Applicable Law and the KADMON Policies.
Use of Promotional Materials. The right, to publish, copy, reproduce, transmit, and otherwise use any and all artwork, graphics, photographs and other promotional materials which the Company has developed with respect to the Products, the Trademarks and the Endorsement (collectively, “Promotional Materials”), copies of which shall be made available to QVC upon request. QVC shall not alter the Promotional Materials without the prior written consent of the Company, which consent shall not be unreasonably withheld. If the Company does not respond within seven (7) days to any written request by QVC to alter the Promotional Material, such request shall be deemed approved.
Use of Promotional Materials. Notwithstanding anything to the contrary herein, Zale and Bank each acknowledges and agrees that wherever the approval of the other party is required, it will not use, publish or distribute (in any media form) Promotional Materials without the prior written approval of such other party, which prior written approval shall not be unreasonably conditioned, withheld or delayed.
Use of Promotional Materials. The Affiliate’s use and display of the Promotional Materials on the Affiliate’s site shall conform to the following terms, conditions and specifications: • Affiliate may not use any graphic, textual or other materials to promote Company’s website, products or services other than the Promotional Materials, unless Company agrees to such other materials in writing prior to their display. • The Promotional Materials will be used to link only to Company’s website, to the specific page and address as specified by Company. • Affiliate will not alter, add to, subtract from, or otherwise modify the Promotional Materials as they are prepared by Company. If Affiliate wishes to alter or otherwise modify the Promotional Materials, Affiliate must obtain prior written consent from Company for such alteration of modification.
Use of Promotional Materials. Yunick hereby grants to Prolong ---------------------------- the exclusive right and license throughout the world to use his likeness, name, photograph, voice, signature, initials and endorsements in the promotion and sale of the Products during the term of this Agreement. The Promotional Materials may be used by Prolong in any advertising now existing or hereafter used in any and all media forms during the term, and only during the term of this agreement. The Promotional Materials shall be used to promote the sale of the Products. The exclusivity of Section 1.1 shall be with respect to Products only. Yunick shall be free to grant rights throughout the world to use his likeness, name, photographs, voice, signature, initials and endorsements in the promotion and sale of other products so long as such other products are not competitive products as hereinafter defined in Section 9.
