Common use of Usage Limits Clause in Contracts

Usage Limits. Services are subject to usage limits, including, for example, quantities and/or functionality restrictions referenced in Order Forms. Services are also subject to Xxxxx.xxx Platform limits, as described in the Documentation. Unless otherwise specified, (a) a quantity in an Order Form refers to Users, and the Service may not be accessed by more than that number of Users, (b) a User’s password may not be shared with any other individual, and (c) a User identification may be reassigned to a new individual replacing one who no longer requires ongoing use of the Service. You will reasonably cooperate with any audit We conduct of Your use of the Services. If You violate a contractual usage limit, We will so notify You and may work with You to bring Your usage into conformity with the limit. If, notwithstanding Our efforts, You are unable or unwilling to abide by a contractual usage limit, You will, promptly upon Our request, execute an order form with Us and/or Salesforce, as applicable, for additional quantities of Our and/or Salesforce’s services as required, and/or pay any invoice for excess usage in accordance with the payment terms below or in Your agreement with Salesforce, as applicable.
