Upon either a Termination. For Cause or a Voluntary Termination without Good Reason, for the 180 days following the date of termination, the Employers shall have the right to purchase (i) all but not less than all of the Vested Securities, at a price equal to the Full Value thereof on the date of termination, and/or (ii) all but not less than all other Initial Securities, at cost, plus, in the case of the Subordinated Debentures, accreted discount thereon through and including the date of such purchase, and/or (iii) all but not less than all of the Vested Purchased Shares, at a price equal to the Fair Market Value thereof on the date of termination, and/or (iv) all but not less than all other Purchased Shares which are unvested on the date of such termination, at cost, provided, that the proceeds shall first be used to pay any outstanding principal of and interest accrued but not paid under the Note. The Executive shall not have the right to require the Employer to repurchase such Vested Securities, Initial Securities, Vested Purchased Shares and Initial Purchased Shares.

  • Partial Termination In the event of a partial termination, the Agreement shall continue to operate and be effective with regard to benefits accrued prior to the effective date of such partial termination, but no further benefits shall accrue after the date of such partial termination.

  • Termination for Cause by the Company If the Company shall terminate the Executive’s employment with the Company for Cause, then upon such termination, the Company shall have no further obligation to Executive hereunder except for the payment or provision, as applicable, of (i) the portion of the Annual Base Salary for the period prior to the effective date of termination earned but unpaid (if any), (ii) all unreimbursed expenses (if any), subject to Sections 2.4 and 5.10(c), and (iii) other payments, entitlements or benefits, if any, in accordance with terms of the applicable plans, programs, arrangements or other agreements of the Company (other than any severance plan or policy) as to which the Executive held rights to such payments, entitlements or benefits, whether as a participant, beneficiary or otherwise on the date of termination (“Other Benefits”).   • Procedure Upon Optional Termination (a) In case of any Optional Termination pursuant to Section 11.01, the Terminating Entity shall, at least twenty days prior to the date notice is to be mailed to the affected Certificateholders notify the Trustee and Trust Administrator of such Optional Termination Date and of the applicable purchase price of the Mortgage Loans to be purchased. The Trust Administrator shall give notice to the Rating Agencies of election to purchase the Mortgage Loans pursuant to Section 11.01 hereof and of the Optional Termination Date.

  • Termination Giving Rise to a Termination Payment If there is a Covered Termination by the Executive for Good Reason, or by the Company other than by reason of (i) death, (ii) disability pursuant to Section 11, or (iii) Cause, then the Executive shall be entitled to receive, and the Company shall promptly pay, Accrued Benefits and, in lieu of further base salary for periods following the Termination Date, as liquidated damages and additional severance pay and in consideration of the covenant of the Executive set forth in Section 13(a), the Termination Payment pursuant to Section 8(a).
