Updated Schedule. Contemporaneously with the furnishing of each (i) annual audit report pursuant to Section 10.1.1, an updated version of Schedule 9.17 showing information as of the date of such audit report (it being agreed and understood that this requirement shall be in addition to the other notice and delivery requirements set forth herein) and (ii) fiscal quarter report pursuant to Section 10.1.2(a), an updated version of Schedules 9.27 and 9.28 showing information as of the date of such report (it being agreed and understood that this requirement shall be in addition to the other notice and delivery requirements set forth herein).
Updated Schedule. Attached hereto is an updated Schedule 1 to the Credit Agreement revised to include the increase in the Increasing Lender's Commitment thereunder and the corresponding increase in the total amount of the Aggregate Commitments.
Updated Schedule. 1.1(R) to the Credit Agreement. Schedule 1.1(R) to the Credit Agreement is hereby deleted in its entirety and replaced with the corresponding Schedule attached to and made part of this Amendment.
Updated Schedule. Contemporaneously with the furnishing of each annual audit report pursuant to Section 10.1.1 and within five (5) Business Days following a written request from the Administrative Agent (which written request will not be made more frequently than twice each year absent the occurrence and continuance of an Event of Default), an updated version of Schedules 9.17, 9.19 and 9.27 showing information as of the date of such audit report or written request, as applicable (it being agreed and understood that this requirement shall be in addition to the other notice and delivery requirements set forth herein).
Updated Schedule. Schedule 1.1(b) to the Loan Agreement, the Commitment of Lenders, is hereby deleted in its entirety and replaced with the updated schedule attached hereto at Annex A.
Updated Schedule. At the Closing, certain Schedules will need to be up-dated to the day of Closing. This shall include Schedules 9.j (Conduct of Business), 9.o (Litigation) and 9.s (Contracts) and shall include only those changes that have occurred in the ordinary course of business consistent with past practices.
Updated Schedule. Borrower shall provide an updated detailed schedule satisfactory in form and substance to Lender of all FF&E which is being used in the operation of the Project.
Updated Schedule. Without limiting the generality of Section 5(f) above, on a date not less than five business days prior to the Closing Date nor more than 15 days prior to the Closing Date, the Sellers shall deliver to the Buyer updated versions of Sections 3(e), 3(g), 3(h), 3(j), 3(k)(i), (ii)(C) and (ii)(D), 3(m), 3(p) and 3(q) of the Disclosure Schedule for the purpose of making the representations and warranties contained in Sections 3(e), 3(g), 3(h), 3(j), 3(k)(i), (ii)(C) and (ii)(D), 3(m), 3(p) and 3(q) true and correct in all material respects as of such date of delivery, which updated Disclosure Schedule sections shall reflect any additional matters required to be disclosed in such sections of the Disclosure Schedule that have occurred or arisen after the date hereof. Any determination of whether there has been a breach of or inaccuracy in any of the representations and warranties of the Sellers contained in this Agreement (or any certificate delivered by Sellers pursuant hereto) as of the Closing Date shall be made by reference to the Disclosure Schedule as updated in accordance with this Section 5(g) and any newly disclosed Assumed Liabilities set forth in the updated Disclosure Schedule pursuant to any contract entered into or liability incurred or assumed in compliance with the Agreement shall be assumed by the Buyer.
Updated Schedule. Certain Schedules will need to be up-dated to the Closing Date. This shall include Schedules 1.K.(1) (Customer Orders), 1.K.(2) (Vendor Orders) and 12.O (Progress Payments) and shall include only those changes that have occurred in the ordinary course of business consistent with past practices.
Updated Schedule. 1. Promptly after each such extension, the Administrative Agent shall prepare and deliver to the Banks an updated Schedule1 to this Agreement, listing the Banks, Commitments and Pro Rata Share after giving effect to such extension.
