Updated Perfection Certificate. Borrower has delivered an updated Perfection Certificate, dated as of the date hereof, in connection with this Amendment (the “Updated Perfection Certificate”), which Updated Perfection Certificate shall supersede in all respects the prior Perfection Certificate delivered by Borrower to Bank. Borrower and Bank agree that all references in the Loan Agreement and any other Loan Documents to “Perfection Certificate” shall hereinafter be deemed to be a reference to the Updated Perfection Certificate.
Updated Perfection Certificate. Borrower has delivered an updated Perfection Certificate dated as of March 1, 2019 (the “Updated Perfection Certificate”), which Updated Perfection Certificate shall supersede in all respects that certain Perfection Certificate dated as of April 25, 2018. Borrower and Bank acknowledge and agree that all references in the Loan Agreement to the “Perfection Certificate” shall hereinafter be deemed to be a reference to the Updated Perfection Certificate.
Updated Perfection Certificate. In connection with this Amendment, Borrower has delivered to Bank an updated Perfection Certificate, dated on or about the date hereof (the “Updated Perfection Certificate”). Such Updated Perfection Certificate amends, restates and replaces in its entirety the Perfection Certificate previously delivered by Borrower to Bank. From and after the date hereof, each reference in any Loan Document to the “Perfection Certificate” shall be deemed to be a reference to the Updated Perfection Certificate. Borrower acknowledges, confirms and agrees the disclosures and information Borrower provided to Bank in said Updated Perfection Certificate are true and complete as of the date hereof.
Updated Perfection Certificate. In connection with this Loan Modification Agreement, Borrower has delivered to Bank an updated Perfection Certificate (the “Updated Perfection Certificate”). Borrower acknowledges, confirms and agrees the disclosures and information Borrower provided to the Agent and the Lenders in such Updated Perfection Certificate remains true and correct in all material respects as of the date hereof. From and after the Third Loan Modification Effective Agreement, all references to the “Perfection Certificate” in the Loan Documents shall be deemed to be a reference to the Updated Perfection Certificate.
Updated Perfection Certificate. The Administrative Agent shall have received an updated perfection certificate, substantially in the form of Exhibit O-2, duly authorized, executed and delivered by Borrower.
Updated Perfection Certificate. Borrower has delivered an updated Perfection Certificate dated as of March 29, 2022 (the “Updated Perfection Certificate”), which Updated Perfection Certificate shall supersede in all respects that certain Perfection Certificate dated as of March 26, 2020 delivered by Borrower to Bank. Borrower and Bank acknowledge and agree that all references in the Loan Agreement to the “Perfection Certificate” or the Perfection Certificate as existing on the Effective Date shall hereinafter be deemed to be a reference to the Updated Perfection Certificate as existing as of the date hereof. Bank acknowledges that the Updated Perfection Certificate references events to occur after the date hereof and that such events shall be permitted under the Loan Agreement as of the date or dates such events occur.
Updated Perfection Certificate. The Lender shall have received an amended and restated perfection certificate in form and substance reasonably satisfactory to the Lender.
Updated Perfection Certificate. In connection with the Second Amendment Effective Date, Borrower has provided to Agent and the Lenders an updated Perfection Certificate (the “Updated Perfection Certificate”). Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in the Updated Perfection Certificate, and acknowledges, confirms and agrees that the disclosures and information Borrower provided in such Updated Perfection Certificate have not changed, as of the date hereof. From and after the Second Amendment Effective Date, all references to the “Perfection Certificate” shall be deemed to be a reference to the Updated Perfection Certificate.
Updated Perfection Certificate. Concurrently with the delivery of the financial statements required to be delivered under Section 5.01(a), Borrower will provide an updated and duly executed and delivered Perfection Certificate to Lender.
Updated Perfection Certificate. In connection with the Transaction, Borrower has delivered to Bank the updated Perfection Certificates (“collectively, the “Updated Perfection Certificate”). From and after the Second Amendment Effective Date, any reference to “Perfection Certificate” in any Loan Document shall be deemed to be a reference to the Updated Perfection Certificate. Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in such Updated Perfection Certificate and agrees that the disclosures and information Borrower provided to Bank in such updated Perfection Certificate have not changed, as of the date hereof.
