Unplanned Outage. PGE and Seller shall promptly advise one another of events that may form the basis for a declaration of the existence or termination of Seller Excused Hours, as applicable, or an Unplanned Outage. PGE or Seller (as appropriate) shall promptly, or within five (5) minutes, provide the other Party notice (“Outage Notice”) of the declaration of the existence of Seller Excused Hours or an Unplanned Outage. Seller shall provide such notice, compliant with the then-current PGE Reliability Coordinator outage reporting timing requirements, via telephone to the Buyer’s Balancing Authority Area Operator and Power Operations Real-Time Desk, such that the PGE can comply with the Reliability Coordinator reporting requirements. Seller shall confirm in writing any notice of an Unplanned Outage as soon as practicable following such Outage Notice. An Outage Notice provided by either Party shall contain information regarding the nature of the event, the beginning date and time of the event, the expected end date and time of such event, and the expected available Contract Storage Capacity, if any, that would be available at the Storage Facility Point of Delivery during such event. PGE or Seller (as appropriate) shall keep the other Party informed of any developments that will affect either the duration of such event or the availability of the Project during or after the end of such event.
Unplanned Outage. In the event of an unplanned outage of a Party's facility that adversely affects the other Party's assets, the Party that owns or controls the facility out of service will use commercially reasonable efforts to promptly restore that facility to service.
Unplanned Outage. Genuity shall notify Xxxx Atlantic of unplanned outages within a reasonable timeframe of the outage. Xxxx Atlantic shall notify Xxxx Atlantic End User Network problems and outages to Genuity. Notification shall follow the parameters set forth in the trouble reporting process in Attachment G.
Unplanned Outage. If Xxxxxxxx is unable to give Clean Energy seventy two hours notice for an LNG Xxxxxxx plant outage ("Unplanned Outage") and the Unplanned Outage prevents Clean Energy from loading the Volume Commitment described in Section 2.2, then Xxxxxxxx and Clean Energy agree to equally split the additional cost incurred by Clean Energy to re-dispatch trucks to other third party LNG facilities. Unplanned Outage. In the event of an unplanned outage of (i) the Company Interconnection Facilities that adversely affects the Seller or the Facility or (ii) a component of the Facility that adversely affects reliability of the Company Transmission System, the Party causing the adverse affect in (i) or (ii) above, as applicable, will use commercially reasonable efforts to promptly restore the necessary equipment to service in accordance with Good Utility Practice.
Unplanned Outage. 4.3.1 In the event of any unplanned Outage or any downtime, interruption, breakdown or unavailability (for whatever reason) of the XML Connection, the XML Provider Server and/or the XML Connection, the XML Provider shall immediately after becoming aware notify Xxxxxxx.xxx of such situation, event or matter (and inform (and keep informed) Xxxxxxx.xxx of all such relevant information as requested by or as may be relevant for Xxxxxxx.xxx).
Unplanned Outage. If Xxxxxxxx fails to provide Clean Energy with forty-eight (48) hours notice for an LNG Plant outage (“Unplanned Outage”) and the Unplanned Outage prevents Clean Energy from loading the Volume Commitment described in Section 2.2, then Xxxxxxxx shall provide Clean Energy with a credit of [***] per Load below the Volume Commitment delivered.
Unplanned Outage. This type of outage will be tracked via a Severity 1 ticket in which the involved parties will provide periodic phone and email updates to Universal’s chief financial officer and other contacts designated by Universal until the outage has been resolved. DSS will provide software development support and upgrades for Microsoft Dynamics GP and related 3rd party applications. Any software-related changes approved by Universal in the development system will be promoted to production by DSS’s production support team. Universal will provide DSS with the following:
1. Listing of personnel authorized by Universal to approve access additions, deletions, and modifications. Any changes to these authorized personnel will be communicated by Universal in a timely manner.
2. Listing of personnel authorized by Universal to approve physical access additions, deletions, and modifications. Any changes to these authorized personnel will be communicated by Universal in a timely manner.
3. Listing of personnel authorized by Universal to request system changes. Any changes to these authorized personnel will be communicated by Universal in a timely manner. Universal will notify DSS of the following:
1. Requests to remove access to relevant logical systems for terminated employees will be sent to DSS within one business day.
2. Notification of any terminated employee or change in employment status for employees with physical access to the data center will be sent to DSS following protocols agreed by the parties within one business day.
3. Notification of actual or suspected information security breaches, including compromised user accounts as soon as possible. Universal management will approve the following prior to submission to DSS, based on protocols agreed by the parties to identify authorized approvers:
1. Requests for additions, deletions, and modifications of user access to relevant systems.
2. Requests for physical access to the data center.
3. Requests for system changes. DSS will perform the following:
1. Promote all user addition, deletion, and modification requests that have been approved by Universal management to production within one business day.
2. Promote all role addition, deletion, and modification requests that have been approved by Universal management to production within one business day.
Unplanned Outage. Service availability is calculated per month as follows: based on a seven (7) day week x twenty four (24) hours per day x four (4) weeks for a given calendar month, exclusive of Planned Outage. Unplanned Outage may equate to up to three (3) hours, thirty six (36) minutes per calendar month or one (1) day, nineteen (19) hours and forty eight (48) minutes per year.
Unplanned Outage. In the event there is an unplanned outage on the Clearwire Wireless Broadband Network, Clearwire shall notify AOL as soon as possible via e-mail and telephone in accordance with the then-current escalation list. Clearwire shall provide AOL with the applicable details regarding the outage in order to avoid AOL establishing trouble tickets related to such outage, including the number of customers affected, the telephone numbers affected, the nature of the outage, anticipated restoration time, updates on the restoration time, the closure of the outage and the reason for the outage. For avoidance of doubt, an outage as described in this Section 11(c) shall constitute a Network Outage.
