UNDERSTANDING BETWEEN THE PARTIES. 2.1. Each Party intends to promote its own business by sharing the equipment, technology, experience and other facilities provided or agreed to be provided by a Party to the opposite Party under the terms and conditions of this Agreement to the extent that such promotion is in line with the business activities of the Parties.

UNDERSTANDING BETWEEN THE PARTIES. The Parties to this Agreement have executed this Agreement with the understanding as follows: Each Party intends to promote its own business by sharing the equipment, technology, experience and other facilities provided or agreed to be provided by a Party to the opposite Party under the terms and conditions of this Agreement to the extent that such promotion is in line with the business activities of the Parties. In addition to the main business of financing the purchase of Goods and/or Services by the Customers, Home Credit can also offer, promote and sell products that are necessary, incidental or in relation to the financing of the purchase of Goods and/or Services and that are not being offered by the Dealer/Provider. The relationship between the Parties is purely a business relationship based upon Principal-to- Principal arrangements and shall, unless expressly provided otherwise, never be construed as partnership, or joint venture, or employer-employee, principal-agent arrangement between the parties for any purpose whatsoever. Home Credit neither guarantees any minimum sale or business to the Dealer/Provider nor undertakes to provide any kind of particular service or facility for consideration to the Dealer/Provider and the Dealer/Provider shall be solely responsible for all its own business and undertakes to bear all losses or profits arising out of its own business. The Total Price of the Goods and/or Services shall be always based on an amount which is charged by the Dealer/Provider to his customer who pays in cash the price of the identical Goods and/or Services and not on an amount charged with xxxx-ups in such cases like credit card or deferred purchases. Such amount without any xxxx-ups shall also be the basis for the Balance Amount of the Goods and/or Services. Should the Dealer/Provider be appointed as a Planet POS, the Dealer/Provider recognizes, acknowledges and accepts that processing of loan application by Home Credit within the Dealer/Provider’s Premises, both in favour of the Dealer/Provider’s Customer or otherwise, shall possibly increase the number of people within the Dealer/Provider’s Premises.

  • Consultation Between the Parties ALPS and the Trust shall regularly consult with each other regarding ALPS’ performance of its obligations under this Agreement. In connection therewith, the Trust shall submit to ALPS at a reasonable time in advance of filing with the SEC reasonably final copies of any amended or supplemented registration statement (including exhibits) under the 1933 Act and the 1940 Act; provided, however, that nothing contained in this Agreement shall in any way limit the Trust’s right to file at any time such amendments to any registration statement and/or supplements to any prospectus or statement of additional information, of whatever character, as the Trust may deem advisable, such right being in all respects absolute and unconditional.

  • Complete Understanding The terms and conditions set forth in this Agreement represent the full and complete understanding between the parties. The terms and conditions may be modified only through the written mutual consent of the parties.

  • Prior Understanding This Agreement and the other Loan Documents supersede all prior understandings and agreements, whether written or oral, between the parties hereto and thereto relating to the transactions provided for herein and therein, including any prior confidentiality agreements and commitments.

  • Prior Understandings This Agreement and the other Loan Documents supersede all prior and contemporaneous understandings and agreements, whether written or oral, among the parties hereto relating to the transactions provided for herein and therein.

  • Relationship Between Parties Each party will be deemed to represent to the other party on the date on which it enters into a Transaction that (absent a written agreement between the parties that expressly imposes affirmative obligations to the contrary for that Transaction):

  • Evaluation and Understanding It is capable of evaluating and understanding (on its own behalf or through independent professional advice), and understands and accepts, the terms, conditions and risks of this Agreement and each Transaction hereunder. It is also capable of assuming, and assumes, all financial and other risks of this Agreement and each Transaction hereunder.

  • Entire Agreement; Integration This Agreement supersedes all prior agreements between or among any of the parties hereto with respect to the subject matter contained herein and therein, and such agreements embody the entire understanding among the parties relating to such subject matter.
