UCC Financing Statements and Fixture Filings. Delivery to Administrative Agent of UCC financing statements and, where appropriate, fixture filings, duly executed by each applicable Loan Party with respect to all personal and mixed property Collateral of such Loan Party, for filing in all jurisdictions as may be necessary or, in the opinion of Administrative Agent, desirable to perfect the security interests created in such Collateral pursuant to the Collateral Documents;
UCC Financing Statements and Fixture Filings. To the extent not previously delivered to Collateral Agent, delivery to Collateral Agent of duly completed UCC financing statements and/or amendments thereto and, where appropriate, fixture filings, with respect to all personal and mixed property Collateral of such Loan Party, for filing in all jurisdictions as may be necessary or, in the opinion of Administrative Agent or Collateral Agent, desirable to perfect or continue the perfection of the security interests created in such Collateral pursuant to the Collateral Documents.
UCC Financing Statements and Fixture Filings. To the extent not previously delivered to Administrative Agent, delivery to Administrative Agent of UCC financing statements and/or amendments thereto and, where appropriate, fixture filings and/or amendments thereto, with respect to all personal and mixed property Collateral of such Loan Party, for filing in all jurisdictions as may be necessary or, in the opinion of Administrative Agent, desirable to perfect or continue the perfection of the security interests created in such Collateral pursuant to the Collateral Documents;
UCC Financing Statements and Fixture Filings. Delivery to the Administrative Agent of UCC financing statements (or, where applicable, amendments to existing UCC financing statements filed against the Credit Parties in favor of the Administrative Agent) and, where appropriate, fixture filings (or, where applicable, amendments to existing fixture filings filed against the Credit Parties in favor of the Administrative Agent), with respect to all personal and mixed property Collateral of such Credit Party, for filing in all jurisdictions as may be necessary or, in the opinion of the Administrative Agent, desirable to perfect the security interests created in such Collateral pursuant to the Collateral Documents (or maintain the continued perfection of the security interest in such Collateral granted to the Administrative Agent in connection with the Existing Credit Agreement);
UCC Financing Statements and Fixture Filings. Delivery to the Administrative Agent of UCC financing statements and, where appropriate, fixture filings and United States Patent and Trademark Office filings, duly executed by each of the Borrowers with respect to all personal and mixed property Collateral of such Person, for filing in all jurisdictions as may be necessary or, in the reasonable opinion of the Administrative Agent, desirable to perfect the security interests created in such Collateral pursuant to the Collateral Documents, including those listed on Schedule 3.1G(iv).
UCC Financing Statements and Fixture Filings. Delivery to the Collateral Agent (to the extent not previously delivered and filed and the Collateral Agent does not determine that new filings are necessary or desirable) of, where appropriate, UCC financing statements, fixture filings, and personal property security registry and Register of Personal and Movable Real Rights (Quebec) filings, in each case duly executed or authorized by each applicable Grantor (if required) with respect to all personal and mixed property Collateral of such Grantor, for filing in all jurisdictions as may be necessary or, in the opinion of the Collateral Agent, desirable to perfect (or maintain the perfection of) the security interests created in such Collateral pursuant to the Collateral Documents;
UCC Financing Statements and Fixture Filings. Delivery to Administrative Agent of duly completed UCC financing statements in appropriate form with respect to each Loan Party;
UCC Financing Statements and Fixture Filings. Delivery to Joint-Lead Arrangers of duly completed UCC financing statements and, where appropriate, fixture filings, with respect to all Collateral of such Loan Party, for filing in all jurisdictions as may be necessary or, in the opinion of Joint-Lead Arrangers, desirable to perfect the security interests created in such Collateral pursuant to the Collateral Documents;
UCC Financing Statements and Fixture Filings. Delivery to Facility Manager of UCC financing statements and, where appropriate, fixture filings, duly executed by Company with respect to all personal and mixed property Collateral of Company, for filing in all jurisdictions as may be necessary or, in the opinion of Facility Manager, desirable to perfect the security interests created in such Collateral pursuant to the Collateral Documents;
UCC Financing Statements and Fixture Filings. Prior filing of UCC financing statements and, where appropriate, fixture filings, duly executed by each applicable Credit Party (if required) with respect to all personal and mixed property Collateral of such Credit Party, for filing in all jurisdictions as may be necessary or, in the opinion of Agents, desirable to perfect the security interests created in such Collateral pursuant to the Collateral Documents;
