Common use of Trustee to Sign Amendments Clause in Contracts

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receiveprovided with, and (subject to Section 7.0111.1) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01Sections 601 and 603 of the Base Indenture) shall be fully protected in relying upon, upon an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this the Indenture.

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 IX if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, in addition to the documents required by Section 11.4, and (subject to Section 7.01Sections 7.1 and 7.2) shall be fully protected in relying upon, upon an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this IndentureIndenture and that such amendment is the legal, valid and binding obligation of the Issuer enforceable against them in accordance with its terms, subject to customary exceptions, and complies with the provisions hereof (including Section 9.03).

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 ARTICLE IX if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01SECTIONS 7.1 AND 7.2) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel complying with SECTION 11.5 and stating that such amendment is authorized or permitted by this Indenture.

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 Nine if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.017.02) shall receive, and be fully protected in conclusively relying upon, an Officers' Officer’s Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

Trustee to Sign Amendments. The Trustee shall sign any -------------------------- amendment authorized pursuant to this Article 9 IX if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01Sections 7.1 and 7.2) shall be fully protected in relying upon, an Officers' Certificate and -------------------- such evidence as it deems appropriate, including, without limitation, solely on an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

The Trustee shall sign any amendment authorized pursuant to this Article 9 IX if the amendment does not adversely affect the rights, duties, liabilities liabilities, indemnities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

Trustee to Sign Amendments. The Trustee shall sign any amendment amendment, supplement or waiver authorized pursuant to this Article 9 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment amendment, supplement or waiver the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 if the amendment does not adversely affect the rights, duties, liabilities liabilities, protections, privileges, indemnities or immunities of the Trustee. If it does, the Trustee may may, in its sole discretion, but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this IndentureIndenture and that all conditions precedent in this Indenture relating to the execution and delivery of such amendment have been complied with.

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this IndentureIndenture and that such amendment is the legal, valid and binding obligation of the Company and Holdings enforceable against them in accordance with its terms, subject to customary exceptions, and complies with the provisions hereof (including Section 9.03).

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01) shall be fully protected in relying upon, an Officers' Certificate of each of the Issuers and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture, that such amendment is the legal, valid and binding obligation of the Issuers and the Note Guarantors enforceable against them in accordance with its terms, subject to customary exceptions, and complies with the provisions hereof (including Section 9.03).

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 10 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.018.1) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating to the effect that such amendment is authorized or permitted by this IndentureIndenture and complies with the provisions hereof (including Section 10.3).

Trustee to Sign Amendments. The Trustee shall sign any amendment approved by the Board of Directors of the Company and authorized pursuant to this Article 9 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive security and indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.017.1) shall be fully protected in relying upon, in addition to the documents required by Section 11.4, an Officers' Certificate of the Issuer and an Opinion of Counsel stating that such amendment is authorized or permitted by complies with the provisions of this IndentureArticle 9 and that such supplemental indenture constitutes the legal valid and binding obligation of the Issuer in accordance with its terms subject to customary exceptions.
