Trustee Approval. At the conclusion of XXXX’s due diligence and receipt of all documentation or information requested by XXXX, including any requested opinions of legal counsel to the Owner and legal counsel to the proposed Transferee, the recommendations of OHFA Staff will be presented to the Trustees for their consideration, approval, conditional approval, or denial. Any approval of the Trustees shall be conditioned upon correction of any condition of default, breach or violation of any of the terms or conditions of this Agreement and will establish any additional information or documentation which may be required by the Trustees. At their sole discretion, the Trustees may conduct an individual proceeding under the Oklahoma Administrative Procedures Act to consider a requested Transfer.
Trustee Approval. This Agreement and the transactions contemplated hereby shall have received formal approval of Buyer's Board of Trustees at a meeting duly called during the Inspection Period to consider same. 14.5
Trustee Approval. The Trustee, after considering the advice of its advisors and such other information as it may deem necessary or advisable, shall have reached the conclusions that (i) the purchase of the Shares hereunder are prudent, fair and in the interest of the Plan and its participants and beneficiaries and primarily for the benefit of such participants and beneficiaries, (ii) the Purchase Price constitutes no more than "adequate consideration" for the purchase of the Shares within the meaning of Section 3(18) of ERISA and (iii) the purchase of the Shares hereunder will not otherwise result in a nonexempt prohibited transaction under Section 406 of ERISA or Section 4975 of the Code or violate the provisions of applicable law.
Trustee Approval. The Trustee shall not have determined that the purchase of the Common Shares is imprudent or that such purchases would result in a prohibited transaction under Section 406 of ERISA or Section 4975 of the Code or otherwise violate the provisions of applicable law.
Trustee Approval. This Agreement and each of the transactions contemplated hereby shall have been approved by the Board of Trustees of SNH and by each of the "Independent Trustees" of SNH. The Independent Trustees of SNH are those trustees who are not affiliated with RMR. The SNH Entities shall notify the Mariner Entities if the Board of Trustees or any of the "Independent Trustees" do not approve of this Agreement and each of the transactions contemplated hereby on or before March 31, 2000.

Trustee Approval. Purchaser's obligations hereunder are specifically contingent upon approval by Purchaser's Board of Trustees by no later than the expiration of the Inspection Period.
Trustee Approval. CRRA shall have received evidence that the trustees for each series of bonds issued to finance CRRA's Mid-Connecticut solid waste disposal system have consented to the transfer of the rights of CL&P under the Mid-Connecticut Documents by CL&P to CRRA's designee and to any amendment to such Mid-Connecticut Documents that CRRA or said trustees believe is necessary because of such transfer;
