Trustee Appointed Attorney. The Corporation irrevocably appoints the Trustee to be the attorney of the Corporation in the name and on behalf of the Corporation to execute any instruments and do any things which the Corporation ought to execute and do, and has not executed or done, under the covenants and provisions contained in this Indenture and generally to use the name of the Corporation in the exercise of all or any of the powers hereby conferred on the Trustee with full powers of substitution and revocation.
Trustee Appointed Attorney. The Issuer irrevocably appoints the Trustee to be the attorney of the Issuer in the name and on behalf of the Issuer to execute any instruments and do any things which the Issuer ought to execute and do, and has not executed or done, under the covenants and provisions contained in this Indenture and generally to use the name of the Issuer in the exercise of all or any of the powers hereby conferred on the Trustee with full powers of substitution and revocation.
Trustee Appointed Attorney. The Company hereby irrevocably appoints the Trustee to be the attorney of the Company for and in the name and on behalf of the Company to execute and do any deeds, documents, transfers, conveyances, assignments, assurances, consents and things which the Company ought to sign, execute and do hereunder and generally to use the name of the Company in the exercise of all or any of the powers hereby conferred on the Trustee, with full powers of substitution and revocation.
Trustee Appointed Attorney. SECTION 8.9 The Company hereby irrevocably appoints the Trustee to be the attorney of the Company for and in the name and on behalf of the Company to execute any instruments and do any acts and things which the Company ought to sign, execute and do hereunder and generally to use the name of the Company in the exercise of all or any of the powers hereby conferred on the Trustee, with full powers of substitution and revocation.
Trustee Appointed Attorney. Each Obligor hereby irrevocably appoints the Trustee to be the attorney of the Obligor in the name and on behalf of the Obligor to execute and do any deeds, transfers, conveyances, assignments, assurances and things which the Obligor ought to execute and do, and has not executed or done, under the covenants and provisions contained in this Indenture or the Security Agreements and generally to use the name of the Obligor in the exercise of all or any of the powers hereby conferred on the Trustee.
Trustee Appointed Attorney. The Corporation hereby irrevocably appoints the Trustee to be the attorney in its name and on its behalf to execute and do any deeds, conveyances, assignments, assurances and things which such Person ought to execute and do, and has not executed or done, under the covenants and provisions contained herein and generally to use the name of such Person in the exercise of all or any of the powers hereby conferred on the Trustee. This power of attorney is coupled with an interest and will survive any winding-up, dissolution, insolvency, bankruptcy, reorganization, arrangement, composition, termination or similar proceedings involving or affecting the Corporation. This power of attorney is granted on the date hereof, but will only be exercisable by the Trustee following the occurrence and during the continuance of an Event of Default.
Trustee Appointed Attorney. VGZ hereby irrevocably appoints the Trustee to be the attorney of VGZ for and in the name and on behalf of VGZ to execute any instrument and do any acts and things which VGZ ought to sign, execute and do hereunder and generally to use the name of VGZ in the exercise of all or any of the powers hereby conferred on the Trustee, with full powers of substitution and revocation.
Trustee Appointed Attorney. The Bank hereby irrevocably appoints the Trustee to be the attorney of the Bank in the name and on behalf of the Bank to execute any instruments and do any acts and things which the Bank ought to execute and do, and has not executed or done, under the covenants and provisions contained in this Trust Indenture and generally to use the name of the Bank in the exercise of all or any of the powers hereby conferred on the Trustee, with full powers of substitution and revocation.
Trustee Appointed Attorney. IN-FACT The Pledgor hereby irrevocably appoints the Trustee the Pledgor's attorney-in-fact, with full authority in the place and stead of the Pledgor and in the name of the Pledgor or otherwise, from time to time in the Trustee's discretion, to take any action and to execute any instrument that the Trustee may deem necessary or advisable to accomplish the purposes of this Agreement, including, without limitation:
Trustee Appointed Attorney. Effective from and after an Event of Default and so long as such Event of Default is continuing, the Corporation irrevocably appoints the Trustee to be the attorney of the Corporation in the name and on behalf of the Corporation to execute and do any deeds, transfers conveyances, assignments, assurances and things which the Corporation ought to execute and do, and has not executed or done, under the covenants and provisions contained in this Indenture and generally to use the name of the Corporation in the exercise of all or any of the powers conferred on the Trustee.
