True and fair view. each set of Financial Statements delivered by it or at its request pursuant to clause 15.2.1 is prepared (except as stated therein) using the same accounting principles and policies as were used in the preparation of the Ideal Pro-Forma Balance Sheet and gives a true and fair view of the financial condition of the IHL/BB Group and of the Group, as the case may be, as at the end of the period to which those Financial Statements relate and of the result of their respective businesses and operations during such period;
