Common use of True and Correct Information Clause in Contracts

True and Correct Information. All information, reports, exhibits, schedules, financial statements or certificates of the Sellers or any of their Affiliates or any of their officers furnished to Buyer hereunder and during Buyer’s diligence of the Sellers are and will be true and complete and will not omit to disclose any material facts necessary to make the statements therein or therein, in light of the circumstances in which they are made, not misleading. All required financial statements, information and reports delivered by the Sellers to the Buyer pursuant to this Agreement shall be prepared in accordance with GAAP, or in connection with SEC filings, if any, the appropriate SEC accounting requirements.

True and Correct Information. All information, reports, exhibits, schedules, financial statements statements, or certificates of the Sellers Seller or any of their Affiliates or any of their its officers furnished in writing by or on behalf of Seller to Buyer Purchaser hereunder and during BuyerPurchaser’s diligence of the Sellers Seller are and will be true and complete in all material respects and will do not omit to disclose any material facts necessary to make the statements therein or therein, in light of the circumstances in which they are made, not misleading. All required financial statements, information and reports delivered by the Sellers Seller to the Buyer Purchaser pursuant to this Agreement shall be prepared in accordance with GAAP, or in connection with if applicable, to SEC filings, if any, the appropriate SEC accounting requirements.
