Trimming of Trees and Shrubbery. The Grantee shall have the authority to trim trees or other natural growth overhanging any of its Cable System in the Franchise Area so as to prevent contact with the Grantee’s wires, cables, or other equipment. All such trimming shall be done at the Grantee’s sole cost and expense. The Grantee shall be responsible for any damage caused by such trimming.

For trimming of an emergency nature, including responding to storm damage, advance notice is not required. The foregoing notwithstanding, any tree trimming by Franchisee must comply with any separately negotiated pole attachment agreement in effect between the Town and the Franchisee.

The Grantee shall reasonably compensate the Franchising Authority for any damages caused by such trimming, or shall, in its sole discretion and at its own cost and expense, reasonably replace all trees or shrubs damaged as a result of any construction of the Cable System undertaken by the Grantee. Such replacement shall satisfy any and all obligations the Grantee may have to the Franchising Authority pursuant to the terms of this Section.

All such trimming initiated by Grantee shall be done at the Grantee's sole cost and expense. The Grantee shall inform the affected property owners not less than three days, or more than three weeks, in advance of the work. The Grantee shall reasonably compensate the Franchising Authority and property owner for any damage caused by such trimming, or shall, in its sole discretion and at its own cost and expense, reasonably replace all trees or shrubs so damaged. Such replacement shall satisfy any obligations the Grantee may have to the Franchising Authority pursuant to the terms of this Section 3.2.5.
