Transition to Next Contractor. If the transition of services to another Contractor occurs through expiration of term, default and termination, or otherwise, KCAT will cooperate with TOWN and subsequent Contractor(s) to assist in an orderly transition.

Transition to Next Contractor. The Contractor shall be expected to work with the City and any successive contractor(s) in good faith to ensure a minimum of Customer disruption during the transition period. Container removal and replacement shall be coordinated between the Contractor and a successive contractor to occur simultaneously in order to minimize Customer inconvenience.

Such cooperation shall include but not be limited to transfer 4 of computer data, files and tapes; providing routing information, route maps, vehicle fleet 5 information, and list of Service Recipients; not less than one hundred twenty (120) 6 calendar days prior to the termination of this Agreement, providing a list of workers who will 7 be displaced by the transfer of services to a successor contractor; providing a complete 8 inventory of all Recycling Carts; providing adequate labor and equipment to complete 9 performance of all SFD Recycling Services required under this Agreement; taking all 10 actions necessary to transfer ownership of Recycling Carts, as appropriate, to CITY 11 including transporting such containers to a location designated by the City Representative; 12 coordinating collection of materials set out in new containers if new containers are 13 provided for in a subsequent Agreement, and providing other reports and data required by 14 this Agreement.

Contractor will not be obliged to sell collection vehicles or Containers to the next Contractor. Depending on Contractor’s circumstances at the point of transition, Contractor at its option may enter into negotiations with the next Contractor to sell (in part or all) Collection vehicles and/or containers.

Transition to Next Contractor. Upon expiration of the Term, or earlier termination of this Agreement, Contractor shall cooperate with District and the successor contractor(s) to assist in an orderly transition. Contractor shall provide route lists and Billing information electronically in a format specified by District prior to expiration of the Term or earlier termination of this Agreement. Contractor shall not be obliged to sell its vehicles, equipment, Containers or other property to its successor; provided that, nothing herein contained shall be deemed to prohibit such sale.

Transition to Next Contractor. If at any point City desires to contract with a third party to provide, after the expiration or earlier termination of this Agreement, Franchise Services which are Franchised to Contractor under this Agreement, Contractor shall be obligated to cooperate with City and subsequent contractor(s) to assist in an orderly transition. One (1) year prior to the conclusion of the Term, and in order to assist with the competitive bid process to award the Franchise at the conclusion of the Term. Contractor shall provide City with such information as may reasonably be requested, including but not limited to, route maps and days of Collection, account names and phone numbers, and level of service provided. Contractor shall cooperate with and schedule with City and new contractor its removal of all Carts distributed to each Customer. Contractor and the new contractor may choose at their discretion to enter into negotiations to sell (in part or all) Collection vehicles, Bins, and Containers to the new contractor. Failure to provide full cooperation with a transition may, at City's sole discretion, preclude Contractor from participating in future competitive procurements.

The Contractor shall provide a detailed updated Customer list, including Customer name, service address, mailing address, and collection and Container rental service levels to the successive contractor within seven (7) days request of the City. The parties recognize that a failure to comply with this provision will damage the City, but that determination of such damage will be difficult and burdensome; therefore, the parties agree that in the event of a breach of this provision the Contractor, or the Contractor’s surety, shall pay the City one hundred thousand dollars ($100,000.00) for the material breach of this contract provision. Payment shall be made within twenty (20) business days of the end of this contract.
