Transition from Employment a. Unless terminated earlier by the Company or you, your employment with the Company will continue through March 2, 2023. You will continue to receive your base salary, at its current rate; remain eligible for payment of your earned award under the annual incentive program for 2022; and continue to be eligible to participate in the Company’s plans and programs through March 2, 2023, or, if earlier, until the date on which your employment terminates (the last day of your employment is the “Termination Date”).

Transition from Employment. Upon execution of this Transition Agreement and Release (the “Agreement”), my last day of active employment with Sycamore Networks, Inc. (“Sycamore”) will be September 7, 2006, and my last day of employment will be September 7, 2007 (the “Termination Date”). As a transition employee, I agree to be available to transition my duties and responsibilities as well as to be available for various projects and consulting assignments from time to time at the reasonable request of the Chief Executive Officer. Effective September 7, 2006, I will no longer be an executive officer of Sycamore.

From November 1, 2019 (the “Garden Leave Commencement Date”) through January 30, 2020, you will be placed on garden leave and you will no longer report for work at the Company’s offices or provide any duties to the Company or its subsidiaries or affiliates. Your last day of employment with the Company will be on January 30, 2020 or such earlier date on which you resign. You agree that your placement on garden leave (and any changes to your duties and any reorganization of the Company that may occur) shall not constitute “good reasonfor purposes of any plan, agreement or arrangement of the Company or its subsidiaries or affiliates. You will continue to receive your base salary, at its current rate, and continue to be eligible to participate in the Company’s health, welfare and 401(k) plans during the period beginning on the Garden Leave Commencement Date and ending on January 30, 2020 or such earlier date on which you resign (the “Continuation Period”), but will not be eligible for a bonus in respect of, or long-term incentive award grants in, 2020.

Transition from Employment. The Executive shall cease serving as Chief Executive Officer of the Company at the Transition Time. From the Transition Time until the Retirement Date, which will be the Executive’s last day of employment with the Company, the Executive will serve as a non-executive employee of the Company to perform the Transition Duties. During the Transition Period, the Executive will continue to be paid base salary at the rate in effect as of the date of this Agreement and be eligible for all employee benefit plans and programs available to senior executives of the Company generally; provided that for the avoidance of doubt, the Executive will not participate in the Company’s annual bonus plan for the 2024 fiscal year. The Executive may be required to travel between the offices of the Company and for customer and industry events in connection with the performance of his Transition Duties as reasonably requested by the Chief Executive Officer. Reasonable costs incurred in connection with such travel shall be reimbursed in accordance with the Company’s reimbursement policies applicable to its senior executives, as in effect from time to time.
Transition from Employment. The Executive’s employment, status as an officer and status in all other capacities with the Company and its Related Entities will end, effective as of 12:00 p.m., Pacific Standard Time, on March 31, 2006 (the “Transition Date”).
