Transferred Business Employees. Each Offer Employee whose employment transfers to Purchaser or any of its affiliates or the applicable PEO pursuant to Section 5.6(e), each other Offer Employee who accepts Purchaser’s or its affiliate’s or the applicable PEO’s offer of employment pursuant to Section 5.6(f) and each Offer Employee who accepts an offer of employment from Purchaser or its affiliate or the applicable PEO in accordance with Section 5.6(n), shall be referred to herein as a “Transferred Business Employee.”

Transferred Business Employees. (i) Each Offer Employee shall receive an offer of employment from Purchaser or an Affiliate of Purchaser within thirty (30) days following the date of this Agreement, or within five (5) Business Days of the applicable date of hire with respect to any Offer Employee hired after the date of this Agreement, which offer shall be on terms and conditions no less favorable in the aggregate to such Offer Employee than the terms and conditions provided to such Offer Employee by the relevant Seller Entity or Rexam Entity as of the date immediately prior to such offer being made, and which shall comply with the requirements of Section 5.1(b) and which shall provide that employment with Purchaser or one of its Affiliates will commence effective as of the Closing Date. Each Offer Employee who accepts the offer of employment pursuant to the prior sentence and commences employment with Purchaser or one of its Affiliates immediately following the Closing shall become a Transferred Business Employee as of immediately following the Closing. For a period of one year following the Closing, to the fullest extent permitted by Law, Purchaser and its Affiliates shall not be permitted to employ any Offer Employee who is employed by Rexam or any Rexam Entity as of the date of this Agreement or who becomes employed by Rexam or any Rexam Entity between the date of this Agreement and Closing, and in each case who has not become a Transferred Business Employee.
Transferred Business Employees. During the Non-Solicitation Period, Purchaser agrees that all Transferred Business Employees who remain employed by Purchaser or its Affiliates during such period shall devote substantially all of their services on behalf of Purchaser or such Affiliate to the development, manufacture, use, importation, marketing or sale of the Product or activities incidental thereto; provided, that Purchaser and its Affiliates shall be permitted to engage Transferred Business Employees for other services required by Purchaser or its Affiliates on a limited basis.

Transferred Business Employees. Each Business Employee who accepts Parent’s offer of employment and actually commences employment with Parent or one of its Affiliates upon the Closing shall be referred to herein as a “Transferred Business Employee.” Seller and its Subsidiaries shall, subject to applicable Law, terminate the employment of (i) all Transferred Business Employees effective immediately as of the Closing and (ii) any Business Employee who rejects his or her offer of employment by Parent or its Affiliates effective immediately as of the Closing.
