Common use of Transferee Entitled to Registration Clause in Contracts

Transferee Entitled to Registration. (1) The transferee of a Warrant shall, after the transfer form attached to the Warrant Certificate is duly completed and the Warrant Certificate and transfer form are lodged with the Warrant Agent, and upon compliance with all other conditions in that regard required by this Agreement and by all applicable securities legislation and requirements of regulatory authorities, be entitled to have his or her name entered on the register as the owner of such Warrant, free from all equities or rights of set-off or counterclaim between the Corporation and his or her transferor or any previous holder of such Warrant, save in respect of equities of which the Corporation or the transferee is required to take notice by statute or by order of a court of competent jurisdiction.

For clarity, the Trustee shall not be responsible to determine compliance with securities legislation or requirements of regulatory authorities and such determination shall be the responsibility solely of the person requesting the transfer.
