TRANSFERABILITY/ASSIGNMENT. This Policy and the Accumulation Fund established pursuant to it may solely be sold, assigned, transferred or pledged in accordance with, and for the purposes contemplated by, the documents and agreements governing the establishment and operation of the Program. GLAIC will maintain a record of ownership of this Policy on its books and records.
TRANSFERABILITY/ASSIGNMENT. The Member shall have the right to sell, pledge, hypothecate or otherwise transfer all or any part of such Member’s membership interest in the Company at any time.
TRANSFERABILITY/ASSIGNMENT. (a) Neither this Agreement nor the Note or the Warrant may be assigned or transferred, directly or indirectly, by Investor to any Person without the prior written consent of the Company and compliance with the other applicable provisions of this Agreement. Any purported transfer of this Agreement or the Note, the Warrant or other Company Securities in violation of this Section 6.13 shall be null and void.
TRANSFERABILITY/ASSIGNMENT. The Guarantor may not assign or transfer the whole or part of its obligations hereunder without the prior written consent of the Agent acting on the instructions of all Lenders. If a new agent is appointed in accordance with Clause 27.11 of the Facility Agreement (Resignation of the Agent), the resigning agent may without the Guarantor's consent assign all or any part of its rights hereunder. In any other case, the Agent may not assign its rights hereunder except with the prior written consent of the Guarantor.
TRANSFERABILITY/ASSIGNMENT. You may only transfer or assign Your license rights to on-premise Embedded Software to another person or entity in accordance with the current Cisco Relicensing/Transfer Policy. Any transfer or assignment other than in accordance with the Transfer Policy will have no effect. Cisco may transfer or assign any of its rights or delegate any of its obligations under this Agreement in its sole discretion.
TRANSFERABILITY/ASSIGNMENT. The ownership of an Account may not be transferred by you except with the express written consent of the Account Custodian and StoneCastle or otherwise by operation of law. Any purported transfer shall not be binding on the Account Custodian, StoneCastle or the Insured Depositories until sufficient documentation has been received.
TRANSFERABILITY/ASSIGNMENT. The ownership of an ICA Account may not be transferred by you except with the express written consent of the ICA Custodian and StoneCastle or otherwise by operation of law. Any purported transfer shall not be binding on the ICA Custodian, StoneCastle or the Depository Banks until sufficient documentation has been received.
TRANSFERABILITY/ASSIGNMENT. This Warrant and all rights hereunder may be assigned by the Company in connection with a merger, reorganization, reincorporation, sale of assets or similar event, but may only be transferred or assigned, in whole or in part, by the Holder, subject to compliance with applicable federal and state securities laws, (i) to any partner, member, subsidiary or affiliate of the Holder; (ii) to any successors or assigns in connection with any merger, sale of assets, reorganization, or similar event or to an affiliate of such assignee or successor, without charge to the Holder and without the requirement of an opinion of counsel, upon surrender of this Warrant provided that (a) the transferee or assignee of such Warrant agrees in writing for the benefit of the Company to comply with all terms and obligations of this Warrant; and (b) that the Company is given written notice by the Holder within five (5) business days of said transfer or assignment of this Warrant, stating the name, address and relationship of said transferee or assignee; and (iii) to any third party to which the Company agrees in writing, provided that the Holder provides a legal opinion as to the compliance with applicable securities laws, which is reasonably acceptable to the Company and its counsel.
TRANSFERABILITY/ASSIGNMENT. The rights and obligations of Purchaser shall be assignable so long as Purchaser (or its successor in interest) remains responsible for payment of the Consideration. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assignees. Nothing herein expressed or implied is intended to confer upon any person, other than the parties hereto and their respective successors and permitted assignees, any rights, remedies, obligations or liabilities under or by reason of this Agreement.
TRANSFERABILITY/ASSIGNMENT. The ownership of a FICA Account may not be transferred by you except with the express written consent of the FICA Custodian and StoneCastle or otherwise by operation of law. Any purported transfer shall not be binding on the FICA Custodian, StoneCastle or the Insured Depositories unless and until sufficient, acceptable documentation has been received by such entities. StoneCastle may assign and transfer its rights and obligations under the FICA Program, including, without limitation, pursuant to these Terms and Conditions, to one or more of its affiliates or subsidiaries or to any person that acquires all or substantially all of the assets of StoneCastle, without prior notice to you and without obtaining your consent.
