TRANSFER PROVISION. Prior to the Annuity Date, You may transfer all or part of Your Certificate Value to any of the Variable Accounts or the Fixed Account. We will charge a $25 transfer fee for each transfer that exceeds the annual Certificate Year limit of 15. Transfers will be effected at the end of the Valuation Period in which We receive Your request for the transfer. TRANSFERS OF ACCUMULATION UNITS BETWEEN VARIABLE ACCOUNTS Both prior to and after the Annuity Date, You may transfer all or a portion of Your investment in one Variable Account to another Variable Account. The minimum amount which can be transferred between Variable Accounts is $100. The amount that must remain in the Variable Account is $100. TRANSFER PROVISION. Each of the SBLC and the Confirmation specifies the means by which DSCA can transfer its rights as the beneficiary. Only DSCA has the right to demand transfer of its rights under the SBLC and Confirmation; absent consent by DSCA, neither the Issuer, Confirmer, nor the [FMS Partner] has authority to transfer the SBLC or Confirmation.

TRANSFERS OF ACCUMULATION UNITS TO AND FROM THE FIXED ACCOUNT Prior to the Annuity Date, You may transfer all or any part of Your Contract Value from the Subaccount(s)to any Fixed Account Option(s) other than the DCA Fixed Account Options or from the Fixed Account Option(s) to the Subaccount(s) and/or the Fixed Account Option(s) of the Contract. Transfers from the Fixed Account Option(s) may be subject to a Market Value Adjustment as discussed in the Market Value Adjustment Provision. After the Annuity Date, transfers into or out of the Fixed Account Options are not allowed.
TRANSFER PROVISION. 6.1 EXISTING MEMBER LOCK-UP. From the date hereof until the second anniversary of the date of this Agreement (the "LOCK-UP PERIOD"), the Existing Members shall not Dispose of their Units to any person other than (i) the Company or (ii) Cherokee Investors, its assignee(s) or its designee(s). Notwithstanding the foregoing, the Existing Members may Dispose of all or part of their Membership Interests to a Permitted Transferee, provided that the Existing Member and the Permitted Transferee each comply with the requirements of Section 3.6.2. A Permitted Transferee of an Existing Member shall be considered an "Existing Member" following completion of a Permitted Disposition in accordance with the requirements herein, provided that Cherokee Investors shall not be considered an Existing Member by virtue of its acquisition of Units from an Existing Member, and no Existing Member shall acquire the rights reserved for Cherokee Investors hereunder by virtue of its acquisition of Units from Cherokee Investors.
