Common use of Transfer of Licenses Clause in Contracts

Transfer of Licenses. Upon the expiration or earlier termination of the Term, Lessee shall use its best efforts (i) to transfer to Lessor or Lessor's nominee all licenses, operating permits and other governmental authorizations and all contracts, including contracts with governmental or quasi-governmental entities, that may be necessary for the operation of the Facility (collectively, "Licenses"), or (ii) if such transfer is prohibited by law or Lessor otherwise elects, to cooperate with Lessor or Lessor's nominee in connection with the processing by Lessor or Lessor's nominee of any applications for all Licenses, including Lessee (or its Affiliate) continuing to operate the liquor operations under its licenses with Lessor agreeing to indemnify and hold Lessee (or its Affiliate) harmless as a result thereof except for the gross negligence or willful misconduct of Lessee; provided, in either case, that the costs and expenses of any such transfer or the processing of any such application shall be paid by Lessor or Lessor's nominee.

Upon the expiration or earlier termination of the Term, Lessee shall use its reasonable best efforts (i) to transfer to Lessor or Lessor's nominee designee any Franchise Agreement, all licenses, operating permits and other governmental authorizations and all contracts, including contracts with governmental or quasi-governmental entities, that may be necessary for the operation of the Facility Hotel (collectively, "LicensesLICENSES"), or (ii) if such transfer is prohibited by law or Lessor otherwise elects, to cooperate with Lessor or Lessor's nominee designee in connection with the processing by Lessor or Lessor's nominee designee of any applications for all Licenses, including Lessee (or its Affiliate) continuing to operate the liquor operations under its licenses with Lessor agreeing to indemnify and hold Lessee (or its Affiliate) harmless as a result thereof (except for the gross negligence or willful misconduct of Lessee); provided, in either case, that the costs and expenses of any such transfer or the processing of any such application shall be paid by Lessor or Lessor's nomineedesignee.

Upon the expiration or earlier termination of the Term, Lessee shall use its best reasonable efforts (i) to transfer to Lessor or Lessor's nominee Lessoes nominee, to the extent assignable or ftwsferable, the Franchise Agreement, any liquor licenses, and all other licenses, operating permits pennits and other governmental govenunental authorizations and all contracts, including contracts with governmental or quasi-governmental govenunental entities, that may be necessary for the operation of the Facility (collectively, "Licenses"), or (ii) if such transfer is transfer'is prohibited by law or Lessor otherwise elects, to cooperate with Lessor or Lessor's nominee in connection with the processing by Lessor or Lessor's of Lessoes nominee of any applications for for, all Licenses, including Lessee (or its Affiliate) continuing to operate the liquor operations under its licenses with Lessor agreeing to indemnify and hold Lessee (or its Affiliate) harmless as a result thereof except for the gross negligence or willful misconduct of Lessee; provided, in either case, except in the case of a termination resulting from an Event of Default by Lessee, that the costs and expenses of any such transfer or the processing of any such application shall be paid by Lessor or Lessor's nominee.
