TRANSFER FOR CONVENIENCE OF OWNERSHIP. In the event the proposed transfer is to a corporation or partnership formed solely for the convenience of ownership, Franchisor's consent may be conditioned upon any of the requirements set forth at Section XII.B.(2), except that the requirements set forth at Sections XII.B.(2)(c), (g), (h), (i), (k) and (1) shall not apply. With respect to a transfer to a corporation or partnership formed for the convenience of ownership, Franchisee shall be the owner of all of the voting stock or interest of the corporation and if Franchisee is more than one individual, each individual shall have the same proportionate ownership interest in the corporation as he had in Franchisee prior to the transfer.
