Transfer by Tenant. The following provisions shall apply to any assignment, subletting or other transfer by Tenant or any subtenant or assignee or other successor in interest of the original Tenant (collectively referred to in this Section 14.1 as “Tenant”):
Transfer by Tenant. At any time and from time to time Tenant shall have the right (in its sole discretion) to assign this Lease and Tenant’s leasehold interest or to sublease all of or any part of the Premises to any person or entity for any use permitted under this Lease, without the consent of the Landlord.
Transfer by Tenant. Tenant shall not enter into, consent to, or permit any Transfer, as hereinafter defined, without the prior written consent of Landlord in each instance, which consent shall not be unreasonably withheld, conditioned or delayed. For purposes of this Lease, “Transfer” means an assignment of this Lease in whole or in part; a sublease of all or any part of the Premises; a license for any use or occupancy of all or any part of the Premises; any transaction whereby the rights of Tenant under this Lease or to the Premises are transferred to another; any mortgage, pledge, hypothecation or encumbrance of this Lease or the Premises or any part thereof or other arrangement under which either this Lease or the Premises become security for any indebtedness or other obligations; or the occupancy of the Premises or any portion thereof by anyone other than Tenant and its employees. Notwithstanding the foregoing, Landlord’s consent shall not be required in the event of any Transfer to (a) an entity then owned by, under common control with, or controlled by Tenant, or any entity resulting from the merger or consolidation of Tenant, provided that any such entity acquires all or substantially all of the assets of Tenant’s business that is being conducted on the Premises as of the Effective Date, (b) any person or entity which acquires Tenant or substantially all of the assets of Tenant’s business that is being conducted on the Premises as of the Effective Date, or (c) or any entity owned directly or indirectly by The McClatchy Company, provided that any such entity acquires all or substantially all of the assets of Tenant’s business that is being conducted on the Premises as of the Effective Date; and provided, that in connection with any of the foregoing, such person or entity has a tangible net worth equal to or greater than The McClatchy Company as of the date of the Effective Date (as may be determined with reference to net worth as reflected on audited financial statements, or other documentation reasonably acceptable to Landlord) (a “Creditworthy Transferee”) or such person or entity causes a guaranty to be executed and delivered to Landlord by a Creditworthy Transferee. Notwithstanding any Transfer, neither Tenant nor any Guarantor shall be released from any of its obligations under this Lease, except that to the extent that (i) the transferee expressly assumes in writing all of Tenant’s obligations under this Lease in a form reasonably acceptable to Landlord, (ii) the ...
Transfer by Tenant. Except as permitted by Section 5.1, the Tenant shall not, without the prior written consent of the Landlord, which consent may be unduly delayed and unreasonably withheld, Transfer this Lease or grant the use of the Demised Premises to any person, in whole or in part, and any such purported Transfer is void and of no effect. Any request for consent shall be accompanied by payment of the Landlord's processing fee for review of such requests, and by such information and documentation as reasonably required by the Landlord. .
Transfer by Tenant. Tenant agrees not to transfer this lease to anyone else without the prior written permission of Landlord. Tenant agrees not to lease all or any party of the Leased Property to anyone else without the prior written consent of Landlord. Tenant agrees that if Tenant transfers this lease or leases all or a part of the Leased Property to another, Tenant has broken this lease.

Transfer by Tenant. Subject to the provisions of Paragraph 13 of the ------------------ Lease, Landlord shall consent to a transfer of this Lease to an entity Tenant controls, is controlled by or is in common control with parent or any transfer of stock of the Tenant including the transfer in connection with consolidation or non-bankruptcy of Tenant or assignment in connection with transfer of substantially all of the assets of the Tenant so long as such transfer or assignment is to an entity whose financial condition is equal to or greater than that of the Tenant and whose use of the Premises shall be consistent with that of the Tenant.
