Common use of Transfer/Assignment Clause in Contracts

Neither party may assign any of its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement as a whole without such consent to (i) any Affiliates or (ii) any person or entity that acquires by sale, merger or otherwise, all or substantially all of its assets, stock or business.
