Common use of TRANSFER AGENT’S CERTIFICATE Clause in Contracts

TRANSFER AGENT’S CERTIFICATE. The Acquired Fund shall cause ALPS Fund Services, Inc., as transfer agent for the Acquired Fund, to deliver to the Acquiring Fund at the Closing a certificate of an authorized officer stating that its records contain the names and addresses of the Acquired Fund Shareholders, and the number, class and percentage ownership of outstanding shares owned by each such shareholder immediately prior to the Closing. The Acquiring Fund shall issue and deliver or cause ALPS Fund Services, Inc., its transfer agent, to issue and deliver to the Acquired Fund at the Closing (a) a certificate as to the opening of accounts in the Acquired Fund Shareholders’ names on the Acquiring Fund’s share transfer books and (b) a confirmation evidencing the Acquiring Fund Shares to be credited at the Closing or provide evidence satisfactory to the Acquired Fund that such Acquiring Fund Shares have been credited to the Acquired Fund’s account on the books of the Acquiring Fund.

TRANSFER AGENT’S CERTIFICATE. The Acquired Selling Fund shall cause ALPS Fund Services, Inc., as transfer agent for the Acquired Selling Fund, to deliver to the Acquiring Fund at the Closing a certificate of an authorized officer stating that its records contain the names and addresses of the Acquired Selling Fund Shareholders, and the number, class and percentage ownership of outstanding shares owned by each such shareholder immediately prior to the Closing. The Acquiring Fund shall issue and deliver or cause ALPS Fund Services, Inc., its transfer agent, to issue and deliver to the Acquired Selling Fund at the Closing (a) a certificate as to the opening of accounts in the Acquired Selling Fund Shareholders’ names on the Acquiring Fund’s share transfer books and (b) a confirmation evidencing the Acquiring Fund Shares to be credited at on the Closing Date to the Secretary of the Selling Fund or provide evidence satisfactory to the Acquired Selling Fund that such Acquiring Fund Shares have been credited to the Acquired Selling Fund’s account on the books of the Acquiring Fund.

TRANSFER AGENT’S CERTIFICATE. The Acquired Selling Fund shall cause ALPS U.S. Bank Fund Services, Inc.Services Inc. (“USBFS”), as transfer agent for the Acquired Selling Fund, to deliver to the Acquiring Fund at the Closing a certificate of an authorized officer stating that its records contain the names and addresses of the Acquired Selling Fund Shareholders, and the number, class and percentage ownership of outstanding shares owned by each such shareholder immediately prior to the Closing. The Acquiring Fund shall issue and deliver or cause ALPS Fund Services, BNY Mellon Investment Servicing (US) Inc., its transfer agent, to issue and deliver to the Acquired Secretary of the Selling Fund at the Closing (a) a certificate as to the opening of accounts in the Acquired Selling Fund Shareholders’ names on the Acquiring Fund’s share transfer books and (b) a confirmation evidencing the Acquiring Fund Shares to be credited at on the Closing Date to the Selling Fund’s account or provide evidence satisfactory to the Acquired Selling Fund that such Acquiring Fund Shares have been credited to the Acquired Selling Fund’s account on the books of the Acquiring Fund.

The Acquired Selling Fund shall cause ALPS U.S. Bancorp Fund Services, Inc.LLC, as transfer agent for the Acquired Selling Fund, to deliver to the Acquiring Fund at the Closing a certificate of an authorized officer stating that its records contain the names and addresses of the Acquired Selling Fund Shareholders, and the number, class and percentage ownership of outstanding shares owned by each such shareholder immediately prior to the Closing. The Acquiring Fund shall issue and deliver or cause ALPS Fund Services, Inc., its transfer agent, to issue and deliver to the Acquired Selling Fund at the Closing (a) a certificate as to the opening of accounts in the Acquired Selling Fund Shareholders’ names on the Acquiring Fund’s share transfer books and (b) a confirmation evidencing the Acquiring Fund Shares to be credited at on the Closing Date to the Secretary of the Selling Fund or provide evidence satisfactory to the Acquired Selling Fund that such Acquiring Fund Shares have been credited to the Acquired Selling Fund’s account on the books of the Acquiring Fund.

The Acquired Selling Fund shall cause ALPS Fund Mutual Shareholder Services, Inc.LLC, as transfer agent for the Acquired Selling Fund, to deliver to the Acquiring Fund at the Closing a certificate of an authorized officer stating that its records contain the names and addresses of the Acquired Selling Fund Shareholders, and the number, class and percentage ownership of outstanding shares owned by each such shareholder immediately prior to the Closing. The Acquiring Fund shall issue and deliver or cause ALPS Fund Services, Inc., its transfer agent, to issue and deliver to the Acquired Selling Fund at the Closing (a) a certificate as to the opening of accounts in the Acquired Selling Fund Shareholders’ names on the Acquiring Fund’s share transfer books and (b) a confirmation evidencing the Acquiring Fund Shares to be credited at on the Closing Date to the Secretary of the Selling Fund or provide evidence satisfactory to the Acquired Selling Fund that such Acquiring Fund Shares have been credited to the Acquired Selling Fund’s account on the books of the Acquiring Fund.

The Acquired Selling Fund shall cause ALPS Fund Services, Inc., as transfer agent for the Acquired FundSelling Fund (“Selling Fund Transfer Agent”), to deliver to the Acquiring Fund at the Closing a certificate of an authorized officer stating that its records contain the names and addresses of the Acquired Selling Fund Shareholders, and the number, class and percentage ownership of outstanding shares owned by each such shareholder immediately prior to the Closing. The Acquiring Fund shall issue and deliver or cause ALPS Fund Services, Inc., its transfer agent, to issue and deliver to the Acquired Selling Fund at the Closing (a) a certificate as to the opening of accounts in the Acquired Selling Fund Shareholders’ names on the Acquiring Fund’s share transfer books and (b) a confirmation evidencing the Acquiring Fund Shares to be credited at on the Closing Date to the Secretary of the Selling Fund or provide evidence satisfactory to the Acquired Selling Fund that such Acquiring Fund Shares have been credited to the Acquired Selling Fund’s account on the books of the Acquiring Fund.

TRANSFER AGENT’S CERTIFICATE. The Acquired Selling Fund shall cause ALPS UMB Fund Services, Inc.Inc. (“UMBFS”), as transfer agent for the Acquired FundSelling Fund (“Selling Fund Transfer Agent”), to deliver to the Acquiring Fund at the Closing a certificate of an authorized officer stating that its records contain the names and addresses of the Acquired Selling Fund Shareholders, and the number, class and percentage ownership of outstanding shares owned by each such shareholder immediately prior to the Closing. The Acquiring Fund shall issue and deliver or cause ALPS Fund Services, Inc.Ultimus, its transfer agent, to issue and deliver to the Acquired Fund Secretary of the Selling Trust at the Closing (a) a certificate as to the opening of accounts in the Acquired Selling Fund Shareholders’ names on the Acquiring Fund’s share transfer books books; and (b) a confirmation evidencing the Acquiring Fund Shares to be credited at the Closing or provide evidence satisfactory to the Acquired Selling Fund that such Acquiring Fund Shares have been credited to the Acquired Selling Fund’s account on the books of the Acquiring Fund.
