Common use of Transaction Information Clause in Contracts

Transaction Information. The Subadviser shall furnish to the Adviser and the Trust such information concerning portfolio transactions as may be necessary to enable the Adviser, the Trust, or the Adviser’s or the Trust’s respective designated agents to perform such compliance testing on each Fund and the Subadviser’s services as the Adviser and the Trust, in the Adviser’s or the Trust’s respective sole discretion, may determine to be appropriate. The provision of said information by the Subadviser to the Adviser, the Trust, or the Adviser’s or the Trust’s respective designated agents in no way relieves the Subadviser of the Subadviser’s own responsibilities under this Agreement.

The provision of said information by the Subadviser to the Adviser, the TrustCompany, or the Adviser’s or the TrustCompany’s respective designated agents in no way relieves the Subadviser of the Subadviser’s own responsibilities under this Agreement.

The provision of said information by the Subadviser Sub-Adviser to the Adviser, the Trust, the Adviser or an agent designated by the Trust or the Adviser’s or the Trust’s respective designated agents Adviser in no way relieves the Subadviser Sub-Adviser of the SubadviserSub-Adviser’s own responsibilities under this Agreement.
