Training and Supervision. 1. The personnel employed by the Contractor shall be capable employees, trained and qualified in the Services. All personnel will receive close and continuing first-line supervision by the Contractor.

Physical Therapist is expected to confine Physical Therapist’s professional activities related to the clinical practice of medicine to the activities endorsed or assigned by UNTHSC. The professional liability insurance coverage provided by UNTHSC is intended as coverage for assigned activities performed for UNTHSC and the Clinical Practice Group and will not cover activities performed outside the course and scope of employment with UNTHSC. Physical Therapist will not provide Services in any capacity of a professional or commercial nature to, or for any person or firm, or engage in any other activity that is competitive with or adverse to the business of UNTHSC. Outside activities and employment, if any, must be approved in accordance with UNTHSC policies related to outside employment and applicable Clinical Practice Group policies and procedures. Revenues from Physical Therapist's Services . Physical Therapist agrees to comply with applicable Clinical Practice Group policies and procedures, including the assignment to UNTHSC or Clinical Practice Group of all professional fees for Services rendered pursuant to this Agreement. The Clinical Practice Group will determine the fees to be charged for the professional Services rendered by Physical Therapist. All revenues generated by Physical Therapist for Services shall belong to the Clinical Practice Group through which Services are provided, whether paid directly to the Clinical Practice Group or Physical Therapist, and Physical Therapist hereby assigns to UNTHSC or the Clinical Practice Group the right to receive all such payments or collections. UNTHSC or the Clinical Practice Group shall bill and collect for all professional Services provided by Physical Therapist, and Physical Therapist appoints UNTHSC or the Clinical Practice Group as agent and attorney-in-fact for collecting the revenues from such Services. All personnel will receive close and continuing first-line supervision by the Contractor. The Contractor’s employees must wear identifiable uniforms approved by the University and name tags that include the Contractor’s name, the employee’s full name, and the employee’s picture and must carry UConn-issued identification. The Contractor’s employees must also wear proper personal protective equipment whenever appropriate. The Contractor shall supply all such uniforms and personal protective equipment. All the Contractor’s employees shall utilize computerized time clocks provided by the Contractor to clock in and out. The University shall have access to the headcount information at all times. The Contractor shall also maintain a sign-in sheet, which shall document name, sign-in/out time, and key issuance. The Contractor shall ensure that the clock-in/out process is accurate, effective and efficient. The Contractor’s personnel will interact with University employees in a friendly and courteous manner. Personnel will not engage in inappropriate conduct such as borrowing money from University employees, students, or visitors, and will not use State owned telephones for personal calls, argue on the job, conduct outside business at University locations, use University equipment or supplies for personal reasons or to satisfy responsibilities of the Contractor under this Agreement, or take University materials, equipment, or supplies, including those belonging to employees, for any reason. The Contractor’s personnel will not accept gifts or gratuities from anyone at the University for any reason. The University has the right to, at its judgment, remove, or require the removal of, any of the Contractor’s personnel from any University location. When notified by the University of an act of theft or dishonesty by the Contractor’s personnel, and such act is not reasonably in dispute, the Contractor shall immediately reimburse the University for the amount of the University’s resulting loss without waiting for any potential reimbursement or recovery from the Contractor’s fidelity carrier. The Contractor shall ensure that its personnel receive training necessary to properly perform the Services. Training and Supervision. Broker/Dealer has sole responsibility for the training and supervision of all Producers and any other persons associated with Broker/Dealer or Agency who are engaged, directly or indirectly, in the offer or sale of the Contracts. Broker/Dealer shall, during the term of the Agreement, establish and implement reasonable rules and procedures for periodic inspection and diligent supervision of all sales practices of its Producers and associated persons, including procedures for monitoring ongoing compliance by such individuals with applicable FINRA rules and federal and state laws, rules, and regulations. Upon request by Insurer or Distributor, Broker/Dealer shall furnish in a timely fashion any records or other documentation evidencing such diligent supervision.

Broker/Dealer, through its designated principals or members of its staff authorized to supervise employees, shall train, supervise, control, and assume responsibility for all of the securities activities of the Dual Representatives in connection with the offer and sale of Variable Products.

If a Registered Representative ceases to be a Registered Representative of Broker-Dealer, is disqualified for continued FINRA registration or has its registration suspended by FINRA or otherwise fails to meet the rules and standards imposed by Broker-Dealer, Broker-Dealer shall immediately notify such Registered Representative that he or she is no longer authorized to solicit applications for the sale of Products on behalf of the Company. Broker-Dealer shall immediately notify the Company of such termination or suspension or failure to abide by the rules and standards of Broker-Dealer.
