The TRAINING AND MAINTENANCE clause outlines the obligations of one party to provide necessary training and ongoing support for a product or service. Training and Maintenance. For two years, beginning on the Effective Date, Pfizer will pay quarterly installments, in advance, of * dollars ($*) for AMAP System training and maintenance. Pfizer will pay such installments within * after receipt of ArQule’s invoice.

Provide maintenance and operations support of image processing/multimedia systems, database systems and other applications software related to telecommunications/network information systems to include data management, document conversion, updates and modifications. Training and Maintenance. VisitCom agrees to provide on-site training in the use of the System to Location's designated employees, at no cost to Location. Additionally, during the term of this Agreement, VisitCom shall maintain the computer hardware and software provided to Location on an "as needed" basis at no cost to Location, unless the repairs are necessitated by the malicious acts of Location, its agents, employees, servants or invites, in which event Location shall solely be responsible for the cost of any necessary repairs at the rate of $95.00 per hour plus the actual cost of replacement parts.

ABAXIS will provide maintenance services to Distributor for Products which are out of warranty at ABAXIS’ then- current maintenance fees and subject to ABAXIS’ policies with respect to such maintenance; provided, however, that ABAXIS will use its commercially reasonable efforts to repair such Products within ten (10) business days after receipt of those Products.

Training and Maintenance. 11.1. At the Buyer’s request, the Seller shall provide training courses for the Buyer’s personnel on the use, maintenance and repair of the Product. All costs and expenses relating to the organization and holding of such courses shall be borne exclusively by the Buyer and the Seller’s rates for such training courses shall be those currently charged by the Seller for such activities at the time of the Buyer’s request.
11.2. At the Buyer’s request during the Warranty Period, as defined in Article 8.1 herein above, the Seller shall supply the Buyer with technical assistance in relation to the Product, at the rate currently charged by the Seller for such services at the time of the Buyer’s request. All reasonable travel and living expenses incurred by the Seller’s personnel in providing technical assistance pursuant to this Article shall be borne exclusively by the Buyer.

Drops Smart Hubs agrees to: · Exclusive Distribution: Act as the sole distributor of Dynamic Aerospace Systems’ drones to local UAV companies in Greece. · Market Development: Actively promote and market Dynamic Aerospace Systems’ drones to local UAV companies in Greece, highlighting their reliability and compatibility with Drops Smart Hub systems. · Platform Integration: Ensure that its smart hub systems support the integration of Dynamic Aerospace Systems’ drones, including data exchange for real-time tracking and hub coordination. · Compliance with Exclusivity: Refrain from distributing/sales of other UAV for use in Drops Smart Hub systems in Greece during the term of the exclusivity agreement.
Training and Maintenance. PX Technology will provide on-site or web-based training reasonably necessary for Customer to competently operate the PX Connect System and Customer agrees to commit personnel time for such training. Travel required for on-site training shall be billed to Customer separately, upon prior approval by Customer. PX Technology shall perform service to keep the PX Connect System in good working order, as to be determined by PX Technology. In the event the PX Connect System shall for any reason become disabled, Customer will advise PX Technology of the disability as soon as possible. Customer shall not make any repairs or adjustments to the PX Connect System without PX Technology’s prior consent. PX Technology will provide a support number that may be called for service. Customer acknowledges and agrees that this Agreement does not assure uninterrupted service of the PX Connect System.
Training and Maintenance. 5.1 Advance will purchase, at its own expense, adequate computer hardware to be used by Advance for the operation of the Business.
5.2 Europe will deliver to Advance one copy of the Europe Software along with all associated user guides and reference documentation for the Europe Software then in the possession or under the control of Europe.
5.3 Europe shall make available, at Advance's expense, training which Europe deems reasonably sufficient with respect to all facets of the Business including, but not limited to, sales, administration and operations. Such training shall be scheduled consistent with the reasonable requirements of Advance and the availability of Europe's personnel.
