TOOLS AND MATERIALS. The employer shall, free of charge, supply to the employees all tools (other than scissors), materials and requisites for the manufacture of clothing.

All taxes assessments and similar charges levied with respect to or upon any such items owned by Coherent while in Supplier's possession or control and for which no exemption is available shall be borne by Supplier. Upon completion of work to be performed under applicable Purchase Orders, all Supplies shall be disposed of as Coherent directs.

Supplier assumes complete liability for all special tooling and materials while in Supplier's possession. Supplier will reimburse XXXXX for damage to XXXXX'x special tooling beyond normal wear and tear while in Supplier's possession. XXXXX reserves the right to use at any time all special tooling and materials. Supplier will be responsible to XXXXX for any and all consigned materials. Supplier will communicate to XXXXX, in such manner and such times as XXXXX directs, any and all instances wherein Supplier fails to yield prescribed requirements from XXXXX'x material. Upon completion of specific purchase order requirements, Supplier will furnish to XXXXX any and all residual materials and an accounting of any and all deviations from the prescribed order requirements. At XXXXX'x direction, Supplier will at its cost return to XXXXX any "off fall" material. If any item fabricated by Supplier from material furnished by XXXXX is defective, or any furnished material is damaged while in Supplier's possession, Supplier will reimburse XXXXX to the full extent of its damages.
