Common use of Title to Stock Clause in Contracts

Title to Stock. All shares of Common Stock delivered upon the exercise of the Warrants shall be validly issued, fully paid and nonassessable; each Warrant holder shall, upon such delivery, receive good and marketable title to the Shares, free and clear of all voting and other trust arrangements, liens, encumbrances, equities and claims whatsoever; and the Company shall have paid all taxes, if any, in respect of the issuance thereof.

Title to Stock. All shares of the Underlying Common Stock delivered upon the exercise of the Warrants shall be validly issued, fully paid and nonassessable; each Warrant holder Warrantholder shall, upon such delivery, receive good and marketable title to the SharesUnderlying Common Stock, free and clear of all voting and other trust arrangements, liens, encumbrances, equities and claims whatsoever; and the Company shall have paid all taxes, if any, in respect of the issuance thereof.

Title to Stock. All shares of the Common Stock delivered upon the exercise of the Warrants this Warrant shall be validly issued, fully paid and nonassessable; each Warrant holder shall, upon such delivery, the Warrantholder shall receive good and marketable title to the SharesCommon Stock, free and clear of all voting and other trust arrangements, liens, encumbrances, equities and claims created by the Company whatsoever; , other than the Amended and Restated Stockholders and Voting Agreement, dated April 30, 1997, by and among the Company and the Company shall have paid all taxes, if any, in respect stockholders of the issuance thereofCompany that are signatories thereto (the "Stockholders Agreement").
