Title Documents and Data. Title to all materials, equipment, supplies, consumables, spare parts and other items purchased or obtained by the Westlake Parties for or on behalf of the Ethylene Assets or Owner shall pass immediately to and vest in Owner free and clear of all liens or encumbrances (other than liens and security interests securing any unpaid portion of the purchase price for the same) upon passage of title from the vendor or supplier thereof. All materials, data and documents prepared or developed by the Westlake Parties or their employees, representatives or contractors prior to or during the Term of this Agreement for Owner in connection with the Seconded Employees’ performance of the Operating Services, including all manuals, data, designs, drawings, plans, specifications and reports, shall belong to Owner. All such materials in whatever form, including electronic copies and databases, shall be provided promptly to Owner following any termination of this Agreement, or at such other times as Owner may reasonably direct.

Title Documents and Data. 11.1 Materials and Equipment. Title to all materials, equipment, supplies, consumables, spare parts, and other items purchased or obtained by Operator and paid for by the Company pursuant to Section 5.7 shall pass immediately to and vest in the Company upon the passage of title from the vendor or supplier thereof; provided, however, that such transfer of title shall in no way affect Operator's obligations as set forth in the other provisions of this Agreement.

Executive represents and warrants that Executive does not possess confidential information arising out of prior employment, consulting, or other third party relationships, that would be used in connection with Executive’s employment by the Company, except as expressly authorized by that third party. During Executive’s employment by the Company, Executive will use in the performance of Executive’s duties only information which is generally known and used by persons with training and experience comparable to Executive’s own, common knowledge in the industry, otherwise legally in the public domain, or obtained or developed by the Company or by Executive in the course of Executive’s work for the Company.
