Timeshare Documents. If the Declaration, any of the other documents creating or governing the Resorts, its timeshare regime, or the Timeshare Owners’ Association, or the restrictive covenants with respect to the Resorts, shall be terminated, amended or modified without Agent’s prior written consent (except for routine non-substantive modifications which have no impact on the Collateral).
Timeshare Documents. If the Timeshare Declaration, any of the other documents creating or governing a Timeshare Project, its timeshare regime, or the Association, or the restrictive covenants with respect to a Timeshare Project, shall be terminated, amended or modified in any material adverse manner with respect to the Lender’s Collateral or the ability of the Borrower to Perform its Obligations.
Timeshare Documents. Any registration statement required under any Timeshare Act approving the establishment and operation of the Resorts and the sales of Intervals.
Timeshare Documents. Any and all documents evidencing or relating to the sale of Intervals by Borrower.
Timeshare Documents. At least ten (10) days prior to the requested Advance, Borrower shall deliver to the Custodial Agent Prefunding Documents for each Note Receivable for which an Advance is being requested.
Timeshare Documents. Without Lender's prior written consent, Borrower shall not in any material respect amend or modify or terminate the Declaration or other Timeshare Documents.
Timeshare Documents. Any registration statement approving the establishment and operation of the Eligible Projects and the sales of Intervals required under any statute, act, regulation, ordinance, rule or law applicable to the establishment and operation of the Eligible Projects and the sales of the Intervals.
Timeshare Documents. The Custodial Agent shall have confirmed in writing (and the Bankruptcy Court shall have ordered) that the Custodial Agent holds all of the documents itemized in the definition of “Timeshare Loan File”, together with all other items which are required to be delivered to the Lender or Custodial Agent under the terms of the Custodial Agreement (including, without limitation, all purchase money promissory notes and installment obligations and the related documents evidencing and securing such payment obligations, and subject to any exceptions that existed as of the Petition Date) for the exclusive benefit of and as the bailee of Lender under this Agreement for the purposes of satisfying any of the provisions of the UCC permitting possession by a bailee to perfect Lender’s security interest in the Collateral.
Timeshare Documents. Any and all documents evidencing or relating to the Timeshare Plan, the sale of Timeshare Interests by Borrower or the Purchaser Documents, the Timeshare Declaration, the Articles of Incorporation and Bylaws of the Association, any management agreement between the Association and a manager of the Timeshare Project, the rules and regulations of the Association in the Timeshare Declaration, and any documents referenced in the Timeshare Declaration, or the Articles of Incorporation or Bylaws of the Association.
Timeshare Documents. Documents creating the timeshare plan and form of timeshare ownership for the Timeshare Project pursuant to Nevada law, including but not limited to Nevada Revised Statutes Ch. 119A and Nevada Administrative Code Ch. 119A.
