Time Commitments. Executive will devote substantially all of Executive's business time and best efforts to the operation and oversight of the business of the Company Group and performance of Executive's duties hereunder (excluding periods of vacation, approved time off or leave of absence) and will not, without the Company's prior consent (which shall not be unreasonably withheld, conditioned or delayed), engage in any other business activities that could conflict with Executive's duties or services to the Company Group. Executive shall be subject to the terms and conditions of the Company Group's employee policies and codes of conduct as in effect from time to time to the extent not inconsistent with this Agreement.

During the Executive's employment, the Executive shall devote substantially all of his business time, energies and talents to serving as the Chief Financial Officer of Patheon, perform his duties conscientiously and faithfully subject to the reasonable and lawful directions of the Chief Executive Officer, and in accordance with each of the corporate governance and ethics guidelines, conflict of interests policies and code of conduct applicable to all employees or senior executives generally of the Affiliated Group. During the Executive's employment, it shall not be a violation of this Agreement for the Executive, subject to the requirements of Article 6, to (a) serve on corporate, civic or charitable boards or committees, (b) deliver lectures or fulfill speaking engagements and (c) manage personal investments, so long as such activities do not materially interfere with the performance of the Executive's duties or responsibilities under this Agreement
Time Commitments. During the Executive’s employment, the Executive shall devote substantially all of his business time, energies and talents to serving as the President, North American Operations, perform his duties conscientiously and faithfully subject to the reasonable and lawful directions of the Chief Executive Officer, and in accordance with each of the corporate governance and ethics guidelines, conflict of interests policies and code of conduct applicable to all employees or senior executives generally of the Affiliated Group. During the Executive’s employment, it shall not be a violation of this Agreement for the Executive, subject to the requirements of Article 6, to (a) fulfill speaking engagements and (b) manage personal investments, so long as such activities do not materially interfere with the performance of the Executive’s duties or responsibilities under this Agreement.
Time Commitments. 10. All Gardeners who are awarded a Plot during a given year are required to attend an informational meeting, the date of which the Committee shall select and determine in its sole discretion. If Gardeners cannot attend such meeting, they must promptly notify the Committee, in advance of this meeting.
Time Commitments. During the Executive’s employment, the Executive shall devote substantially all of his business time energies and talents to serving as the Chief Information Officer of Patheon, perform his duties conscientiously and faithfully subject to the reasonable and lawful directions of the Chief Technical Officer or the Chief Executive Officer, as appropriate, and in accordance with each of the corporate governance and ethics guidelines, conflict of interests policies and code of conduct applicable to all employees or senior executives generally of the Affiliated Group. During the Executive’s employment, it shall not be a violation of this Agreement for the Executive, subject to the requirements of Article 6, to (a) serve on corporate, civic or charitable boards or committees, (b) deliver lectures or fulfill speaking engagements and (c) manage personal investments, so long as such activities do not materially interfere with the performance of the Executive’s duties or responsibilities under this Agreement. 1 In order to comply with Section 409A, this definition is slightly different from the definition in the term sheet.

During the Term, subject to the prior written approval of the Board of Directors, it shall not be a violation of this Agreement for the Executive, subject to the requirements of Article 6, to (a) serve on corporate, civic or charitable boards or committees, (b) deliver lectures or fulfill speaking engagements and (c) manage personal investments.
Time Commitments. Unless otherwise agreed to in writing by Entropin, Lois Rezler, Ph.D., Roy S. Azarnoff, Ph.D., and Daniel X. Xxxxnoff, M.D. xxxxx, xxxxxx the Term, dexxxx xxx xxxxxx xxcessary and prudent to assure that their obligations under this Agreement are completed within the Time Line and Budget.
