Time and Best Efforts. The Executive shall use his best efforts to promote the interests of the Company and shall devote substantially all of Executive’s business time and best efforts to the performance of his duties and responsibilities hereunder. The Executive may engage in charitable, personal or civic endeavors and may serve on the boards and advisory boards of the entities set forth on Exhibit A, so long as such activities do not interfere with the performance of the Executive’s duties and responsibilities hereunder.
Time and Best Efforts. During the term of employment hereunder, Xxxxx shall be a full-time employee and shall devote his time, attention, skill, energy and best efforts as a full-time employee to the duties assigned to him from time to time as VP - Operations by the Board of Directors of the Company, which duties shall be of the general character referred to in Section 2.2, and shall, but without obligation hereunder, serve the Company in the other executive officer positions to which he may be elected or appointed by the Board of Directors of the Company, subject to acceptance by Xxxxx of such other executive officer position or positions. Notwithstanding the foregoing, Xxxxx may (i) engage in other business pursuits or other endeavors which do not conflict with his ability to perform his duties on a best efforts basis to the business interests of the Company and (ii) become a director of other corporations and engage in charitable, civic and other similar pursuits; provided, however, that such other business pursuits or other endeavors do not interfere with his devoting his best efforts to his duties to the Company or violate the duty of loyalty and care which Xxxxx has to the Company by reason of this Agreement or in his capacity as an executive officer of the Company.

Employee shall devote the appropriate amount of time and attention necessary to the performance of his obligations under this Agreement and shall at all times faithfully, industriously, and to the best of his ability, experience, and talent perform all of this obligations hereunder.
Time and Best Efforts. Subject to the terms set forth herein, NorthWestern agrees to employ Executive to provide management services for NorthWestern as President and Chief Executive Officer of NorthWestern's wholly owned subsidiary NorthWestern Services Group, Inc. and of NorthWestern's utility division, NorthWestern Public Service, and Executive hereby accepts such employment. During the term of his employment with NorthWestern, Executive will devote his best efforts and substantially all of his business time and attention to the performance of his duties hereunder, except for vacation periods as set forth herein and reasonable absences due to injury, illness as permitted by NorthWestern's general policies. Executive may participate in the affairs of any governmental, educational or other charitable institution, engage in professional speaking and writing activities and serve as a member of the board of directors of civic, private or publicly held corporations or entities, so long as NorthWestern's Chief Executive Officer, in good faith, does not determine that such activities unreasonably interfere with Executive's obligations under this Agreement, and Executive shall be entitled to retain all fees, royalties and other compensation derived from such activities in addition to the compensation and other benefits payable to him under this Agreement.

Subject to the terms set forth herein, NorthWestern agrees to employ Executive to provide management services for NorthWestern as Chairman and Chief Executive Officer, and Executive hereby accepts such employment. During the term of his employment with NorthWestern, Executive will devote his best efforts and substantially all of his business time and attention to the performance of his duties hereunder, except for vacation periods as set forth herein and reasonable absences due to injury, illness as permitted by NorthWestern's general policies or serving on outside Boards of Directors and participating in normal civic activities.
Time and Best Efforts. During the Engagement, the Consultant will devote the Consultant's time and best efforts to the performance of the duties hereunder and to the business and affairs of the Company. During the Engagement, the Consultant shall disclose any other business activities (other than passive investment activities not prohibited by Section 5) and obtain prior written consent from the Company for such business activities.

During the term of his employment with NorthWestern, Executive will devote his best efforts and substantially all of his business time and attention to the performance of his duties hereunder, except for vacation periods as set forth herein and reasonable absences due to injury, illness as permitted by NorthWestern's general policies. During the term of his employment, Executive will devote such time, efforts and attention as are reasonably necessary to the performance of his duties hereunder and to the business and affairs of the Company. The Company understands that concurrently herewith Executive is entering into a management services agreement with Aurora Capital Partners L.P. and agrees that Executive's duties hereunder will not impair in any substantial way his ability to perform under such agreement.

During the term of employment hereunder, Kilkenny shall be a full-time employee and shall devote his time, attention, skill, energy and best efforts as a full-time employee to the duties assigned to him from time to time as Chairman of the Board and Chief Executive Officer by the Board of Directors of the Company, which duties shall be of the general character referred to in Section 2.2, and shall, but without obligation hereunder, serve the Company in the other executive officer positions to which he may be elected or appointed by the Board of Directors of the Company, subject to acceptance by Kilkenny of such other executive officer position or positions. Notwithstanding the foregoing, Kilkenny may (i) engage in other business pursuits or other endeavors which do not conflict with his ability to perform his duties on a best efforts basis to the business interests of the Company and (ii) become a director of other corporations and engage in charitable, civic and other similar pursuits; provided, however, that such other business pursuits or other endeavors do not interfere with his devoting his best efforts to his duties to the Company or violate the duty of loyalty and care which Kilkenny has to the Company by reason of this Agreement or in his capacity as an executive officer of the Company.
Time and Best Efforts. Subject to the terms set forth herein, Cornerstone agrees to employ Executive to provide management services for Cornerstone and the Partnerships as _______________,and Executive hereby accepts such employment. During the duration of his employment with Cornerstone, Executive will devote his best efforts and substantially all of his business time and attention to the performance of his duties hereunder, except for vacation periods as set forth herein and reasonable absences due to injury or illness as permitted by Cornerstone's general policies.
